SERVICE AGREEMENT

This Service Agreement is made and entered into this _____________ in the City
of Tarlac by and between:

DANILO B. CORTEZ, of legal age, Filipino citizen and a resident of Barangka


Ibaba, Mandaluyong City, hereinafter referred to as “CLIENT”;

- and -

MAL Documentation Services, herein represented by its Owner/Proprietor,


MICHAEL A. LUMBOY, of legal age, married, Filipino citizen and resident of Barangay
Malayep, Gerona, Tarlac, with business address at Block 4 Champaca St., Barangay San
Vicente, Tarlac City, hereinafter referred to as “SERVICE PROVIDER”

WITNESSETH THAT:

WHEREAS, the CLIENT intends to have five (5) parcels of land he had acquired
currently listed as follows:
a) Transfer Certificate of Title No. 437720
b) Transfer Certificate of Title No. 195755
c) Transfer Certificate of Title No. 33249 with Emancipation Patent No. 607222
d) Transfer Certificate of Title No. 33246 with Emancipation Patent No. 607219
e) Transfer Certificate of Title No. 33247 with Emancipation Patent No. 607220
of the Registry of Deeds of the Province of Tarlac, registered and titled in his name;

WHEREAS, towards this end, the CLIENT would like to engage the services of a
reputable establishment/company to facilitate the registration and titling process;

WHEREAS, the SERVICE PROVIDER offered to undertake the desired registration and
titling of the subject parcel of land, and the CLIENT has considered and accepted such
offer;

NOW, THEREFORE, the foregoing premises considered, the SERVICE PROVIDER


shall facilitate the registration and titling of the subject parcel of land in the name of the
CLIENT under the following terms and conditions:

SECTION 1. NATURE AND SCOPE OF SERVICES. The SERVICE PROVIDER


shall extend to the CLIENT the following services relative to the intended registration
and titling of the subject parcel of land in the latter’s DANILO B. CORTEZ name, to
wit:

(a) Preparation and notarization of necessary documents for the transfer of


ownership
(b) Compliance with all other registration and transfer requirements
(c) Payment of capital gains tax, documentary stamp tax, transfer tax, and
registration and titling fees, however, unpaid real property tax shall be for the
account of the CLIENTS
(d) Expedite issuance of the new lot title, and
(e) Declaration of the new lot title in the City Assessor’s Office.
SECTION 2. PACKAGE COST AND MODE OF PAYMENT. The CLIENT agrees
to pay in cash the SERVICE PROVIDER the package cost of the afore-enumerated
registration and titling services to be rendered in the total amount of THREE HUNDRED
EIGHTY THOUSAND PESOS (PHP380,000.00) Philippine Currency shall be paid
under the following terms:

a) The down payment amounting to ONE HUNDRED NINETY THOUSAND


PESOS (PHP190,000.00) Philippine Currency shall be paid upon the execution of
this contract.
b) The next payment amounting to NINETY FIVE THOUSAND PESOS
(PHP95,000.00) Philippine Currency, shall be paid upon the release of new titles
of TCT No. 437720 and TCT No. 195755.
c) The last payment amounting to NINETY FIVE THOUSAND PESOS
(PHP95,000.00) Philippine Currency, shall be paid upon the release of new titles
of TCT No. 33249 with EP No. 607222, TCT No. 33246 with EP No. 607219, and
TCT No. 33247 with EP No. 607220.

SECTION 3. EXPECTED PERIOD OF ACCOMPLISHMENT. The SERVICE


PROVIDER hereby obligates himself to complete the registration and titling process
within three (3) months from execution of this Agreement. However, the said -month
period may be interrupted by the occurrence of fortuitous events (including but not
limited calamities, pandemics and other public emergencies of local or national
proportion) as defined by law.

SECTION 4. PRE-TERMINATION AND REIMBURSEMENT. In case the


SERVICE PROVIDER fails to complete the registration and titling process within the
agreed upon three (3) month period, the CLIENT has the option to pre-terminate this
Agreement, in which case the SERVICE PROVIDER shall, without need of demand,
reimburse the full amount initially paid and turnover any and all entrusted documents to
the CLIENT.

SECTION 5. NONPAYMENT OF THE BALANCE. On the other hand, in the event


that the CLIENT, despite due notice from the SERVICE PROVIDER, refuse or fail to
pay their remaining balance, the SERVICE PROVIDER shall keep the Owner’s
Duplicate Copy thereof to serve as collateral until full payment of the balance and the
accumulated interests thereon shall have been fully paid by the CLIENT.

SECTION 6. INDEMNIFICATION. The CLIENT shall indemnify, defend and hold


harmless the SERVICE PROVIDER against claims, liabilities, damages, losses or other
obligations which may arise from this agreement.

SECTION 7. RELATIONSHIP PARTIES. The parties agree that this agreement


creates an independent contractor relationship, not an employment relationship. Neither
party is, nor shall claim to be, a legal agent, representative, partner, or employee of the
other and neither shall have the right or authority to contract in the name of the other, nor
shall it assume or create any obligations, debts, accounts or liabilities for the other.

10. Amendments

This Agreement may be amended or modified only by a written instrument signed


by both parties.
IN WITNESS WHEREOF, we have hereunto set our hands on this
