Re: Your employment with M-Monks Digital Media Private Limited.

We are very pleased to offer you employment with M-Monks Digital Media Private Limited
(“Company”) as a result of your current employer (“WhiteBalance”) selling its business to the Company under
the Business Transfer Agreement dated 20 February 2020. The skills and experience that you possess will be
important to the continued success of the business.
This offer is on the terms below:

1. Your employment with the Company is effective from 25-August-2020 ("Commencement

Date").

2. On commencement of your employment with the Company, your salary, designation and bonus
entitlements will remain identical to what you were entitled to receive from WhiteBalance,
immediately prior to the Commencement Date. This includes any incremental increases agreed and
documented.

3. The terms of your employment, however, will be subject to any statutory liability towards PF, ESI etc.,
as may be applicable.

4. In addition to paragraph 2 and 3, your employment is on the terms set out in the Schedule of this
letter.

5. Your service with WhiteBalanceup to M-MONKS DIGITAL MEDIA PRIVATE LIMITED will be regarded
as continuous service with the Company for the purpose of calculating gratuity or superannuation or
other retirement benefits, if any applicable.

6. Acceptance of this offer:

(a) Your acceptance of this offer will constitute your consent to be employed by the Company
(as a result of the transfer of WhiteBalance’s business to the Company) with effect from
.
(b) To facilitate the smooth transfer of your employment, you authorize the Company to
communicate your acceptance of this offer to WhiteBalance, and you consent to the transfer
of any personal information related to your employment with WhiteBalance to the
Company.
(c) You acknowledge and understand that the Company will need to collect and process Sensitive
Personal Data or Information (“SPDI”) (as defined under the Information Technology
(Reasonable security practices and procedures and sensitive personal
data or information) Rules, 2011, as amended from time to time) about you and third
parties associated with you (such as your spouse or children) in connection with your
employment with the Company. You expressly consent to the collection, processing, storage,
disclosure and transfer worldwide of your SPDI by the Company as required by law or in the
normal course of business; and in accordance with the Company’s
 policies and procedures. You also agree that should you have access to SPDI of any other
employee of the Company, you shall hold such information in strict confidence.
(d) The Company shall have the right to update the purposes for which the SPDI is collected and
entities to whom such SPDI may be disclosed / transferred and the Company shall amend
its policies from time to time to include such updated purpose and list of entities.
(e) You shall have the option to not provide your consent, or withdraw any consent given earlier,
provided that the decision to not provide consent / withdrawal of a consent previously given
is conveyed to the Company in writing. If you do not provide the Company with SPDI or
withdraw a prior consent for the processing of SPDI earlier provided, the Company will have
the option to accordingly not provide you the benefits for the purpose of which said SPDI
from you was sought.
7. You will be paid your outstanding salary and reimbursements with WhiteBalance up to
25-August-2020 by WhiteBalance. You will not be entitled to any other payments or benefits
including, without limitation, in respect of severance pay or long service pay (whether statutory or
otherwise) in connection with the transfer of the business from WhiteBalance to the Company.
Your employment terms should be treated with the strictest confidence. Please sign

and return the duplicate of this letter on or before 23 August 2020.

Acceptance and Acknowledgment

I acknowledge receipt of the original of this letter setting out the transfer of my employment to the Company
as a result of the transfer of the business from WhiteBalance to the Company, effective from 25-August-2020
and confirm that I have read, understood and agree with the matters set out above, and will accept the offer
of new employment with the Company.

I hereby release WhiteBalance with effect from 25-August-2020 from any claim in relation to the cessation of
my employment and transfer to the Company.
