FORM OF CONTRACT

This CONTRACT (hereinafter referred to as “CONTRACT”) is made on [ ] day of [ ].

between:

and having its registered and business address at Sapura@Mines, No. 7, Jalan Tasik,
The Mines Resort City, 43300 Seri Kembangan, Selangor Darul Ehsan, Malaysia
(“COMPANY”) on the first part,

and

having its [registered/business] address at […] (“CONTRACTOR”) on the second part.

Hereinafter the parties of the first and second parts shall be referred to singularly as "PARTY"
and collectively as "PARTIES".

WHEREAS

A. COMPANY is desirous in engaging a qualified and reputable contractor to perform

the WORK. COMPANY is an established and experienced international oil and gas
contractor providing integrated oil and gas services and solutions to clients in the oil
and gas industry.

B. CONTRACTOR represents that it has the necessary experience and know-how in the
provision and performance of WORK and has qualified and experienced personnel
with sufficient facilities, premises and equipment and is properly financed to carry
out such WORK.

C. COMPANY has agreed to engage CONTRACTOR to undertake the WORK in

accordance with the terms and conditions of this CONTRACT.

Now, therefore, for and in consideration of the mutual covenants and agreements set forth
herein, the PARTIES hereto agree as follows:

1. DEFINITION AND INTERPRETATION

Capitalised words or terms used in this FORM OF CONTRACT shall have the same meaning as
defined in the GENERAL CONDITIONS OF CONTRACT, unless otherwise specified herein:

1.1 Definition

“COMPANY” or “BUYER” shall mean the party identified in the introductory paragraph of this
FORM OF CONTRACT and shall be inclusive of its successors in title, lawful assign and
personal representative.

"CONTRACT" shall mean this CONTRACT comprising of the sets of documents stated in this
FORM OF CONTRACT.

“CONTRACTOR” or “SELLER” shall mean the party that has entered into the CONTRACT with
the COMPANY as identified in the introductory part of this FORM OF CONTRACT for the
performance of the WORK and includes the personnel, representatives, successors, its
subcontractors and authorized parties.

“SERVICES” shall also mean WORK.

1.2 Documents forming the CONTRACT are as listed below:

1.4.1 In the event of any ambiguity, inconsistency or conflict between the provision
in General Conditions of Contract and the Exhibits listed above, the General
Conditions of Contract shall take precedence and prevail over the Exhibits.

1.4.2 The order of prevalence under the documents forming the FORM OF
CONTRACT of Parts A, B and C shall be as per the preceding order.

1.4.3 In case of any ambiguity, inconsistency or conflict within the documents in

Clause 1.2 that is not resolved by the preceding order of precedence,
CONTRACTOR shall bring this matter to the attention of COMPANY. In such
case, COMPANY shall decide the order of prevalence amongst the documents
and shall resolve the conflict in writing at no cost to COMPANY.
