General Conditions of Use of the Platform

NUN-TECH

Concluded between:
The customer, legal person or natural person registered with the RCS (or with the national directory of trades or with
any equivalent professional body) in a Member State of the European Union or in a State party to the European
Economic Area, or in a country imposing equivalent obligations in terms of the fight against money laundering and the
financing of terrorism, acting on their behalf exclusively for professional purposes (commercial, industrial, craft or
liberal), hereinafter referred to as the "User" or "Professional User", or
The client, a natural person residing in a Member State of the European Union or in a State party to the European
Economic Area or in a country imposing equivalent obligations in terms of the fight against money laundering and the
financing of terrorism, acting for his account exclusively for non-professional purposes, hereinafter referred to as the
"User" or "Consumer User", on the one hand,
and,
NUN-TECH, a limited company under Luxembourg law with capital of €32,000, whose registered office is located at
7A rue de Turi, L-3378 Livange, Luxembourg and registered with the Luxembourg Trade and Companies Register
under number B214.016, hereinafter referred to as "NUN-TECH" on the other hand,
hereinafter separately referred to as a "Party" or together the "Parties".

IMPORTANT - READ CAREFULLY
The User is informed that he uses the platform operated by NUN-TECH (the "Platform"), which allows him to access
the services (the "IBAN Express Services") offered by NUN-TECH. He benefits from access to the Platform as a User
as this terme is defined in these General Conditions of Use.
The User's attention is drawn to the fact that, in order to access the Platform and benefit from the IBAN Express
Services, he must accept these General Terms and Conditions of Use (the "GCU") which bind him to NUN-TECH.
The User is invited to carefully read these Terms and Conditions communicated to him by the Platform before
accepting them. He is invited to download them on Durable Media.
By default, communications with NUN-TECH are always carried out through the Platform, according to the terms and
conditions provided for in the General Conditions of the Site, except when a separate mode of communication is
provided for in the GTCU.
Therefore, the USER IS CALLED TO READ CAREFULLY AND UNDERSTAND THE TERMS BEFORE SIGNIFYING HIS
ACCEPTANCE BY CLICKING ON THE "I ACCEPT" BUTTON.
IN CASE OF REFUSAL, THE USER MUST CLICK ON THE BUTTON "I DO NOT ACCEPT" AND NOT USE THIS
PLATFORM.
Subject to the User's acceptance, the GTCU enter into force on the date of his 1st connexion on the NUN-TECH

1 Preliminary
NUN-TECH is a Fintech that has developed technical solutions and technologies provided through the Platform and
based on instant payment protocols deployed on a European scale as part of the European Payment Council project.
NUN-TECH's solutions are articulated around the management of the banking identity of consumers and professionals
to link Aliases to personal payment data or similar: IBAN, Card tokens and public addresses of Digital Asset Wallets.
More specifically, the IBAN Express Services make it possible to simplify, secure and make instant payments between
Users of the Platform (consumers, local or remote merchants and professionals) by immediate debit/credit of their Euro
current accounts in any SEPA credit institution or, alternatively, by debit/credit of their Wallets.
The IBAN Express Platform and Services thus contribute to facilitating the development of instant payment by
combining the ease and security of addressing payers and payees by Alias with the performance of the newly
deployed European instant payment systems in the European Union.
These T&Cs govern the relationship between NUN-TECH and the Users of the Platform.
These T&Cs define and regulate the use of the IBAN Express Services offered by NUN-TECH and are completed by
the privacy policy and legal notices below described
NUN-TECH draws your attention to the fact that the Terms of Use of the Platform may be modified at any time in
accordance with the provisions of Article 19 of these Terms.
NUN-TECH reserves the right to correct the content of this site at any time and without notice.
2 Legal
The www.nun-tech.com site (hereinafter " the Site ") and its digital mobile application (hereinafter collectively referred
to as "the Platform") are published by NUN-TECH, a limited company under Luxembourg law with a capital of €32,000,
whose registered office is located at 7A rue de Turi, L-3378 Livange, Luxembourg and registered with the Luxembourg
Trade and Companies Register under number B214.016, hereinafter referred to as ' NUN-TECH',

3 Definitions
In the GTCU, the following terms and expressions, identified by a capital letter, shall have the meaning indicated below
whether they are used in the singular or plural:
"Digital Assets" means the intangible assets in digital form mentioned in L.54-10-1, 1° and 2° of the CMF;
"ACPR" means the Prudential Control and Resolution Authority;
"Alias" means the identifier(s) used to link the Personal Data to the User's Bank Identifier(s);

"AMF" means the Autorité des Marchés Financiers;
" Article " means an article of the GTCU;
" Authentication ": refers to the Simple Authentication and Enhanced Authentication procedures defined by the
Platform in order to verify the identity of the User or the validity of an Order. These procedures include the use of
Identification Data.
"Simple Authentication" means the simplified verification procedure of the User's identity that conditions (i) access to
the Express IBAN Services and (ii) the validity and confirmation of orders.
"Enhanced Authentication" means the two-tier verification procedure of the User's identity that conditions (i) access
to the Express IBAN Services and (ii) the validity and confirmation of orders.
"Card ": refers to an immediate or deferred debit payment card issued by one of the CB, VISA or MASTERCARD
networks;
"CMF" means the Monetary and Financial Code;
"GCU" or “GTCU’ means these General Terms and Conditions of Use;
"Payment Account" means the payment account opened by the User in his name in the books of a third party PSP or
the OLKYPAY Partner and held in Euros;
"Content" means all the elements of any kind composing the Platform (textuals, editorial content, illustrations,
photographs, images, sounds, videos, computer codes, etc.);
"Data" means all of the User's data. This includes in particular the data related to the Personal Space as well as the
data defined below (Identification Data, Personal Data);
"Identification Data" means the data allowing the User to access his Personal Space composed of an e-mail address
and a password;
"Personal Data" means all personal information concerning the User (surname, first name, address, Alias, etc.)
necessary for the subscription of the IBAN Express Services and compliance with the obligations to Anti Money
Laundering and the Financing of Terrorism, which may include in particular Identification Data;
"Personal Space" means the personal space to which any User has access for the use and monitoring of the Express
IBAN Services he benefits from and which is protected by a unique combination of a username and password (the
Identification Data), containing personal information;
"Subscription Form" means the subscription form to be completed by any customer or potential customer wishing to
benefit from the Express IBAN Services, accessible on the Site at the time of registration or made available by the
Platform;
"IBAN" means the unique identifier referred to in Article L. 133-4, b of the CMF and issued for the purpose of carrying
out payment transactions including Payment Orders;
"Bank ID" means the IBAN and/or the Card and/or the Digital Asset Wallet entered by the User;
"Know Your Client" "KYC" means the online information form to be completed by the User allowing NUN-TECH to
collect all the information necessary for the provision of the IBAN Express Services and compliance with the
requirements for the fight against money laundering and terrorist financing ("AML-CFT") in accordance with the legal
and regulatory obligations in force;
"KYCOIN" means the Digital Assets issued by the French branch of NUN-TECH located at 48 Quai du Lazaret, 13002
Marseille, 911 587 806 R.C.S. Marseille. Qualified as a "utility token", the KYCOIN allows a User to have access to the
functionalities of the Platform and the IBAN Express Services. KYCOIN are tradable and transferable tokens of use but

are not subject to admission or quotation on any trading platform. The circulation of KYCOIN is limited to the network
of acceptors (Users of the Platform and NUN-TECH Partners) for the services offered by NUN-TECH through its
Platform;
"KYPURSE" means the non-custodial wallet made available to the User by NUN-TECH and allowing the User to have
control of the KYCOIN (s) he owns and to keep them or to Transfer them to a third party as part of an Order on Digital
Assets;
"Notification" means the term defined in Article 13. of the GTCU;
"Opposition" means the term defined in Article 13 of the GTCU;
"Order" means indistinctly a Payment Order or an Order on Digital Assets;
"Payment Order" means an order to initiate instant payment by SEPA transfer or direct debit by Card token from a
bank account or payment account opened in the name of the User at the Partner OLKYPAY or at a Third Party PSP
and routed by NUN-TECH via the Platform for execution by OLKYPAY;
"Order on Digital Assets" means a Transfer Order ordered by the User and relating to one or more Digital Assets and
routed by NUN-TECH via the Platform to a PSAN registered by the AMF and the ACPR for execution;
"Partner" means NUN-TECH's partners as defined in Article 7 of the GTCU;
"Party(ies)" means the person(s) bound by the terms of these Terms, namely NUN-TECH and the User;
"Platform" means the use of the Personal Space, the associated website(s), APIs or mobile applications and other
online communication services to the public through which the Express IBAN Services are offered;
"PSAN" means NUN-TECH's digital asset service provider Partner registered with the AMF and the ACPR;
"Third Party PSP" means any establishment, other than OLKYPAY, authorised in a member country of the European
Union or party to the European Economic Area, or in a country imposing equivalent obligations in terms of combating
money laundering and terrorist financing;
" Applicable Regulations " means all legal, regulatory and administrative provisions applicable to NUN-TECH as well
as any subsequent modifications of these rules, whatever they may be;
"Site" means the Site operated by the Platform whose purpose is to market the IBAN Express Services to Users, or to
connect Users with each other, or to put Users in contact with Partners;
"IBAN Express Services" means all features and services provided by NUN-TECH via the Platform;
"Sum" means the monthly and/or annual amount calculated on all Payment Orders and Orders on Digital Assets
executed using all the Bank Identifiers entered by the User;
"Durable Medium" means, in accordance with 8° of the Introductory Title of the Consumer Code, any medium that
allows the User to store the information sent to him personally in order to be able to refer to it later for a period of time
adapted to the purposes for which the information is intended and which allows the identical reproduction of the
information stored;
"Transfer (noun), Transfer (verb)" means the deed of assignment, contribution, other, by which a KYCOIN or any other
Digital Asset is transferred by a User to another User of the Platform or to a Partner;
"User" means any legal or natural person authorized in the manner described in these Terms to use the Platform and
the IBAN Express Services, whether a Professional or a Consumer;
"Consumer User" means any User who is a natural person who acts for purposes that do not fall within the scope of
his commercial, industrial, craft or liberal activity;

"Professionnel User" means any User who is a natural or legal person who acts for purposes falling within the scope
of his commercial, industrial, craft or liberal activity;
"Digital Asset Wallet" means the Digital Asset wallet linked to a public key entered by the User in his Personal Space
and allowing the PSAN to execute the Transfer Orders on Digital Assets initiated by the User.
4 Purpose and scope of the GTCU
The purpose of the GTCU is to determine the general conditions of use of the Platform available at the Internet address
www.nun-tech.com and the IBAN Express Services offered by NUN-TECH described in these Terms, in order to allow
the creation of payment identifiers by associating one or more Aliases and to initiate Payment Orders and Orders on
Digital Assets.
In this context, the User is informed and acknowledges that the Platform only ensures the routing of Orders, their
execution being ensured by Nun-Tech's Partners.
NUN-TECH may, without being liable for any compensation, make any changes or improvements to the Platform and
the IBAN EXPRESS Services that it deems useful or necessary to ensure the continuity, development and security of
its services.
The Platform and the IBAN EXPRESS Services may also, without any right to compensation against NUN-TECH, be
limited or extended at any time by NUN-TECH (either individually or collectively to all Users).
The User is informed and acknowledges that the functionalities of the Platform and the IBAN Express Services do not
constitute a digital service within the meaning of 7° of the Introductory Article of the Consumer Code.
In addition, the User is informed that NUN-TECH does not provide any payment service or service on Digital Assets
subject to approval or registration. These services are provided by NUN-TECH Partners acting as a payment institution
or PSAN and are subject to General Conditions of Use separate from those of the Platform.
Certain clauses of these GTCU concern only Consumers or Professionals, which will be clearly specified at the head
of these clauses.
When nothing is specified, the clause is applicable to all Users, regardless of their status as Consumer or Professional.
5 Contractual documents
The Framework Agreement is composed of:
• these Terms of Use;

• the Subscription Form available on the Site.
These GTCU are made available to the User on the Site and can be downloaded on a Durable Medium.
6 Overview of the IBAN Express Platform and Services
The Platform is accessible via the Internet. Each User has a personal, non-exclusive and non-transferable right to
access the Platform and use the IBAN Express Services via his Personal Space.
The Platform is designed as an interface which access is secured by an Authentication process allowing the provision
of all IBAN Express Services for Users.
The IBAN Express Services involve the management of the banking identity of consumers and professionals to link
one or more Aliases to bank or similar data: IBAN, Card tokens and public addresses of Digital Asset Wallets.

The IBAN EXPRESS Services are structured around:
• the creation and management of the User's banking identity by Alias;

• the routing of Payment Orders in fiat currency by the Platform and their execution by OLKYPAY; and
• the routing of Orders on Digital Assets allowing the exchange and transfer of Digital Assets or their
conversion into Euro executed by the Partner PSAN.
In this context, the functionalities of the Platform make it possible to associate the identifiers of the Alias system
(emails, QR code, telephone) with an IBAN communicated by the User to give access, during a payment transaction,
to the references of the payer and / or the beneficiary as soon as the payer and the beneficiary of said payment
transaction have a Personal Space on the Platform.
The Platform and the IBAN Express Services allow each User to:
• configure and manage his Personal Space on the Platform according to the terms of access described
herein;
• link an IBAN, a Card token or a Digital Assets Wallet to one or more identifiers generated by the Platform's
Alias system;
• benefit from the services provided by NUN-TECH's partners, and in particular
o benefit from the payment services provided by OLKYPAY and in particular the opening of a payment
account in Euro;
o benefit from the services on Digital Assets offered by DIGITAL EXCHANGE/ ZEBITEX Digital Asset
Service Provider (PSAN) registered with the AMF and ACPR n° E 2021-012;
• initiate payment orders or Orders on Digital Assets from the Platform;
The User is informed that the use of the functionalities of the Platform and the IBAN Express Services are services
paid in KYCOIN whose billing methods are described below.
7 Access to IBAN Express Services
7.1 Eligibility and categorization of the User

Any legally capable natural person and any legal person, resident and/or registered in a Member State of the European
Union or in a State party to the Agreement on the European Economic Area or in a third country imposing equivalent
obligations in terms of the fight against money laundering and the financing of terrorism, may proceed to the creation
of his/its Personal Space provided that the natural person is referenced on the Site as a Consumer User or as a
Professional User.
A legal person can only be referenced as a Professional User.
The User declares at the time of transmission of the Subscription Form to the Platform and throughout the duration of
these Terms:
• have full legal capacity or that it is properly constituted in the form of a company;
• act on its own behalf; and
• that all the information transmitted during registration is sincere, accurate and up-to-date.
NUN-TECH cannot be held liable in any way in the event of use of the Platform by a User who has communicated
inaccurate Personal Data.

7.2 Creation of the Personal Space
7.2.1 Information to be filled in the Form and supporting documents:
To benefit from all the IBAN Express Services, the User must provide Personal Data and additional KYC supporting
documents in order to enable NUN-TECH and its partners to comply with their legal and contractual obligations, in
particular with regard to AML-CFT.
For the creation of the Personal Space, the User goes to www.nun-tech.com (or, if applicable, to the site of an
intermediary approved by NUN-TECH) from a device with an internet connection. The User must first provide:
7.2.1.1 For the Customer User :
a) Simple Authentication:
• surname, first name, email address, date and place of birth, nationality and country of residence;
b) Enhanced Authentication:
For Consumer Users whose Sum of Payment Orders and Orders on Digital Assets exceed € 1,500 per month and / or
€ 7,500 per year, must be provided in Enhanced Authenfication:
• a copy of a valid official identity document of the User (e.g. identity card, driving licence, and for nationals of
countries outside the European Union, a passport);
• proof of address;
• an identity selfie.
These lists of information and documents are not exhaustive, NUN-TECH may at any time make additional requests.
7.2.1.2 For the Professional User
a) Enhanced Authentication for natural persons:
• surname, first name, email address, date and place of birth, nationality and country of residence;
• a copy of an extract from the official register less than three months old stating the registration as a trader or
in the national register of trades or any other professional body on which the User depends;
• a copy of a valid official identity document for the User (e.g. identity card, driving licence, and for nationals of
countries outside the European Union a passport).
b) Enhanced Authentication for legal persons:
• its name, its corporate form, its capital, the address of its registered office, the description of its activity, the
identity of the partners and company directors, as well as the list of beneficial owners as defined by the
regulations,
• a Kbis extract or an equivalent document of less than three months justifying its registration in the RCS of a
Member State of the European Union or of a State party to the Agreement on the European Economic Area
or of a third country imposing equivalent obligations in terms of the fight against money laundering and the
financing of terrorism and its statutes. This document must record the name, the legal form, the address of
the registered office and the identity of the partners and directors mentioned in 1 ° and 2 ° of Article R.123-54
of the Commercial Code or their equivalents in foreign law.
• a copy of the statutes and any decisions appointing the certified legal representative and a translation into
French or English, itself certified;
• a copy of the identity card or passport of the legal representative and, where applicable, of the beneficial
owner(s).

• the declaration of the beneficial owners of the legal person holding more than 25%, in the event that the
prospect has not declared its beneficial owners to the national register, or if it is not subject to this
obligation.
These lists of information and documents are not exhaustive, NUN-TECH may at any time make additional requests.
In addition, as part of the activation of the IBAN Express Services, the User may also be asked to provide a bank
identity statement of an account opened in his/its name with a Third Party PSP;
It is expressly provided that NUN-TECH reserves the right to request before any registration and at any moment of the
duration of the GCU, additional documents concerning the User, the beneficial owner and / or the rationale of a
specific Order.
7.2.2 Finalization of the creation of the Personal Space:
The User creates his own Personal Space online but he does not have access to all features and IBAN Express Services
offered by the Platform until the Authentication process has been completed and the KYC is complete and validated
by NUN-TECH.
The User subscribes to all the IBAN Express Services offered as soon as he validates his Identification Data.
The User acknowledges and is informed that during the subscription process, he gives his express consent to benefit
from the regulated services rendered by the NUN-TECH Partners and accepts their General Conditions of Use.
After acceptance of the GTCU by the User, NUN-TECH is the only entity able to accept registration to the Platform and
access to the IBAN Express Services. This agreement is notified to the User by the Platform by any means according
to the terms provided on the Site.
NUN-TECH may, due to a legitimate reason, without right to compensationin favor of the User, refuse a request for the
creation of a Personal Space. This refusal will be notified to the User by any means according to the modalities
provided on the Site.
In any case, each and all User will be responsible, on his behalf, for any action carried out by him via his Personal
Space as part of the IBAN Express Services. All actions carried out by him on the Platform via his Personal Space will
be irrefutably deemed to have been carried out with his consent.
7.2.3 Security
NUN-TECH informs the User that it uses security software for the authentication and encryption of access codes. In
this regard, the Identification Data are strictly personal, confidential, non-transferable and must be kept by the User,
under his sole responsibility, to be able to access the IBAN Express Services.
Therefore, each User acknowledges, guarantees and assures that the identifiers that have been defined will not be
disclosed to any other person and undertakes to keep them with care and diligence under his full responsibility.
In case of forgetting the Identification Data, the User can reset them by following the secure procedure "I forgot my
password".
The Personal Space may be closed or suspended at any time if NUN-TECH has valid reasons to believe that the said
Personal Space is the subject or has been the subject of misuse or has been used by an unauthorized third party.
The User is informed and acknowledges that NUN-TECH does not process or store access data to the Users' bank
and payment accounts opened with third parties or OLKYPAY.
NUN-TECH reserves the right to check Users' Personal Spaces at any time for the purpose of verifying the proper use
of the Platform by Users, including compliance with these Terms.

Any breach by the User of these Terms may result in the closure of the Personal Space.
Given the nature of the Internet network, the User acknowledges and accepts that NUN-TECH cannot be held
responsible for interruptions, failures or alterations in access to the IBAN Express Services, which may result from the
network itself, the means of connection used, or any other external cause. The obligation of NUN-TECH to ensure the
security of the Platform and the confidentiality of the information exchanged and / or stored is in any case an obligation
of means and NUN-TECH cannot guarantee absolute security.
8 Partners
NUN-TECH works with various business partners, of which it is completely independent. It thus offers the subscription,
with various suppliers, to payment services , services on Digital Assets and / or financial products (hereinafter "the
Partners "), in particular:

OLKYPAY (OLKY PAYMENT SERVICE PROVIDER), a limited company with a capital of EUR 2,271,111.00, having its
registered office at 7A rue de Turi, L-3378 Livange, registered with the Luxembourg Trade and Companies Register
under number B 165 776
Digital Asset Service Provider:DIGITAL EXCHANGE, a simplified joint-stock company with a share capital of EUR
36,865.00, having its registered office at 8 espace Compans Caffarelli, 31000 TOULOUSE, registered with the
Toulouse Trade and Companies Register under number 882 241 573
9 How IBAN Express Services Work
9.1 Activation of IBAN Express Services via the purchase of KYCOIN

The cost of the IBAN Express Services is indicated in KYCOIN. IBAN Express services are only payable in KYCOIN.
The use of the IBAN Express Services is only possible if the User (Consumer or Professional) holds enough KYCOIN
to remunerate NUN-TECH prior to the consumption of the services.
From his Personal Space, the User can at any time know the number of KYCOIN he holds and track the transfers he
has authorized as well as those resulting from payments for IBAN Express services.
The User may at any time, from his Personal Space, purchase KYCOIN from NUN-TECH.
9.1 Associating Aliases with a Payment ID
The Personal Space allows the User to associate one or more bank identifiers of his choice: Card token, IBAN, Digital
Asset Wallet with one or more Aliases:
• Mail;
• Mobile phone number;
• QR Code;
• Keyword.
Once entered, these Aliases can/must be validated by elements to activate them:
• Mail: through sending an email containing an authentication code that the User must enter in his Personal
Space
• Mobile phone number: through sending an SMS containing an authentication code that the User must enter
in his Personal Space

• QR Code: Alias reserved for Professional Users created during the collection of an Order by the Professional
User in his capacity as beneficiary, only valid for a short period of time and communicated to the
Professional User or Consumer in his capacity as payer.
• Keyword: Alias reserved for Professional Users created during the collection of an Order by the Professional
User in his capacity as beneficiary, only valid for a short period of time and communicated to the
Professional User or Consumer in his capacity as payer
The User is thus assured of the portability of his banking identity called by Alias when carrying out transactions: The
Personal Space allows the User to update his bank identifiers which remain linked to the previuosly validated aliases.
10 Confidentiality and Opposition
10.1 Confidentiality
Each User agrees not to use the name or Identity Data of another person. The User is solely responsible for any use
of his identifier as well as for maintaining the confidentiality of his Identification Data.
The User must take all reasonable measures to preserve the confidentiality and security of his Identification Data. The
User agrees not to communicate his Identification Data to third parties.
10.2 Opposition
The User must inform NUN-TECH of the loss or theft of his Identification Data, the misappropriation or any unauthorized
use of his Personnel Space or Data related to it as soon as he becomes aware of it in order to request the blocking.
This declaration must be made via the Alias blocking form accessible on the Personal Space.
NUN-TECH will immediately execute the request to oppose the Alias(es) concerned so that no Order using the Alias(es)
concerned can be collected from the date and time of receipt of the declaration.
NUN-TECH cannot be held responsible for the consequences of an opposition by any other means.
A request for opposition is deemed to be made on the date and time of actual receipt of the request by the Platform.
In the event of theft of the Identification Data or fraudulent use of the Personal Space, NUN-TECH is entitled to request,
through the Platform, a receipt or a copy of the filing of a complaint from the User who undertakes to respond as soon
as possible.
11 Interruptions and unavailability
The User acknowledges and accepts that the Platform may, in some circumstances, be subject to malfunctions,
interruptions related in particular to technical or other constraints without these operations giving rise to any right to
any compensation. The Platform undertakes to limit this type of interruption to the strict minimum.
However, NUN-TECH cannot be held liable to the User for any errors, omissions, interruptions or delays in Orders
routed via the Platform or resulting from unauthorized access to the Site (unless, if you are a Consumer User, in the
event that such access is due to a lack of security of the Platform).
NUN-TECH cannot be held responsible for theft, destruction or unauthorized communication of data resulting from
unauthorized access to the Site (unless, if you are a Consumer User, in the event that such access is due to a lack of
security of the Platform).
In addition, NUN-TECH remains unrelated to the legal relationship existing between two Users or between a User and
a Partner. NUN-TECH cannot be held responsible for the faults, failures or negligence of two Users towards each

other, or of a User and a Partner. If the unique identifier or any other information necessary for the routing of an Order
provided by the User is inaccurate, NUN-TECH is not responsible for the improper execution of said Order.
In any case, in the event of a major persistent problem, NUN-TECH will make its best efforts to restore an acceptable
level of operation as soon as possible.
NUN-TECH will not be required to replace the failed Platform with an equivalent Platform.
12 Irrevocability of Orders
Without prejudice to the rules applicable by NUN-TECH Partners or third party PSPs and without prejudice to the
provisions provided for in Article 13 of these Terms, the User is informed that Orders routed by means of the Platform
are irrevocable.
13 Challenging an Order
For any complaint relating to Orders routed via the Platform, the User is invited to contact NUN-TECH Customer
Service or the following email address support@nun-tech.com.
13.1 Dispute in case of fraud or error

If a User in his capacity as payer contests a fraudulent Order or an Order initiated by him by mistake, he notifies NUN-
TECH Customer Service to the email address: support@nun-tech.com as soon as he becomes aware of the anomaly
and, at the latest, within thirty (30) days following the execution of the Order by the Partner or the third party PSP.
In the event of fraud and intrusion on the User's Personal Space or in the event of an error by the User, and without
prejudice to the contractual stipulations applicable to the relations between the User and the Partners or the User and
third party PSPs, NUN-TECH undertakes to make its best efforts to facilitate the return of the funds or Digital Assets
that have been the subject of the contested Orders.
In any case, the User is informed and acknowledges that only the Partner or the third party PSP responsible for
maintaining his Payment Account is likely to restore the Payment Account or the Digital Asset Wallet to the situation
where it was previously to the disputed Order routed by the Platform.
Therefore, and in any case, it is the User's responsibility to inform the Partner or the third party PSP of the fraud or
error relating to the disputed Order.
13.2 Dispute in case of loss or theft of Identification Data

In the event of loss or theft of Identification Data, unauthorized Orders must be objected to at the address
support@nun-tech.com (the "Opposition").
The Opposition is deemed to have been notified to NUN-TECH within forty-eight hours (48) of its receipt (the
"Notification").
Beyond this period, the User is informed and acknowledges that NUN-TECH will proceed, for security reasons and as
a precautionary measure, to block the User's Personal Space.
Orders supported and routed by the Platform before the Notification of the Opposition are the responsibility of the
User.
Any Ordres routed after the Notification of the Opposition will be supported by NUN-TECH except in case of fraud of
the User demonstrated by any means by NUN-TECH.

14 NUN-TECH's Limitation of Liability
NUN-TECH does not intervene in any way in legal and commercial relations and possible disputes between two Users,
a User and a third party or a User and a Partner.
NUN-TECH has no control over the conformity, safety, lawfulness, characteristics and suitability of the products and
services subject to an Order.
Each transaction carried out by a User with another User, a third party or a Partner gives rise to a contract directly
formed between him and this person to whom NUN-TECH is a foreigner. NUN-TECH can not be held responsible for
the non-performance or improper performance of the resulting obligations, nor for any damage caused to the User.
Notwithstanding anything to the contrary in these Terms, NUN-TECH's liability towards a Professional User is limited
to the payment of compensation corresponding to the Transaction Fees of the Orders.
15 Commitments of the User
The User guarantees that no element of his Personal Space infringes the rights of third parties or is contrary to the
law, public order or morality.
He undertakes not to:
• execute the GTCU in an illegal manner or under conditions likely to damage, deactivate, overload or alter
the Site or the Platform;
• use the identity of another person or entity, falsify or conceal their identity, age or create a false identity;
• disseminate personal data or information relating to a third party, such as addresses, telephone numbers, e-
mail addresses, credit card numbers etc...
In the event of a breach by the User of its obligations, NUN-TECH may take any appropriate measures to put an end
to the acts concerned. It will also be entitled to suspend, delete and/or block the User's access to his Personal Space.
Without prejudice to legal actions taken by third parties, NUN-TECH is entitled to exercise in a personal capacity any
legal action aimed at recovering the damages it has personally suffered as a result of the User's breaches of its
obligations hereunder.
16 Deactivation of the Personal Space
• The User may submit a request to deactivate his Personal Space by performing the procedure accessible
from his Personal Space.

• A confirmation email will be sent to the e-mail address provided by the User.

• The User may request the reactivation of his Personal Space by sending an email to NUN-TECH Customer
Service at the address: support@nun-tech.com.
17 Closing the Personal Space
17.1 Closure of the Personal Space at the initiative of NUN-TECH

In the event of a serious breach by the User, the GTCU may be terminated with immediate effect with notification to
the User's e-mail address. The termination will take effect from the sending of the email. Termination will result in the
closure of the User's Personal Space on the Platform.
Serious breaches are understood to mean:

• non-compliance with any of the provisions of these Terms;
• cases of hacking of NUN-TECH files or any other behavior tending to an illegal or fraudulent use of the IBAN
Express Services and the Platform;
• the provision of false information;
• the exercise of illegal or immoral activities;
• suspicion of money laundering or terrorist financing;
• threats against NUN-TECH employees;
• a failure to pay.
17.2 Closing the Personal Space at the initiative of the User

The User may submit a request to close his Personal Space by contacting NUN-TECH customer service at the address
support@nun-tech.com.
A confirmation email will be sent to the e-mail address provided by the User.
The User is informed and acknowledges that the closure of the Personal Space at his initiative is final.
The User is informed that the closure of the Personal Space whatever the cause constitutes immediate termination of
these GTCU concluded with NUN-TECH.
In the event of termination of the GTCU, NUN-TECH will delete in its information systems any Data relating to the User
and his Personal Space, with the exception of information that may have to be reserved by NUN-TECH under its
obligations, in particular in the fight against money laundering and the financing of terrorism.
18 Right of withdrawal
18.1 Provisions applicable to Consumer Users

Regarding NUN-TECH's services on IBAN Express Services and Payment Orders:
In accordance with Articles L. 222-7 et seq. of the Consumer Code, as a consumer, the Consumer User has a
withdrawal period of fourteen (14) days from the date of acceptance of these Terms and therefore from the date of
creation of his Personal Space.
The GTCU can only receive a start of execution before the expiry of the withdrawal period with the agreement of the
Consumer User. The Consumer User acknowledges that the use of the IBAN Express Services after acceptance of the
GTCU will constitute an extenuating request on his part to begin the execution of the GTCU before the expiry of the
aforementioned period.
Insofar as the provision of the IBAN Express Services is subject to the payment of Transaction Fees, the User will be
asked to confirm that he wishes the provision of the IBAN Express Services to begin before the expiry of the withdrawal
period. The exercise of the right of withdrawal entails termination of the GTCU which, in the event of commencement
of performance, takes the form of termination and does not call into question the services previously performed. In
this case, the Consumer User will only be required to pay proportionately for the IBAN Express Services actually
provided by NUN-TECH via the Platform.
Payment services and digital asset services offered by NUN-TECH Partners may also be subject to or not to a right of
withdrawal, under the conditions described in the general conditions of said Partners.
Regarding NUN-TECH's services on Orders on Digital Assets:
The assumption and processing by the Platform of Orders on Digital Assets being immediately carried out at the
express request of the User and after the latter has waived his right of withdrawal, the Consumer User is informed that

he does not have a right of withdrawal concerning Orders on Digital Assets, in accordance with Article L.221-28 of the
Consumer Code.
The exercise of a right of withdrawal may also be excluded concerning the services on Digital Assets provided by the
Service Providers, this aspect being governed by the general conditions of the said Service Providers to which the
Consumer User is invited to refer.
18.2 Exercise of the right of withdrawal

The User must notify his request for withdrawal within the time limit set to NUN-TECH’s Customer Service by email
and send a confirmation letter to the address of NUN-TECH Customer Service. For this purpose, he can use the
withdrawal slip made available to him by NUN-TECH or inform NUN-TECH of his decision to withdraw by an
unambiguous written declaration, sent by email or post (we recommend that you send a recommended letter with
acknowledgment of receipt) to the following address:

19 Acceptance, modification and duration of the GTCU
Any User who has accepted these Terms of Use when registering is deemed to have read them and to have accepted
them in full and without reservation.
These GTCU are concluded for an indefinite period from their acceptance by the User. They can be cancelled at any
time by NUN-TECH or the User under the conditions provided for in Articles 17.1 and 17.2.
NUN-TECH reserves the right to modify all or part of these Terms of Use at any time, in order to adapt them to changes
in the offer of the Platform and IBAN Express Services or to changes in the Applicable Regulations. NUN-TECH will
communicate any proposed modification by email, providing a link to a downloadable version in PDF at least one
month before the envisaged date of entry into force. The draft modification will also be available on the platform, via
the User's Personal Space.
The User may refuse the proposed modification by terminating the GTCU before the date of entry into force, according
to the procedure described in Article 17.2. Termination does not affect all debits (fees, contributions, payment) for
which the User remains liable. The User is deemed to have accepted the modification if he does not notify his refusal
before the date of entry into force.
In the event that the modification results from a legislative or regulatory evolution that does not allow to offer a notice
of one (1) month, the entry into force of this modification could be immediate, the User being however notified of said
modification and retaining the right to refuse it by terminating the GTCU according to the procedure described in
Article 17.2.
NUN-TECH reserves the right to make any changes and improvements to the Platform, the Express IBAN Services and
their content, as it deems necessary or useful, or in order to comply with the evolution of legislation. NUN-TECH will,
however, notify Users of any modification of the Express IBAN Services that has an impact on their use, prior to its
implementation. The User will then have the possibility to terminate these GTCU in accordance with the procedure
described in Article 17.2 .
20 Pricing
20.1 General provisions

NUN-TECH's pricing conditions are available and viewable at any time by the User from the User's Personal Space.
NUN-TECH reserves the right to modify its rates under the conditions indicated in the present Article.

Access to the Platform and the creation of a Personal Space is not a paid service.
IBAN Express Services are billed in Euros and payable exclusively in KYCOIN.
The acquisition value of KYCOIN on the date of update of the GTCU is set at 0.01 Euro. This value may then vary under
the conditions provided for in this Article.
When the User initiates Payment Orders or Orders on Digital Assets through the Platform for execution by NUN-TECH
Partners, he is liable for the following fees (the "Transaction Fees"):

For Payment Orders, the cost of the IBAN Express service is equal to the amount of the Payment Order multiplied by
the reference coefficient.
For Orders on Digital Assets, the cost of the IBAN Express service is equal to the €uros equivalent of the Order on
Digital Asset multiplied by the reference coefficient. The calculation of the equivalent in €uro is based on the value of
the Digital Asset communicated during the execution of the Order by the NUN-TECH Partner in charge of Digital Asset
Services.
The reference coefficients indicated in the cost table are set as follows:

Transaction Fees are levied at the time of the Platform taking charge of orders before they are routed to Partners.
Additional fees may be levied by Partners and Third Party PSPs, according to their own contractual terms.

All Transaction Fees due by the User to the Platform or Partners are automatically paid to NUN-TECH by transferring
KYCOIN from the User to NUN-TECH.
The User authorizes NUN-TECH to compensate at any time, including after the closure of the Personal Space, any
certain, liquid and due claim that remains liable, in any capacity whatsoever. NUN-TECH may offset the provision of
the User's KYCOIN balance with any amount due, due and unpaid by the User to the Service Provider.
The User is informed and acknowledges that NUN-TECH may at any time modify its pricing conditions or acquisition
value of KYCOIN and, consequently, its GTCU. The User will be informed by email and will have a period of three (3)
months to signify his possible termination of the GTCU under the conditions provided for in Article 17.2. Without return
on his part within such a period, the modified tariff conditions and GTCU are deemed enforceable against him.
20.2 Specific conditions for Professional Users

The reference coefficients Ep, Ap and Kp are weighted by an index determined according to the sector of activity of
the professional. This index and/or the weighted value of the benchmarks are communicated to the Professional prior
to the creation of his Personal Space.
By default, in the absence of notification of the index, its value is set at 3.
21 Complaints and mediation
In the event of a dispute or termination concerning the IBAN Express Services, the User may send his complaint by e-
mail to the following address: support@nun-tech.com
NUN-TECH will acknowledge receipt within ten (10) days and respond within fifteen (15) working days of receipt of the
complaint.
Notwithstanding the foregoing provisions, if NUN-TECH reasonably believes that it will not be able to give a response
to the User within fifteen (15) working days, it will send a waiting response to the User clearly justifying the additional
time necessary to respond to his complaint by specifying the maximum date on which the User will receive a response
to the notified complaint, this may not in any case exceed thirty-five (35) Working Days from the date of receipt of the
claim by NUN-TECH.
In the absence of an amicable settlement, the User may refer the matter to a mediator:

In addition, if the dispute or claim concerns one of NUN-TECH's Partners, NUN-TECH will inform the User who will have
contact the Partner concerned under any contractual conditions provided for by such Partner.
22 Processing of personal data
Each of the Parties undertakes to comply with the applicable and current legal and regulatory provisions relating to
the protection of personal data, and more particularly Regulation (EU) 2016/679 of the European Parliament and of the
Council dated 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the
free movement of such data (General Data Protection Regulation or "GDPR").
NUN-TECH informs Users about how it processes their Personal Data on the Platform and the Site via its Privacy Policy
("Policy") available on www.nun-tech.com.

This clause and the Policy apply only to data processing carried out in connection with the performance of the IBAN
Express Services as defined herein and in the Policy. The processing of personal data carried out in the context of the
execution of Orders by the Partners is not subject to this clause and the Policy, but to the applicable documentation
of the Partners.
23 Professional secrecy
NUN-TECH as a Fintech partner of regulated entities in the banking and financial sector is bound by professional
secrecy. However, secrecy may be lifted, in accordance with legal and regulatory provisions and international
conventions. Thus, professional secrecy cannot be invoked against Public Authorities such as the Supervisory
Authorities, the Tax or Customs Administration, or the Judicial Authority acting in criminal proceedings.
In addition, in accordance with the Applicable Regulations, NUN-TECH is authorized to communicate information
covered by professional secrecy to the persons with whom it negotiates, concludes or executes the following
operations, as long as this information is necessary for them:
• acquisition of a holding or control position in a credit institution, finance company, investment firm or asset
management company;
• disposals of tangible or intangible assets;
• assignments or transfers of receivables or contracts;
• service contracts concluded with a third party with a view to entrusting him with important operational
functions.
The third party recipients of this information are themselves subject to an obligation of confidentiality.
In addition to the cases referred to above, professional secrecy may also be waived, on a case-by-case basis, at the
request or with the express authorization of the User, for the exclusive benefit of the persons he will designate in
writing.
In addition, the User expressly authorizes NUN-TECH to communicate the information strictly necessary for the
management of the relationship, to the legal persons of his group and to third parties for the execution of the services
entrusted by NUN-TECH, in particular for the processing of Orders. NUN-TECH has taken appropriate measures to
ensure the confidentiality of the information transmitted.
24 Intellectual property rights
The User acknowledges that all elements relating to the Platform and its content (texts, images, videos, databases,
sounds, photographs, trade names, logos, brands, etc.) are and remain the exclusive property of NUN-TECH, including
all intellectual property rights relating thereto, and / or are subject to licenses and / or authorizations that are granted
to NUN-TECH by third parties. The User acknowledges that there is no transfer of intellectual property to his benefit.
The User undertakes to respect the intellectual property rights of NUN-TECH as well as the rights of third parties and
in particular not to directly or indirectly infringe, both by himself and by an intermediary, these rights.
The User only has a right to use the Platform and its content in accordance with these Terms. This right of use is
personal, non-exclusive, and non-transferable.
The User may not reproduce, make available to the public, execute, publish or modify all or part of the Platform and
its content without the prior written consent of NUN-TECH.
In particular, it is formally forbidden to the User, without the prior written consent of NUN-TECH:
• to reproduce or represent the Platform or its documentation, or to alter or mask in any way the trademarks,
distinctive signs and copyright notices affixed to the Platform;
• to intervene on the Platform in any way and for any reason whatsoever, including to correct any errors, the
evolutionary and corrective maintenance being provided by NUN-TECH or by its subcontractors;

• to seek to undermine the integrity of the Platform, such as to modify or seek to circumvent any protection of
the Platform.
25 Combating money laundering and terrorist financing
As part of the provision of IBAN Express Services, NUN-TECH acts as a service provider to which part of the
implementation of the due diligence obligations incumbent on OLKYPAY and PSAN is outsourced.
Therefore, in order to meet its obligations, NUN-TECH is required to be constantly vigilant with regard to its Users, and
to ensure that the operations carried out are compliant and consistent with the information communicated by the User
when entering into the relationship and updated throughout it.
In addition, when operations are found that appear to be unusual due in particular to their modalities, their amount or
their exceptional nature in relation to those processed so far, NUN-TECH may contact the User in order to request
explanations on said operations, such as their economic justification, their origin and the destination of the funds or
even request further explanations in addition to the supporting documents that already corroborate these operations.
The User's refusal to communicate these elements may lead NUN-TECH to make the declaration provided for by the
Applicable Regulations to the National Financial Intelligence Unit, and if necessary, deactivate without notice the
User's access to the platform.
26 Death of the User as a natural person
The death of the User automatically terminates the GTCU without notice or formal notice, except for special provisions
intended to settle the operations necessary for the liquidation of the succession.
27 Outsourcing
The Parties agree that NUN-TECH may use at its own expense, if it so requires, one or more subcontractor(s) in the
context of the execution of these terms and conditions, and in particular (but not limited to) IT service providers or
information providers. NUN-TECH will remain solely responsible towards the Users for the non-compliance by its
subcontractors with these Terms.
28 General provisions
28.1 Force Majeure

The Parties are not held liable, or considered to have failed hereunder, in the event of delay or non-performance, when
their cause is related to Force Majeure as defined by Article 1218 of the Civil Code.
28.2 Non-Transferability
These GTCU may not be the subject of a total or partial transfer by the User for a fee or free of charge. It is therefore
forbidden to assign to a third party any of the rights or obligations he holds hereunder. In the event of a breach of this
prohibition, in addition to the immediate termination hereof, the User may be held liable by NUN-TECH.
28.3Evidentiary Agreement
All data included in an unalterable, reliable and secure manner in NUN-TECH’s computer database relating in particular
to Orders and notifications sent, shall be authentic between the Parties until proven otherwise.

28.4 Partial disability
If one or more stipulations of the GTCU prove to be invalid or declared as such in application of a law, a regulation or
following a final decision of a competent court, the other stipulations will retain all their force and scope.
Neither NUN-TECH nor the Professional User may claim damages solely because of such invalidity.
NUN-TECH will replace in good faith the stipulation(s) in question by one or more stipulation(s) which are valid and
which come as close as possible to the intention and economic effects of said stipulation(s).
28.5 Language
The GTCU may be translated into several languages depending on the User's country. In the event of any
inconsistency or contradiction as to their interpretation, the French version shall prevail.
28.6 Notifications
The User is informed that NUN-TECH may send him the notifications or notices of modification mentioned in these
GTCU by e-mail, to the e-mail address communicated or via his Personal Space. The User undertakes to regularly
consult his e-mail and his Personal Space, to read the said e-mails carefully, and to apply without delay any instructions.
29 Applicable law and dispute resolution
These GTCU are subject to French law.
In the event of a dispute between NUN-TECH and a User relating to the GTCU and/or the use of the Platform and the
Site, in particular concerning its formation, validity, execution, interpretation or termination, these Parties undertake,
as a first step, to cooperate diligently and in good faith in order to find an amicable solution to their dispute.
Failing to reach an amicable settlement within a reasonable time, any dispute arising relating to the GTCU and/or the
use of the Platform and the Site will be subject to the jurisdiction of the competent French courts.

General Conditions of Use of the Platform
