- After discussion, based on the demand and abilities of Two Party, Party A
and Party B agrees to the following terms and conditions as following:
Article 1: Contract agreement.
- Party A hires Party B for a commercial advertising purpose as follow: Party
A signs a commercial contract by using Party B’s personal SNS for
advertising purpose as follow:

Article 2: Price and payment

2.1. Contract value

The payment for the services in Article 1 is 5,500,000 won (Five million and
five hundred five thousand korean won)

-Besides from the above payment, commission 3% for any sales generated
from the Shopee Link from 11/10-11/13 will also be added to the total payment

-Total payment: 5,765,527원

2.2. Payment
Upon considering the above terms, the payment is as follow:
-The above agreed payment (subtracted 3.3% personal income tax) will be made
within in 7 days after the contents are uploaded (11/17/2022)
Payment shall be made by wire transfer in krw (korean won) to the following
account

Article 3: Contract terms

- The contract shall take effect from the time both parties enter the contract
- In any cases Party B shall not delete video/posts of Party A's product
permanently

Article 4: Party A rights and obligation

4.1. Party A’s obligation.
- Payment shall be made in due course and in full of the contractual value
under Article 2 of this Agreement.
4.2. Party A’s right.
- Have the authority to inspect and supervise Party B's performance of the
contract in accordance with the agreements concluded.
- Have the right to request Party B to report the progress of implementation
of the agreement.
- Have the right to claim damages from Party B if Party B violates the
agreement of the contract.
-Have the right to purchase the options for secondary marketing purpose of
the above contents

Article 5: Party A rights and obligation

5.1. Party B’s obligation.
- Ensure that Party A’s contract terms (Youtube) are uploaded accordingly
upon the agreed schedule .
- Party B shall not delete the post from his platform permanently (except in
some cases, such as due to the product or party A's violation of the law,
affecting the image and name of party B).
- Party B shall compensate for damages to Party B in violation of
contractual agreements
- Report to Party A the progress of the work carried out by Party B.
5.2. Party B’s rights.
 - Ensure Party A to pay on time in accordance with Article 2 of the Agreement.
- Get media support from A and overcome scandals together in case Party A/
Party A’s products have any scandals that affect the credibility with respect to
the products or company that may damage the image of Party B
Article 6: Contract penalties
6.1. Party A: Party A: Failure to make payment to Party B on time
(referred to Article 2), is subjected to pay overdue interest on violations
of interest rate regulations and to be liable before the law.
6.2. Party B: Party B shall be subjected to 15% contract value if the
agreed contents do not meet the above discussed deadline (refer to Article 1)

Article 7: Unilateral Contract Termination

7.1. In the case Party A fails to make payment to Party B on time (referred
to Article 2), Party B has the rights to terminate the contract as well as asking
Party A to make payment according to Contract Article 2 (Value and
Payment)
7.2. Party B: Except in unavoidable situations such as: Youtube/ Instagram
channel is lost or hacked, if Party B does not guarantee the posting of the
video on Youtube channel as the agreed posting schedules, Party A has the
right to unilaterally terminate the contract and demand that Party B be
punished for the violation and compensation for damages under the terms of
the contract

Article 8: Miscellaneous
1. This Agreement shall be effective from the time the parties enter
into the Agreement. Any further amendments shall be made in writing
by both parties.
2. In the course of implementing a contract in which a dispute arises, the
parties negotiate a settlement in principle and respect each other's rights. In
the event that cannot be settled between two parties, either party has the
right to file a lawsuit to request a settlement from the competent court in
accordance with the law.
3. Both parties have read the full text of this Agreement themselves,
understood and agreed to the full text of this Agreement. Party A and Party B
have voluntarily signed/ stamped/pointed this Agreement.
The contract shall be made of 2 copies of the same legal value and shall be
kept by each party
