have concluded the following Employment Contract:

DATE OF EMPLOYMENT

The employment takes effect on 01.11.2022.

TITEL

The Employee’s job category is: Senior Professional


The Employee’s job title is: Senior Safety Adviser.

The Employee’s job description or similar will be provided by the Employee’s manager.

PLACE OF WORK

Novozymes has set up places of work in Greater Copenhagen at addresses in both Bagsværd,
Fuglebakken and Lyngby, and the Employee must appear at his/her place of work at one of these
addresses subject to agreement with his/her immediate manager.
Currently, the Employee will primarily be working on site Bagsværd and be assigned to Corporate
OHS/department 921.
In accordance with general practice under Danish employment law, the Employee may be assigned
to another place of work.

Time spent travelling to and from the place of work is not considered working hours and will not
entitle the Employee to a mileage allowance. Time spent travelling between two places of work
during working hours will entitle the Employee to a mileage allowance in accordance with the
relevant tax rules in force from time to time. 

WORKING HOURS, AGREEMENTS, HOLIDAYS, ETC.

In addition to holidays with pay in accordance with the provisions of the Danish Holiday Act, the
Employee is eligible for the discretionary holidays applicable at Novozymes in accordance with the
rules in force from time to time.

The Employee will be paid full salary during maternity/paternity leave and parental leave, if relevant,
in accordance with the rules in force at Novozymes from time to time. It is noted that a nine-month
waiting period applies.

SALARY, PENSION, ETC.

The salary, which has been agreed at DKK 10.000,00 per month, is payable at the end of the month.

As a temporary resident of Denmark, the Employee will not be enrolled in the Novozymes pension
scheme, but will instead, in addition to the above-mentioned monthly salary, be paid 11% of the
salary with a minor deduction of payment to a mandatory disability insurance. The Employee must
contact People & Organization if he/she wish to be enrolled in the Novozymes pension scheme, to
which Novozymes currently contributes 11% and the Employee contributes at least 5% of the salary
at any time in accordance with the rules in force from time to time.

Further Novozymes reserves the right to make it mandatory that the Employee is enrolled in the
pension scheme if the temporary employment is extended or made permanent. This decision is at
the sole discretion of Novozymes.

The salary will be made available in the Employee’s bank account on the 25th of every month, and
the Employee will receive pay slips in his/her e-Boks.

Any salary adjustment will be effective from April 1. The Employee should not expect any salary
adjustment until, at the earliest, April 1 in the following calendar year in which the Employee was
hired.

In addition, Novozymes will pay a pension contribution of currently 11%, and the Employee will pay a
pension contribution of currently at least 5% of the pensionable salary at any time into a pension
scheme, chosen by Novozymes, in accordance with the rules in force from time to time.

[IF special tax scheme (48E-F)]


An application will be filed on the Employee’s behalf with the Independent Research Fund
Denmark and/or SKAT (the Danish Customs and Tax Administration), enabling the Employee to
make use of the taxation rules in section 48, E-F, of the Danish Tax at Source Act (kildeskatteloven)
(regarding the 27% tax scheme for approved foreign researchers and highly paid employees). It is
noted that Novozymes will apply for the specialist tax scheme, but Novozymes cannot guarantee
that the Employee will be considered eligible for the scheme.

Assuming, that the Employee will be taxed according to section 48, E-F, of the Danish Tax at
Source Act, the Employee will be enrolled in the net pension saving scheme named “§ 53 A” for the
first seven years of his/her employment. According to this net pension saving scheme, tax on
pension savings will be withheld on a monthly basis. Please see the enclosed information.

Should the Employee not be eligible for the specialist tax scheme under section 48, E-F, of the
Danish Tax at Source Act, he/she will be enrolled in the usual pension scheme where pension
savings will be taxed on payout in connection with retirement.

TERMINATION

The termination rules of the Danish Salaried Employees Act will apply to the employment
relationship.

Based on a specific assessment and in special circumstances, the Employee’s employment may be
terminated by Novozymes at one month’s notice to the end of a month if the Employee has received
salary during sickness for a total of 120 days within a period of 12 consecutive months.

In your position you will be in contact with Highly Confidential Information within Novozymes.
This information is of a business-critical nature and must be handled accordingly, as it could cause
damage to Novozymes if such information is lost or stolen.

The Employee is subject to a duty of confidentiality with regard to all matters pertaining to
Novozymes, unless such matters may, due to their nature, be disclosed to third parties. This duty
applies both in connection with, during and after employment.

Violation of the duty of confidentiality will be considered a material breach and may have
consequences for the employment relationship.

All material made available to the Employee will remain the property of Novozymes and must be
surrendered to Novozymes on termination of employment.

Where the Employee or his/her close relatives – directly or indirectly – have or obtain significant
interests, including financial interests, in Novozymes’ customers, competitors, business relations,
etc., Novozymes must be notified in writing – so as to avoid any subsequent doubt as to concealed
conflicts of interest.

During the employment, including during a potential notice period, the Employee is obliged to apply
the full force of labor in Novozymes’ interest and is not entitled to engage in any other business
activities, directly or indirectly, including an independent secondary occupation, be it paid or unpaid,
without written permission. For approval of independent secondary occupation please contact People &
Organization (P&O) for further guidance.

Directorships in commercial undertakings require the area EVP’s prior written approval.
Directorships in non-commercial undertakings – such as directorships in recreational activity
associations, kindergartens, etc. – do not require such approval.

The Employee is subject to the insider rules applying to Novozymes, which means, among other
things, that the Employee may not misuse inside or non-public information in connection with his/her
own or others’ purchase or sale of shares, etc. Reference is made to the rules in force from time to time
posted on Zymernet.

If the Employee is classified as Group 2 Insider, the Employee will receive an e-mail from
Computershare A/S shortly with a link and a password to fill out personal information.

KNOWHOW, COPYRIGHT, INVENTIONS & ELECTRONIC COMMUNICATION

Any know-how or the like developed by the Employee during and as part of his/her employment
relationship, regardless of the medium in which it exists, see the enclosed annex on intellectual
property rights, be the property of Novozymes. In signing this Employment Contract, you confirm
having read and accepted the contents of the annex.

By signing this Employment Contract, the Employee confirms that he/she has read the enclosed
Code of Conduct for Security and IT (“Adfærdskodeks for Sikkerhed og IT”) and that he/she
accepts to act in accordance with these rules.

Novozymes will process the Employee’s personal data in accordance with our Privacy Policy for
employees in Denmark (“Databeskyttelsespolitik for medarbejdere DK”) which is enclosed.

The Employee is obligated to ensure that People & Organization (“P&O”) is at all times notified of
his/her correct and updated address information. Where the Employee moves to another country,
he/she must notify P&O not later than two months before moving.

If the Employee is not a Danish citizen, his/her employment at Novozymes in Denmark is


conditional upon his/her meeting all statutory requirements to working in Denmark at all times,
including holding a valid residence permit and a valid work permit. The Employee is obligated to
renew such permits and submit adequate documentation thereof to Novozymes on a regular basis.

The Employee’s employment is furthermore contingent on that the employee has a clean criminal
record and the correctness of the information provided by him/her regarding exam papers, etc. and
on him/her submitting adequate documentation thereof upon request.

By signing this Employment Contract, the Employee confirms that he/she does not suffer from an
illness or have symptoms of an illness which could significantly impact his/her work ability in this
job.

In addition to this Employment Contract, including annexes, the Danish Salaried Employees Act,
the Danish Holiday Act, the Danish Trade Secrets Act, etc. also apply to this Employment Contract.

Furthermore, any agreements entered into between Novozymes and the occupational group to which
the Employee belongs apply to this Employment Contract.

The Employee is covered by the insurance taken out by Novozymes at any time, including our full-
time accident insurance, which thus also provides cover during leisure time.

Furthermore, the Employee is subject to Novozymes’ general terms and conditions as well as rules
and policies in force from time to time, including rules on illness reporting, alcohol ban, etc.
Reference is made to the Employee Handbook (“Personalehåndbogen”), which is available on
Zymernet.

RESIDENCE IN ANOTHER COUNTRY

If the employee lives in a country other than Denmark, the employee is not permitted to have secondary
occupation (as independent contractor, self-employed or otherwise) or take other paid employment in
that country (or any other country) without prior written approval from P&O, as this can have major
financial consequences, e.g. because of social security rules.

Furthermore, and subject to agreement with the manager of the employee, the employee is only
allowed to work from home/work remote in Sweden for a maximum of up to 40 % of the working
hours of the employee and if the employee lives in other countries (other than Sweden and Denmark)
up to 25 % of the working hours of the employee. In the case of “working from home/remote work”,
documentation of Danish social security must be applied for from the relevant authorities. It is the
responsibility of the employee to ensure this documentation throughout the employment.

P&O is helpful with information about the process for applying for social security.

If Novozymes is subject to social security contributions or anything else in the country of residence of
the employee due to lack of approval for “work from home“ in the home country or secondary
occupation or employment in another company, Novozymes reserves the right to claim damages,
compensation or similar from the employee.

This Employment Contract has been signed by both parties using digital signatures.
