STANDARD TERMS AND CONDITIONS OF SALE (SAL-STC-001 I Rev. B)

1. PRICES.
All prices charged will be the prices that are in effect on the invoice date or the prices that are in effect on the date of completion if shipment is deferred on
purchaser's instructions and are subject to change without notice. All shipments are EXW point of shipment unless otherwise specified. Minimum billing is
$500.00. MCT also requires a substantial deposit for special or non-stock purchases. No discount will be allowed for prompt payment. Payment shall be made to
MCT at its Pre-Advised bank accounts and shall not be considered paid until MCT receives Bank confirmation of amount deposit or transfer. MCT will not accept
any penalty or late clause of any nature unless specially agreed in writing in our quotation and sales order acknowledgment. All reference to penalty clauses
must be made in the request for quotation by the customer and must be accepted in MCT Quotation or Sales order in writing. All other demands for penalty
payments by MCT of any type will not be accepted.

2. Terms of Payment.
Terms are full payment in advance with PO. To those purchasers with an established credit standing with MCT would negotiate favorable term of payment with
successful credit history.

3. Taxes.
Prices do not include duty, sales, or use taxes. Any duty, sales or use taxes that MCT is obligated by law to collect will be added to the invoice price.

4. Quotations.
Price quotations will not be binding unless otherwise agreed upon in writing. The submission of a quotation by MCT in response to purchaser's request does not
constitute an expression of acceptance of any term or condition which may have been set forth in purchaser's request. The terms and conditions of sale set forth

herein are the only terms and conditions applicable to the sale of the products described on the face hereof, notwithstanding prior invoices. Purchaser
acceptance of the quotation is a confirmation that the quoted equipment is technically meeting the applications/operations that they were purchased for.

5. Invoice.
MCT ships all products under its standard terms and conditions which are set forth on the invoice form. Any additional or different terms or conditions of sale
set forth in the purchase order or other communication from purchaser are objected to by MCT and shall not be effective nor binding unless assented to in
writing by an officer of MCT.

6. Express Warranty.
MCT warrants all its products against defects in workmanship and material for a period of 365 days (one year) after shipment. Adjustment under this warranty
will be made only after completion of inspection of the part or product in our factory. Liability under the warranty shall extend only to the replacement or
correction of any defective part or product as determined by MCT. All materials must be returned freight prepaid. This warranty shall not apply to any product
that has been repaired or modified without the written consent of an authorized representative of the manufacturer; or operated or installed in a manner
contrary to the manufacturer's instructions; or subjected to misuse or improper maintenance or has been damaged by accident or negligence of anyone other
than manufacturer. MCT reserves the right to discontinue models or to change specification at any time without notice. No discontinuance or change will create
any liability on the part of MCT in respect to its products in the hands of customers or products on order not incorporating such changes even though delivered
after such change.

THE EXPRESS WARRANTIES SET FORTH IN THIS DOCUMENT ARE IN LIEU OF ALL OTHER WARRANTIES EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED
TO, ANY WARRANTIES OF MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE OR INTENDED USE.

7. Quality Documents.
Equipment are supplied with COC only, Additional Quality documents & Traceability requirements by purchaser would impact the delivery time & cost and
same shall be confirmed at time of contract/PO by the purchaser. In case any customer is not defined any quality specific requirements for the tools, MCT
products will be inspected and tested as per MCT standard work practice and followed general quality grade, validation grade and product marking for all
applicable tools.

8. Cancellations.
No purchase order with respect to which MCT has issued a sales confirmation may be canceled or the manufacture of the products thereunder suspended
after the date of the sales confirmation without written consent of MCT. MCT's consent may, at its option, be predicated upon a cancellation charge. Upon
such cancellation or suspension at the request of purchaser agrees to reimburse MCT promptly for all expenditures for materials used, labor, and
engineering services performed, or for which MCT has obligated itself, a proportionate share of direct manufacturing, engineering, selling, general and
administrative expenses included in connection with such purchase order so far as it has been earned under the purchase order. In addition, purchaser shall also
reimburse MCT for any extraordinary costs and other expenses attributable to such suspension or cancellation.

If product is rejected on inspection by purchaser, MCT must be notified in writing within Ten (10) days from receipt of the product or MCT shall have no
obligation to correct such defect. MCT shall then have the option of re-inspection at purchaser's plant or its own before allowing or disallowing
purchaser's claim. Defects that do not impair service shall not be a cause for rejection, or recovery under the warranty. NO PRODUCTS SHALL BE RETURNED TO
MCT (WHETHER DUE TO CANCELLATION OF A PURCHASE ORDER OR FOR ANY OTHER REASON NOT THE FAULT OF oil) WITHOUT PRIOR WRITTEN
AUTHORIZATION FROM MCT AND ALL PRODUCTS MUST BE RETURNED FREIGHT PREPAID. An inspection and restocking charge on all returned items, will,
at MCT's option, be required. Any request to return products shall include, in addition to other information reasonably requested by MCT, a full description of
the products, the date of the purchase order and MCT's invoice number.

10. Shipment.
All MCT Contracts are governed by Incoterm 2020. Partial shipments of orders will be made unless the customer specifically prohibits partial delivery in the
conditions of the request for quotation and the final purchase order. Unless otherwise specified herein, all shipments are EXW point of shipment unless
otherwise specified in the sales order document. MCT's responsibility for shipment terminates upon delivery of products herein referred to, the title thereto
and risk of loss, shall be considered as being transferred to the purchaser upon delivery to the common carrier for transportation to the purchaser and title to
the products shall not revert to MCT by operation of law for any purpose. No claims for shortages, damages, or failure in delivery, whether by common
carrier, parcel post or otherwise, may be made by the purchaser against MCT. In the absence of written shipping instructions from purchase, MCT may ship the
products freight collect to the purchaser upon delivery to the common carrier. Purchaser agrees that a reproduction hereof may be filed by MCT as a financing
statement at any time. An additional charge may be made for crating and for export packing and crating All scheduled delivery dates are estimated based on a
normal work load and all deliveries are subject to change without liability to MCT.

11. Force Majeure.


MCT will not be liable for any losses or delays resulting from fire, flood, storms, strikes, or other circumstances beyond its control which affect its operation
or the operations of its suppliers.

12. Safety Requirements.


Many MCT products contain rotating parts which are potentially dangerous.
The purchaser assumes all liability for the installation and operation of such equipment and should provide suitable guarding, employee training and otherwise
comply with all applicable safety codes.

13. Miscellaneous.
None of the Standard Terms and Conditions of Sale herein set forth may be added to, modified, superseded or otherwise altered except by a written
instrument signed by an officer of MCT and delivered by MCT to purchaser. Each shipment received by purchaser from MCT shall be deemed to be upon the
terms and conditions herein set forth, except as they may be added to, modified, superseded or otherwise modified as provided above, notwithstanding any
terms and conditions that may be contained in any purchase order or other form of purchase and notwithstanding purchaser's act of accepting or paying for
the products or similar act of purchaser. No agent, employee, or representative of MCT has any authority to bind MCT to any affirmation, representation or
warranty concerning goods sold. Unless an affirmation, representation or warranty made by agent, employee or representative is specifically included within a
written agreement and signed by an officer of MCT, it shall not be enforceable by purchaser. Any typographical or clerical error herein is subject to
correction. This document and the sale of the products described herein shall be construed in accordance with the laws of the Unites Arab of Emirates.

14. Incoterms.
All MCT Contracts and in particular all freight terms and conditions are governed by Incoterms 2020. For a current copy please request from MCT
Sales or the International Chamber of Commerce.

15. Storage & Handling Recommendations:


o Store tools indoors, out of direct sunlight
o Provide protective coatings to metal parts as necessary to prevent rust and corrosion
o For tools that are shipped in boxes or tubes, keep in the shipping containers until ready for use
o For tools with threaded ends, keep thread protectors in place to protect threads and to prevent debris from entering inside of the tool
o Take necessary precautions to prevent corrosion and debris from accumulating inside of opening/near moving parts of assemblies
