MEMORANDUM OF AGREEMENT

MEMORANDUM OF AGREEMENT both executed on this _____ Day of _________________, 2020

BETWEEN

FEPA Engineering Sevices, represented by Cristopher Anatado Javido and Ramil Zapanta Canque,
both of a legal age, with having an address at Cebu City hereinafter called the “CONTRACTOR” (which
expression shall unless it be otherwise repugnant to the context or meaning thereof be deemed to mean and
include her heirs, executors, administrators and assigns) of the FIRST PARTY.

AND

Power China Telecom, represented by Cebu Agent namely, Jerremiah Q. Intong, Charles O. Sollano,
Becilyn C. Irocido and Glades P. Tibon, hereinafter called “COMPANY-AGENT” (which expression
shall unless it is otherwise be deemed to mean and include his heirs, executors, administrators and assigns )
of the SECOND PARTY.

WHEREAS the FIRST PARTY willingly want to engage the erection cell tower work for Cebu
Province as called “CONTRACT PROJECT”.

AND WHEREAS SECOND PARTY will endorse the FIRST PARTY to Power China Telecom for
“Construction and Erection of Cell Towers” in the province of Cebu and assuring the award of the contract
project.

AND WHEREAS SECOND PARTY will assure that Power China Telecom will release outright the
30% percent of the contract price as down payment for mobilization fund to the FIRST PARTY.

AND WHEREAS the FIRST PARTY has agreed to give a share for 5% percent each tower contract
price as honorary commission to SECOND PARTY, provided assurance the award of the contract project.

AND WHEREAS the FIRST PARTY has agreed to increase the share to SECOND PARTY as
honorary commission depends on the outcome of the of the contract project progress billing. .
TERMS AND CONDTION

1) The terms and conditions of this memorandum of agreement will be in force from the date of
signing of the final award of the contract project by FIRST PARTY to Power China Telecom for
“Construction and Erection of Cell Tower”

2) The said memorandum of agreement will be void if SECOND PARTY failed there obligation to
endorse the FIRST PARTY to Power China Telecom for “Construction and Erection of Cell
Tower”

3) The FIRST PARTY are not legally liable and free from any form of legal suit, monetary damages
and claim from the SECOND PARTY if the contract project will not materialized.

4) The said memorandum of agreement are not binding in the absence of the final award of the contract
project.

5) In case any dispute arises between the parties hereto the same shall be referred to an Arbitrator to be
appointed by mutual consent of the parties hereto and the decision of the arbitrator should be binding
on both parties.

NOW, THEREFORE, It is hereby agreed by FIRST PARTY and SECOND PARTY all provision of the
memorandum of agreement.

We, the undersigned have read and agreed with this MOA, Further, we have reviewed and approved it.
