Janitorial Services Contract

WHEREAS, the client is in need of a Company for maintenance and janitorial services for
its premises;
WHEREAS, the Company engages companies and provide janitorial services;
WHEREAS, the Company agrees to engage with Client in entering to an agreement for
janitorial services;
NOW, THEREFORE, for and in consideration of the foregoing premises and terms and
conditions herein set forth, the parties agree as follows:
TERM
This contract commences from upon signing this agreement and shall be effective for
(Duration) _ _ _ _ _ _. This contract shall automatically renew upon its expiration subject to
the same terms and conditions herein unless either party makes a written notice to amend any
of its provisions, or sends a written notice of termination thirty days before effectivity of
termination of this agreement.
SERVICES
Contractor shall furnish the client (Number of personnel) _ _ _ _ _ _ _ Physically fit
personnel to work within the premises of the Client during work hours. Client may have the
option to select and replace personnel to services during the effectivity of this contract.
The Contractor shall ensure that:
1. Rooms, hallways, stairs and offices are all cleaned by mopping, sweeping, cleaning
window panels and doors.
2. Toilets and washrooms are cleaned using cleaning agents. Tiles shall be scrubbed
whenever necessary and mirrors shall be wiped clean on a periodic basis.
3. Trash bins shall be emptied and collected on a periodical basis and trash shall be
thrown onto designated trash areas.
4. Floor polishing, if necessary, shall be done on a weekly basis.
5. Cleaning of ceilings, carpets, rugs and fans shall be done on a monthly basis.
WORK PERIOD
The personnel of the Contractor shall work for (Number of weeks) _ _ _ _ _ (work days in
week) _ _ _ _ _ _ _holidays included, unless otherwise specified by client to not render
operations during certain days.
PAYMENT TERMS
Payment shall be made by check.
NO EMPLOYER-EMPLOYEE RELATIONSHIP
The Contractor has sole responsibility for the personnel assigned to the Client’s premises to
perform janitorial services. Client shall not be in any way responsible for any claims of injury
or damages caused by Contractor’s personnel whether or not the injury, damage, damages,
or loss is due to the Contractor’s personnel’s performance during work hours.
SEPERABILITY CLAUSE
If any provision of this Contract is declared void, invalid, unenforceable, or in any way
contrary to law by final judgment by any court or other judicial or quasi-judicial body of
competent jurisdiction, the other provisions not affected by the Said judgment or decree shall
remain valid and enforceable.
RELATIVITY CLAUSE
This Contract inures the benefit of, and is binding upon the parties, assigns and successors
hereto.
GOVERNING LAW
The contract shall be construed and shall be governed by the laws of the state of
