MEMORANDUM OF UNDERSTANDING

This memorandum is made and executed as on 15 Dec 2022

By and Between

California Pizza through its Owner having its registered head office in Sector 30,1D-18,Korangi
Industrial Area, Karachi, Pakistan hereinafter called the First Party

AND

‘Franchise Pakistan’ (franchisepk.com), A Project of Franchise Services (PVT) LTD (NTN #

7556797-1) through its Director operations (hereinafter called the Second Party)

1. The MOU witnesses initial understanding between California Pizza and Franchise Pakistan.
2. The MOU is valid till 01 st December, 2023. According to this agreement Franchise Pakistan
shall facilitate California Pizza brand in promoting its business via Franchising Model.

3. The brand Logo is the property mark of California Pizza. Franchise Pakistan shall only use
brand’s logo and Trademark for promotion on different Franchise Pakistan Platforms to find a
desired pool of investors.
4. Any deal assisted by Franchise Pakistan, the representatives of both parties California
Pizza and Franchise Pakistan shall be available for the signing of a franchise deed to
ensure transparency.
5. California Pizza shall extend their full support to Franchise Pakistan in providing all the
necessary material required for the promotion of California Pizza brand to attract the right
set of investors and subsequent arrangement of meetings.
6. Both parties reserve all the rights to cancel the MOU with one-week prior notice.
7. California Pizza shall release its commission to Franchise Pakistan within three days on
receipt of the franchise fee/Joint Venture assisted by Franchise Pakistan.
8. Based on the category of investment California Pizza is liable to pay Franchise Pakistan (A
Project of Franchise Services PVT LTD) either
i) 15% commission of the franchise fee (OR)
ii) One month rental value for assistance in finding a commercial space e.g
Malls etc (OR)
iii) 200,000 PKR in case of JV

9. For aggressive promotional purposes, which is to gather a substantial pool of investors.

California Pizza may pay 50,000 PKR per Month to Franchise Pakistan for SMS Campaign,
WhatsApp Campaign, Social Media Campaign and ad on Franchise Pakistan website
(franchisepk.com) This is Completely Optional*
