Between the following parties: Professor Dr. DOLLY MONTOYA CASTAÑO, named RECTOR
by means of Resolution No 018 of 2021 and Possession Certificate No. 001 of 2021, acting
according to articles 15º of the Agreement 011 of 2005, article 13 of Decree 1210 of 1993
and the article 3 of the Agreements and Contracts Manual adopted by Resolution of Rectory
No 1551 of 2014, in name and representation of the UNIVERSIDAD NACIONAL DE
COLOMBIA (“UNAL), autonomous entity of the Colombian state, attached to the Ministry of
National Education of Colombia, governed at the moment by Decree 1210 0f 1993, with
address in Carrera 45 No 26 – 85 Edificio Uriel Gutiérrez in the city of Bogotá D. C. –
Colombia, on one hand.
And by the other, Mr. Glen Shore, that holds the position of MIT Excecutive Vice-President
and Treasurer and acts in name and representation of the Massachusetts Institute of
Technology in the United States of America ("MIT") on behalf of the MIT International
Science and Technology Initiatives MIT-Colombia Program (MIT-Colombia) within MIT,
hereinafter referred to as the "Parties".
ARTICLE I
Objective
This Agreement aims to establish a framework for the financing of collaborative projects
between the "MIT" and "UNAL" on identified areas of common interest and to encourage
and support scientific and technological cooperation between "PARTIES".
ARTICLE II
Establishment of The Fund
" MIT " will establish the "MIT-Colombia-Universidad Nacional de Colombia Fund" ("THE
FUND" ) as provided by
" UNAL " whose object involves providing attention to the agreed programs stated here.
One hundred thousand (100,000) US dollars, due on or before August 15th, 2022
"THE FUND" will be administered within the MIT International Science and Technology
Initiatives (“MISTI”) program in the Center for International Studies as a part of MISTI Global
Seed Funds.
MIT may charge "THE FUND" with administrative and investment expenses in accordance
with MIT policies and procedures.
MIT will establish “THE FUND” with the initial deposit. “UNAL” may add to “THE FUND” at
any time, including through distributions from trusts, estates or other entities.
For the Seed Fund grants, MISTI shall issue an annual call for proposals open to all “MIT”
faculty, principal research scientists and senior research scientists. Faculty and research
scientists at Universidad Nacional de Colombia will be eligible to be co-applicants on
proposal applications. Researchers employed by companies are not eligible to apply. MISTI
encourages applicants to include undergraduate and graduate students in their proposals.
Proposals shall comply with the administrative and filing requirements as determined by
MISTI.
Proposals will first be evaluated by “MIT” faculty knowledgeable about the field within
which the proposal falls. “MIT” will review proposals taking into consideration the
importance of the scientific problem or project and its potential contribution to the field.
At the same time, “UNAL” if they wish may receive proposals and provide feedback to
“MIT”. “MIT” will consider such feedback in making its funding decisions.
The finalists will be selected by the MIT-Colombia Universidad Nacional de Colombia Seed
Fund selection board consisting of “MIT” faculty. Proposals shall be selected based on the
quality of the proposal, and priority will be given to projects that: i) demonstrate a balanced
exchange between “MIT” and “UNAL”; ii) are new or entering a new phase; iii) involve
students and young scientists; and, iv) are likely to be sustainable beyond the grant period.
The maximum amount of funding per project proposal shall be 25,000 US dollars. This
funding may be used for travel, meeting, and workshop costs. This funding cannot be used
to cover salaries or materials.
Awards will be announced following the selection of grantees, and grant funding will be
available for use for a period of up to twenty (20) months. The grant period may be
extended consistent with MISTI procedures. Any unused portions of grants shall remain the
property of the Fund. Grant recipients shall submit a final report to MISTI at the end of their
projects.
For the MIT-Colombia internship, MIT intern expenses include monthly stipend,
flights, US-Colombia-US, and health insurance.
MIT shall apply to the Fund the administrative and investment fees required by
MIT policy, as in effect from time to time.
ARTICLE III
Activity Coordinator
Each Party may appoint an Activity Coordinator who will be responsible for monitoring and
evaluating the activities contemplated by this Agreement and informing "PARTIES" about
the results of their efforts.

ARTICLE IV
Confidentiality
Neither Party will communicate any personally identifiable personal data about any
individuals participating in activities contemplated by this Agreement to any third party
without the prior written consent of the concerned person The obligations prescribed under
this Article shall survive the termination of this Agreement.
ARTICLE V
Term and Termination
This Agreement will enter into force from the date of its signature and will continue in force
for a period of two (2) years and may be renewed for periods of equal duration, prior to
written agreement between the Parties, provided that Reddi contributes additional funding
at the levels necessary to support the activities of this Agreement
The termination of this Agreement shall not affect ongoing activities that have been
formalized during the term, unless the Parties agree otherwise.
ARTICLE VI
Advertising and Use of Name
Neither Party shall use the name, any trademark or any logo of the other Party in any
promotional materials or publicity without the prior written permission of the other Party
in each instance. For MIT, permission must be granted by the MIT Technology Licensing
Office.

Entre las partes: por un lado, Profesora Dra. DOLLY MONTOYA CASTAÑO, nombrada
RECTORA mediante Resolución No. 018 de 2021 y Acta de Posesión No. 001 de 2021,
actuando conforme a los artículos 15º del Acuerdo 011 de 2005, artículo 13 del Decreto
1210 de 1993 y el artículo 3 del Manual de Convenios y Contratos adoptado por Resolución
de Rectoría No 1551 de 2014, en nombre y representación de la UNIVERSIDAD NACIONAL
DE COLOMBIA (“UNAL”), entidad autónoma, adscrita al Ministerio de Educación Nacional
de Colombia, regida actualmente por el Decreto 1210 de 1993, con domicilio en Carrera 45
No 26 – 85 Edificio Uriel Gutiérrez en la ciudad de Bogotá D. C. – Colombia.
Y por otro lado, el Mr. Glen Shore, que ocupa el cargo de MIT Excecutive Vice-President and
Treasurer y actúa en nombre y representación del Massachusetts Institute of Technology
en los Estados Unidos de América ("MIT") en representación del MIT International Science
and Technology Initiatives MIT-Colombia Program (MIT-Colombia) dentro de MIT, en lo
sucesivo denominadas las "Partes".
ARTÍCULO I
Objeto
Este Acuerdo tiene como objeto establecer un marco para el financiamiento de proyectos
colaborativos entre el "MIT" y la "UNAL" en áreas de interés común y para fomentar y
apoyar la cooperación científica y tecnológica entre las Partes.
ARTÍCULO II
Creación del Fondo
MIT podrá cobrar a "EL FONDO" los gastos administrativos y de inversión en concordancia
con lo establecido en las políticas y procedimientos de MIT.
El MIT constituirá “EL FONDO” con el depósito inicial de la “UNAL”, que podrá adicionar
nuevos rubros a “EL FONDO” en cualquier momento, incluso a través de distribuciones de
fideicomisos, sucesiones u otros mecanismos.
Para las financiaciones del Seed Fund, el MISTI realizará una convocatoria anual abierta a
todos los profesores del “MIT”, investigadores principales e investigadores senior. Los
profesores e investigadores de la UNAL serán elegibles para ser co-solicitantes en las
solicitudes de propuestas financiables. Los investigadores que sean empleados por
empresas no serán elegibles para postularse a las convocatorias. MISTI promoverá que los
solicitantes incluyan estudiantes de pregrado y posgrado en sus propuestas financiables.
Las propuestas financiables deberán cumplir con los requisitos administrativos y de
presentación que determine el MISTI.
Las propuestas serán evaluadas inicialmente por profesores del "MIT" con conocimientos
sobre el campo en el cual se enmarca la propuesta financiable. “MIT” revisará las
propuestas financiables teniendo en cuenta la importancia del problema o proyecto
científico y su contribución potencial al campo.
Las propuestas finalistas de las convocatorias publicadas por el “MIT” serán seleccionadas
por el comité de selección del Seed Fund MIT-Colombia-Universidad Nacional de Colombia,
el cual estará compuesto por profesores del “MIT”. Las propuestas financiables se
seleccionarán en función de la calidad de la propuesta y se dará prioridad a los proyectos
que: i) demuestren un intercambio equilibrado entre el MIT y la UNAL; ii) sean nuevos o
estén entrando en una nueva fase; iii) involucren a estudiantes y jóvenes investigadores; y
iv) sea probable que sean sostenibles más allá del período de financiación.
En relación con las pasantías MIT-Colombia, los gastos del pasante MIT incluirán estipendios
mensuales, vuelos EE. UU.-Colombia-EE. UU. y seguro médico.
MIT cobrará al Fondo las comisiones administrativas y de inversión exigidas por la política
del MIT que se encuentre vigente.

Confidencialidad sobre datos personales
Ninguna de las Partes comunicará datos personales las personas que participen en las
actividades contempladas en este Acuerdo a ningún tercero sin el consentimiento previo
por escrito del titular de los datos personales. Estas obligaciones permanecerán vigentes
aún después de la terminación de este Acuerdo.
ARTÍCULO VI
Duración y Terminación
Este Acuerdo entrará en vigor a partir de la fecha de su firma y continuará vigente por un
período de dos (2) años, pudiendo ser renovado por períodos de igual duración, previo
acuerdo escrito entre las Partes, siempre que “UNAL” realice aportes adicionales a EL
FONDO en los niveles necesarios para apoyar las actividades del Acuerdo.
Si cualquiera de las Partes decide dar por terminado el presente Acuerdo, deberá hacerlo
mediante comunicación escrita dirigida a la otra Parte con seis (6) meses de anticipación.
ARTÍCULO VII
Publicidad y uso de signos distintivos
Ninguna de las Partes utilizará el nombre, marca comercial o logotipo de la otra Parte en
ningún material promocional o publicidad sin el permiso previo por escrito de la otra Parte.
Para MIT, el permiso debe ser otorgado por la Oficina de Licencias de Tecnología del MIT.
ARTÍCULO VIII
Solución de controversias
MASC, las Partes tendrán libertad para llevar el caso ante los tribunales ordinarios
de justicia para una decisión. Nada en este Acuerdo impedirá que una de las Partes
busque la declaración de medidas cautelares.
ARTÍCULO IX
Jurisdicción
Este Acuerdo se regirá por la ley estadounidense o la ley colombiana, a elección del
demandado/demandante. Cada Parte acuerda que cualquier procedimiento relacionado
con cualquier disputa o reclamación (incluidas las disputas o reclamaciones no
contractuales) que surja de este Acuerdo o que esté relacionado con este acuerdo o su
objeto o celebración contra MIT por UNAL se llevará ante los tribunales de los Estados
Unidos de América, y cualquier procedimiento de este tipo contra la UNAL por parte del
MIT se iniciará en los tribunales de Colombia.
