Dear Mr. Reginaldo S. Dela Cruz,

On the advise of our lawyer and to reflect the changes in our Deed of Conditional Sale between the
Ganayan Family and CAVDEAL on the sale of our 50 hectares property located in Sta. Barbara Iba,
Zambales, we propose the following amendments in our contract as follows:

Article 2 Terms of Payment and Upfront Payment and Balance

From:
2.a Additional P 1,000,000.00 Upon presentation of proof of payment of the settlement of
the estate of Crisostomo Ganayan including the ECAR issued by the Bureau of Internal Revenue and
execution of Deed of Absolute Sale in favour of the Buyer

To
2a. Additional P 1,000,000 - upon execution of the Deed of Transfer of Rights from the Seller
to the Buyer

From:
2c. Additional P 1,000,000 – upon submission of the request for transfer of Tenurial rights
with the Department of Environment and Natural Resources

To:
2c. Additional P 1,000,000 – upon submission of the Tax Declaration in the name of the
Buyer issued by the Municipal Assessor of Iba Zambales and duly approved by the Provincial
Assessor of Zambales

From:
2d. Remaining P 17,000,000 – upon submission of proof of payment of tenurial rights in
favour of Cavite Ideal International Construction and Development Corporation and proof of transfer
of Tax Declaration in favour of the Buyer

To:
2d. Remaining P 17,000,000 – upon submission of the Original Certificate of Title issued by
the Deparment of Environment and Natural Resources in favour of the Buyer.

Article 8 Liability to Pay the Corresponding Taxes and Fees

From:
The Seller shall shoulder all the costs and expenses relating to the capital gains tax and
Documentary Stamp Tax including Brokers Commission if any and while the Buyer shall shoulder the
transfer tax, registration expenses with the Registry of Deeds of Zambales
To:

The Seller and the Buyer shall shared equally in the cost of application for original titling with
the Department of Environment and Natural Resources up to the actual release of the title in favour
of the Buyer. However, the Buyer has the option to advance the cost of application and deduct the
share of the Seller.
