AFFIDAVIT OF SPECIFIC DENIAL

I, Liezl Libutan, of legal age, Filipino citizen, married, and

postal address 230 CAVDEAL Building, EDSA Extension Avenue, San
Rafael Pasay City, after having sworn in accordance with law, depose
and states that:

1. I am the duly Corporate Secretary of Lucent Evermore Estate

Development, Inc. a corporation duly existing under the laws of the
Philippines, with principal address at 230 CAVDEAL Building, EDSA
Extension Avenue, San Rafael Pasay City

2. Part of my functions as Corporate Secretary is to take note of

the board resolutions of the duly elected and incumbent board of
directors;

3. On February 18, 2016, the board has resolved, Board

Resolution No. 1, to authorize Mr. Reginaldo S. Dela Cruz to carry
into effect the purchase of certain property located in Naga Road
corner Tramo Street Barangay Pulanglupa Uno Las Pinas City;

4. I have learned that Mr. Reginaldo S. Dela Cruz entered into a

Memorandum of Agreement with Benjamin D. Dela Cruz Jr., Amelita
Fajardo, Josephine Dela Cruz, Julieta Dela Cruz and Benj C. Dela
Cruz, where Mr. Reginaldo S. Dela Cruz has recognized the latter as
co-owners;

4. Nowhere in Board Resolution No. 1, nor any board

resolution, authorized Mr. Reginaldo S. Dela Cruz, to enter into any
Memorandum of Agreement to donate any property belonging to the
Corporation;

5. I vehemently deny the authenticity of the said

Memorandum of Agreement, and discount the same to be
binding on the corporation, Lucent Evermore Estate
Development, Inc.; and

6. I am executing this affidavit for whatever legal purpose it

may serve.
