(The Company)

WRITTEN RESOLUTION OF THE SOLE MEMBER

In the city of Coral Gables, on the 19th of August, 2009, the members of the Board of Directors, who
sign on the foot of the current document, meet in the head office of the Company GRUPO SUTEC,
S.A. to emit the present written resolution as the sole member of Company SUTEC HOLDING, LLC.
Being 15.00 hours., the low act is opened, to discuss the subject with the participation of the
company in other or others incorporated or to be incorporated Companies in the Republic
Federative of Brazil, for which, it will have: (I) to register the Company in the “Receita Federal do
Brasil”, so it can participate as a shareholder of incorporated Companies or those to be
incorporated in the Republic of Brazil; (II) to designate the main legal Representative and the
granting of special Power of Attorney to this effect; (III) to designate the substitute legal
Representative and the granting of special Power of Attorney to this effect; (IV) To authorize the
lawyers so that they can make the needed register. After an interchange of opinions, it is resolved
unanimously:

I) To register the Company SUTEC HOLDING, LLC in the “Receita Federal do Brasil”, so it can
participate like shareholder of incorporated Companies or those to be incorporated in the
Republic of Brazil;

II) To designate main legal representative of SUTEC HOLDING, LLC to Mr. André Sussumu
Iizuka, Brazilian, married, profession lawyer, OAB/SP sob o Nº 154.013, with legal address at
Rua Jorge Tibiriça, 74 – Apt 182 – Vila Mariana, CEP 04126-000, Sã o Paulo/SP, Republic of
Brazil, to be demanded and to receive any citation and to resolve anything as administrators of
the goods cited in Point XIV of article 11 of the instruction RFB Nº 748/2007 of June 28, 2007,
and to grant a special Power of attorney to this effect.

III) To designate the substitute Legal Representative of SUTEC HOLDING LLC to Mrs. Silvia
Hiromi Kimura Iizuka, Brazilian, married, Profession Lawyer, OAB/SP sob o Nº 179.587, with
legal address at Rua Jorge Tibiriça, 74 – Apt 182 – Vila Mariana, CEP 04126-000, Sã o Paulo/SP,
Republic of Brazil and to grant a special Power of Attorney to this effect.

IV) To authorize Dr. Andre Sussumu Iizuka, and Dra. Silvia Hiromi Kimura Iizuka,
Attorneys at Law and Legal Representatives of SUTEC HOLDING, LLC, Partners of the Law
Offices IIZUKA ADVOCACIA, incorporated under the laws of the Republic of Brazil, CNPJ/MF nº
05.410.531/0001-76, and the Register of Lawyer Partnerships Nº 7136, of the Lawyers of the
State of Sã o Paulo – OAB-SP; in order to, as true and lawful attorneys and agents with full
Power on behalf of SUTEC HOLDING, LLC to register the Company according to the Brazilian
laws on the Receita Federal of Brazil, and to resolve anything as administrators of the goods
cited in Point XIV of article 11 of the instruction RFB Nº 748/2007 of June 28, 2007.
