The Parties have Acknowledged their legal capacity to contract and have -:‫أﻗﺮ اﻟﻄﺮﻓﺎن ﺑﺄﻫﻠﻴﺘﻬﺎﻤ اﻟﻘﺎﻧﻮﻧﻴﺔ ﻟﻠﺘﻌﺎﻗﺪ واﺗﻔﻘﺎ ﻋﲆ ﻣﺎ ﻳﲆ‬
agreed on the following:

1. The above preamble shall be deemed as an integral part of this contract.


.‫ﻳﻌﺘﱪ اﻟﺘﻤﻬﻴﺪ أﻋﻼه ﺟﺰء ﻻ ﻳﺘﺠﺰأ ﻣﻦ ﻫﺬا اﻟﻌﻘﺪ‬ .1
2. The Lessor shall hand over the Unit to the Lessee in a good and usable ‫ﻳﻠﺘﺰم اﳌﺆﺟﺮ ﺑﺘﺴﻠﻴﻢ اﻟﻌﻦﻴ اﳌﺆﺟﺮة ﰲ ﺣﺎﻟﺔ ﺳﻠﻴﻤﺔ وﺻﺎﻟﺤﺔ ﻟﻼﺳﺘﻌﺎﻤل ﰲ اﻟﺘﺎرﻳﺦ اﳌﺘﻔﻖ ﻋﻠﻴﻪ ﺑﺎﻟﻌﻘﺪ‬ .2

3. The Lessee shall not perform any modification or additions on the Unit or utilize ‫ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﻌﺪم إﺟﺮاء أﻳﺔ ﺗﻌﺪﻳﻼت أو إﺿﺎﻓﺎت ﻋﲆ اﻟﻌﻦﻴ اﳌﺆﺟﺮة أو اﺳﺘﻐﻼﻟﻬﺎ ﻟﻐﺮﻴ اﻟﻐﺮض اﻟﺬي‬ .3
the same for purposes other than agreed except after obtaining a written .‫اﺳﺘﺆﺟﺮت ﻣﻦ أﺟﻠﻪ إﻻ ﺑﻌﺪ اﻟﺤﺼﻮل ﻋﲆ ﻣﻮاﻓﻘﺔ ﺧﻄﻴﺔ ﻣﻦ اﳌﺆﺟﺮ‬
consent of the Lessor. .‫ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﻌﺪم إﺟﺮاء أي ﺗﻌﺪﻳﻼت أو إﺿﺎﻓﺎت ﻋﲆ اﻟﻌﻦﻴ اﳌﺆﺟﺮة‬ .4
4. Lessee is not permitted to carry out any alternations or additions to the Leased ‫ ﻛﺎﻤ‬.‫ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﻌﺪم إزاﻟﺔ اﻷﺷﻴﺎء اﻟﺘﻲ ﻳﺜﺒﺘﻬﺎ واﻟﺘﻲ ﻗﺪ ﻳﱰﺗﺐ ﻋﲆ إزاﻟﺘﻬﺎ أﴐار ﺑﺎﻟﻌﻦﻴ اﳌﺆﺟﺮة‬ .5
Property.
5. The Lessee shall not remove any fittings or fixtures in case removing the same
‫ﻳﻠﺘﺰم ﺑﺈﻋﺎدة اﻟﻌﻦﻴ اﳌﺆﺟﺮة اﱃ اﻟﺤﺎل اﻟﺘﻲ ﻛﺎﻧﺖ ﻋﻠﻴﻪ ﻋﻨﺪ اﻟﺘﻌﺎﻗﺪ ﺑﻌﺪ اﻧﺘﻬﺎء اﻟﻌﻘﺪ إذا ﻃﻠﺐ ﻣﻨﻪ‬
may cause damage to the Unit, and shall after the expiry date, if requested by .‫اﳌﺆﺟﺮ ذﻟﻚ‬
Lessor, return the Unit to its original condition. ‫ﻻ ﻳﺠﻮز ﻟﻠﻤﺴﺘﺄﺟﺮ أن ﻳﺆﺟﺮ اﻟﻌﻦﻴ اﳌﺴﺘﺄﺟﺮة ﻛﻠﻬﺎ أو ﺑﻌﻀﻬﺎ اﱃ ﺷﺨﺺ آﺧﺮ إﻻ ﻤﺑﻮﺟﺐ ﻣﻮاﻓﻘﺔ ﺧﻄﻴﺔ‬ .6
6. Unless otherwise approved in written by the Lessor, the Lessee shall not .‫ﻣﺴﺒﻘﺔ ﻣﻦ اﳌﺆﺟﺮ‬
sublease the Unit in whole or part of it. :‫ﻳﻨﻔﺴﺦ ﻫﺬا اﻟﻌﻘﺪ ﰲ أي ﻣﻦ اﻟﺤﺎﻻت اﻟﺘﺎﻟﻴﺔ‬ .7
7. This contract shall be deemed terminated in any of the following cases:
‫ إذا أﺧﻞ اﳌﺴﺘﺄﺟﺮ ﺑﺎﻟﺘﺰاﻣﻪ ﺑﺎﻟﻮﻓﺎء ﺑﺎﻷﺟﺮة ﺑﻌﺪ إﺧﻄﺎره ﺑﺬﻟﻚ ﻣﻊ اﺣﺘﻔﺎظ اﳌﺆﺟﺮ ﺑﺎﻟﺮﺟﻮع ﻋﲆ اﳌﺴﺘﺄﺟﺮ‬.‫أ‬
A. If the Lessee failed to fulfill his obligation to pay the rental value after being
notified of the same. The Lessor shall have the right to charge the Lessee all
‫ﺑﻜﺎﻓﺔ اﻻﻟﺘﺰاﻣﺎت اﻟﺘﻲ ﺗﱰﺗﺐ ﻋﻠﻴﻪ ﺣﺘﻰ ﺗﺎرﻳﺦ إﺧﻼء اﻟﻌﻦﻴ اﳌﺆﺟﺮة وﺗﺴﻠﻴﻤﻬﺎ اﱃ اﳌﺆﺟﺮ ﺧﺎﻟﻴﺔ ﻣﻦ‬
liabilities arising out of such failure until the evacuation of the Unit and ‫اﻟﺸﻮاﻏﺮ وﺗﻌﺘﱪ اﻟﺸﻴﻜﺎت اﳌﺮﺗﺠﻌﺔ ﻣﻦ اﻟﺒﻨﻚ دون ﴏف ﻷي ﺳﺒﺐ ﻣﻦ اﻷﺳﺒﺎب إﺧﻼﻻً ﻣﻦ اﳌﺴﺘﺄﺟﺮ‬
handover to Lessor free of any occupancy. Any cheques bounce from the bank .‫ﺑﺪﻓﻊ اﻷﺟﺮة ﻳﺴﺘﻠﺰم ﻓﺴﺦ اﻟﻌﻘﺪ‬
for whatsoever reason shall be deemed as a breach by the Lessee to pay the
rental value, which terminates the contract. .‫ ﰲ ﺣﺎﻟﺔ اﺳﺘﺨﺪام اﻟﻌﻦﻴ اﳌﺆﺟﺮة ﻤﺑﺎ ﻳﺨﻞ ﺑﺎﻵداب واﻷﻧﻈﻤﺔ اﳌﺘﺒﻌﺔ ﰲ اﻟﺪوﻟﺔ‬.‫ب‬
B. If the Unit is used for purpose in violation of the law and regulations in force in
the UAE. .‫ ﰲ ﺣﺎل إﻓﻼس أو إﻋﺴﺎر اﳌﺴﺘﺄﺟﺮ أو ﺗﺼﻔﻴﺔ أﻋﺎﻤﻟﻪ‬.‫ج‬
C. In case of insolvency, bankruptcy or windup of the Lessee's business.
D. In case of breaching Clause 6 hereinabove.
.‫ ﰲ ﺣﺎﻟﺔ ﻣﺨﺎﻟﻔﺔ اﻟﺒﻨﺪ اﻟﺴﺎدس ﻣﻦ اﻟﻌﻘﺪ‬.‫د‬
E. The Lessee shall be obliged to evacuate the Unit immediately if requested by ‫ ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﺈﺧﻼء اﻟﻌﻦﻴ اﳌﺆﺟﺮة ﻓﻮر ﻃﻠﺐ اﳌﺆﺟﺮ ﻣﻨﻪ ذﻟﻚ ﰲ ﺣﺎﻟﺔ ﺗﻮﻓﺮ أي ﻣﻦ اﻟﺒﻨﻮد ﺳﺎﻟﻔﺔ اﻟﺬﻛﺮ‬.‫ﻩ‬
the Lessor in any of the aforementioned cases. .‫ﰲ ﺣﻘﻪ‬
8. The contract shall be renewed for a similar period as agreed by both parties ً‫ ﻳﺘﺠﺪد اﻟﻌﻘﺪ ﻟﻔﱰة ﻣﺎﻤﺛﻠﺔ ﺣﺴﺐ ﻣﺎ ﻳﺘﻔﻖ ﻋﻠﻴﻪ اﻟﻄﺮﻓﺎن ﻣﺎﻢﻟ ﻳﺨﻄﺮ أﺣﺪ اﻟﻄﺮﻓﻦﻴ اﻟﻄﺮف اﻵﺧﺮ ﻛﺘﺎﺑﻴﺎ‬.8
unless either party notifies the other party in writing of his intention not to ‫ وإن اﺳﺘﻤﺮ اﳌﺴﺘﺄﺟﺮ ﰲ ﺷﻐﻞ اﻟﻌﻦﻴ‬.‫ﺑﺮﻏﺒﺘﻪ ﰲ ﻋﺪم اﻟﺘﺠﺪﻳﺪ ﻗﺒﻞ اﻧﺘﻬﺎء اﻟﻌﻘﺪ ﺑﺸﻬﺮﻳﻦ ﻋﲆ اﻷﻗﻞ‬
renew the contract at least two months prior to expiry of the contract. If the .‫اﳌﺆﺟﺮة دون اﻋﱰاض اﳌﺆﺟﺮ ﺑﻌﺪ اﻧﺘﻬﺎء اﳌﺪة ﻳﻌﺘﱪ ﻣﻮاﻓﻘﺔ ﻋﲆ اﻟﺘﺠﺪﻳﺪ‬
Lessee remains occupying the Unit after the expiry of the contract without ‫ ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﺴﺪاد اﻟﺮﺳﻮم اﻟﺘﻲ ﺗﻔﺮﺿﻬﺎ اﻟﺒﻠﺪﻳﺔ ﻋﲆ اﻟﻌﻦﻴ اﳌﺆﺟﺮة ﺑﺎﻹﺿﺎﻓﺔ اﱃ ﺗﺤﻤﻠﻪ ﻧﻔﻘﺎت‬.9
objection from the Lessor, the same shall deemed as acceptance of renewal.
9. The Lessee shall pay the fees imposed by the Municipality on the Leased Unit
‫اﺳﺘﻬﻼك اﳌﻴﺎه واﻟﻜﻬﺮﺑﺎء واﻟﺨﺪﻣﺎت اﻷﺧﺮى وذﻟﻚ اﻋﺘﺒﺎرا ً ﻣﻦ ﺗﺴﻠﻤﻪ اﻟﻌﻦﻴ اﳌﺆﺟﺮة وﺣﺘﻰ ﺗﺎرﻳﺦ إﻋﺎدة‬
and shall bear the cost of water & electricity consumption as well as other .‫ﺗﺴﻠﻴﻤﻬﺎ اﱃ اﳌﺆﺟﺮ‬
utilities as from receiving the Unit until handing over the same to Lessor . ‫ ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﺎﳌﺤﺎﻓﻈﺔ ﻋﲆ اﻟﻌﻦﻴ اﳌﺆﺟﺮة وﺻﻴﺎﻧﺔ ﻣﺎ ﻗﺪ ﻳﺘﻠﻒ أو ﻳﻠﺤﻖ ﺑﻬﺎ ﻣﻦ أﴐار ﺑﺴﺒﺐ ﺳﻮء‬.10
10. The Lessee shall conserve the Unit and maintaining any damages due to ‫ ﻓﻠﻠﻤﺆﺟﺮ‬،‫ وﰲ ﺣﺎﻟﺔ وﺟﻮد أﻳﺔ أﴐار أو ﺗﺮﻣﻴﺎﻤت ﺑﺴﻴﻄﺔ ﻋﻨﺪ ﺗﺴﻠﻴﻢ اﻟﻌﻦﻴ اﳌﺆﺟﺮة ﻟﻠﻤﺆﺟﺮ‬،‫اﺳﺘﺨﺪاﻣﻪ‬
misusing of the same. In case of any simple damages or restorations upon .‫اﻟﺤﻖ ﰲ ﺧﺼﻢ ﻗﻴﻤﺔ إﺻﻼح ﻫﺬه اﻷﴐار وﻫﺬه اﻟﱰﻣﻴﺎﻤت ﻣﻦ اﻟﺘﺄﻣﻦﻴ اﳌﻮدع إﻟﻴﻪ‬
handover of the Unit to the Lessor, the Lessor shall be entitled to deduct the ‫ ﻳﻠﺘﺰم اﳌﺴﺘﺄﺟﺮ ﺑﺴﺪاد اﻟﺸﻴﻜﺎت ﺳﻮا ًء ﻛﺎﻧﺖ ﻣﻘﺪﻣﺔ ﻣﻨﻪ أو ﻣﻦ اﻵﺧﺮﻳﻦ وﺗﺒﻘﻰ ﻣﺴﺆوﻟﻴﺘﻪ ﻗﺎﻤﺋﺔ ﻟﺤﻦﻴ‬.11

11. Lessee shall be obliged to settle the cheques value whether they are submitted
by himself or by others and this liability shall remain valid until the full
.ً‫ ﻳﺒﻘﻰ اﻟﺘﺰام اﳌﺴﺘﺄﺟﺮ ﻗﺎﻤﺋﺎً ﻣﺎﻢﻟ ﻳﺴﻠﻢ اﻟﻌﻦﻴ اﳌﺆﺟﺮ ﺗﺴﻠﻴﺎﻤً ﻛﺎﻣﻼ‬.12
payment is made. ‫ ﻳﻠﺘﺰم اﳌﺆﺟﺮ ﺑﻌﻤﻞ اﻟﺼﻴﺎﻧﺔ اﻟﴬورﻳﺔ ﻟﺤﻔﻆ اﻟﻌﻦﻴ اﳌﺆﺟﺮة وﻣﺎ ﻳﻠﺰم ﻹﺳﺘﻴﻔﺎء اﳌﺴﺘﺄﺟﺮ اﳌﻨﻔﻌﺔ‬.13
12. The Lessee shall remain liable for the Unit unless completely handing over the ‫ وﻻ ﻳﺠﻮز ﻟﻠﻤﺴﺘﺄﺟﺮ أن ﻤﻳﻨﻊ اﳌﺆﺟﺮ ﻣﻦ إﺟﺮاء اﻟﱰﻣﻴﺎﻤت اﻟﴬورﻳﺔ اﻟﻼزﻣﺔ ﻟﺤﻔﻆ‬،‫اﳌﻘﺼﻮدة ﻣﻦ اﻹﻳﺠﺎر‬
same is to the Lessor. .‫اﻟﻌﻦﻴ اﳌﺆﺟﺮة‬
13. The Lessor shall be liable to perform the necessary maintenance to conserve .‫ ﻻ ﻳﺠﻮز زﻳﺎدة ﺑﺪل اﻹﻳﺠﺎر إﻻ ﺑﻌﺪ اﻧﻘﻀﺎء ﺳﻨﺔ واﺣﺪة ﻋﲆ اﻷﻗﻞ ﻣﻦ ﺗﺎرﻳﺦ اﻧﺘﻬﺎء ﻋﻘﺪ اﻹﻳﺠﺎر اﻷول‬.14
the Unit and any other requirements for achieving utilization as intended from ‫ ﻳﺤﻖ ﻟﻠﻤﺴﺘﺄﺟﺮ إﻧﻬﺎء اﻟﻌﻘﺪ ﻗﺒﻞ اﻧﺘﻬﺎء ﻣﺪﺗﻪ ﻤﺑﻮﺟﺐ إﺧﻄﺎر ﻛﺘﺎﻲﺑ ﻟﻠﻤﺆﺟﺮ ﻗﺒﻞ ﺛﻼﺛﺔ أﺷﻬﺮ ﻣﻦ ﺗﺎرﻳﺦ‬.15

15. The Lessee shall be entitled to terminate the contract before its expiry date .‫ﻋﻠﻴﻪ‬
upon a written request three months prior to the contract's termination date. ‫ ﻟﺴﻨﺔ‬2 ‫ ﺗﺨﺘﺺ ﻟﺠﻨﺔ اﻟﻔﺼﻞ ﰲ اﳌﻨﺎزﻋﺎت اﻟﻌﻘﺎرﻳﺔ واﻹﻳﺠﺎرﻳﺔ اﳌﻨﺼﻮص ﻋﻠﻴﻬﺎ ﰲ اﳌﺮﺳﻮم اﻷﻣﺮﻴي رﻗﻢ‬.17
And the Lessee is obliged to pay the rent value for the notice period. .‫ وﺗﻌﺪﻳﻼﺗﻪ أو أي ﺟﻬﺔ ﺗﺤﻞ ﻣﻜﺎﻧﻬﺎ ﰲ اﻟﻨﻈﺮ ﺑﺄي ﻧﺰاع ﻗﺪ ﻳﻨﺸﺄ ﺑﺸﺄن ﻫﺬا اﻟﻌﻘﺪ‬2012
16. All provisions not set out herein shall be subject to the applicable laws of Ras
Al Khaimah. The terms and conditions set out in the tenancy contract made
between both parties shall come into effect if attached herewith and attested.
17. Real Estate and Lease Disputes Settlement Committee set out in the Emiri
Decree No. 2 of 2012 and amendments thereto or any other authority
replacing the same shall be competent to settle any dispute s arising out of
this contract.
