This letter is provided to introduce you to the Global Sourcing Asset Protection & Security (GSAPS) of Wal-
Mart Stores, Inc. Wal-Mart started GSAPS with the objective of focusing on ethics and integrity. Ethics is defined as
rules or principles of behavior, and integrity is defined as strength of character or honesty. Ethics and integrity are key
parts of our culture and describe how we conduct business.

现以此信向各位介绍沃尔玛公司的全球采办资产保护及安全部。沃尔玛公司建立全球采办资产保护及
安全部的目的在于关注道德规范及正直的品质。道德规范即为行动的准则，而正直的品质则是保持诚实的品质。
道德规范及正直的品质是本公司文化的重要部分，亦是我们工作的准则。

Wal-Mart believes in conducting business in an open environment based on ethics and integrity. By this we
mean that all our business transactions should be straightforward and transparent. No money or other favors should
be asked for nor provided by our associates or our vendors.

沃尔玛坚信以道德规范和正直品质为基础，以公开的方式进行生意往来。即沃尔玛公司所有的生意应
以直接、透明的方式进行。禁止沃尔玛员工向供应商索取钱物或恩惠，同时也禁止供应商向本公司员工提供钱

Wal-Mart’s commitment to this is demonstrated in our Gifts and Entertainment (“G&E”) policy. “It is our
policy that associates of the Company, regardless of their capacity, do not accept for their personal benefits, gratuities,
tips, cash, samples, etc., from anyone buying from us or selling to us, or in any way serving our Company.”

沃尔玛公司的<<礼品和款待原则>>清楚的阐述了这一承诺。“凡本公司员工，不论其职务高低，都不
得出于个人利益收受任何礼品、小费、现金、样品等形式的馈赠。这是本公司一项基本原则。”

“We define gifts and entertainment to include: tickets to entertainment events, kickbacks in the form of
money or merchandise, special discounts to one of our employees, discontinued or no-longer used samples, vendor
paid trips, Christmas gifts, etc. Any such item received will be returned to the sender at their expense.”

“这些礼品和款待包括：娱乐活动票券、现金或商品形式的回扣、给某个员工的特别折扣、样品、供应

“Meals are also considered a gratuity. When dining together, the vendor and Wal-mart/Sam’s Club associate
must pay for their own meals. This applies to the Wal-Mart/Sam’s Club General Office area, as well as other
locations.”

In addition, there have been a few updates to our policy. Effective immediately, the following practices are
prohibited under the Statement of Ethics.

Special Order Merchandise. An associate may not special order merchandise directly from a supplier for the
associate’s personal use. An associate may order merchandise at a store or club if the item is available to all
customers or members and if the associate purchases the item on the identical terms and conditions as it
would be sold to any customer or member. All such purchases must be made at the store or club at the then-

 current retail price, less any applicable associate discount. The item must be picked up by the associate at the
store or club, and may not be delivered directly to the associate’s residence or office.

特殊的商品订购。禁止员工向供应商直接订购自用商品，其可在沃尔玛商店或会员店订购面向所有顾
客及会员的商品。若员工可凭特殊条款购买商品，则其也应适用于任何顾客及会员。此类商品应在沃
尔玛店或会员店以当时的零售价扣除员工适用折扣购买。商品只能在沃尔玛店或会员店提取，不可将
其发送到员工的住所或办公地址。

Tickets. Soliciting a supplier for or accepting tickets or invitations to events is prohibited, even if the associate
pays the face value of the admission fee for the event. Face value does not necessarily reflect fair market
value, and the difference between fair market value and face value is a gratuity to the associate.

票券。即使由本公司员工自行支付票券的面值，仍旧禁止向供应商索取, 接受活动票券或活动邀请。
因票券面值无法准确地反映市场价格, 可能会产生优惠差价, 这也是一种馈赠。

“It is also understood that any request from a Wal-Mart/Sam’s Club associate to a supplier for personal gain
or consideration will be reported by you directly to Wal-Mart/Sam’s Club Senior Management.”

This information must be communicated to all of your operating units including sourcing factories. Our
business relationship depends on both of us believing and supporting these ideas. We encourage you to
