KNOWN ALL MEN BY TESE PRESENTS:

Whereas, the ZEART CONSTRUCTION SUPPLY CO. Co have been recorded with the
Securities and Exchange Commission according to ENTRY NO. 105 Volume 1, of the day Book and duly
recorded in Folio 1, Leaf No. 1 Inscription No.6, Volume 1 of the Book of Partnership of the Securities
and Exchange Commission on January 20th day of 2016.
That we, undersigned, all of legal age, residents and citizenship of the Republic of the Philippines,
have on this day voluntarily associated ourselves together for the purpose of amending this partnership
under the terms and conditions herein set forth and subject to the provision of existing laws of the
Republic of the Philippines .

AND WE HEREBY CERTIFY:

Article I: The name of this general partnership shall be:

ZEART CONSTRUCTION SUPPLY CO.

Article II: The partnership shall have the following purposes:

TO ENGAGE ROADS CONSTRUCTION AND BUILDING CONSTRUCTION
TO ENGAGE POTABLE WATER SYSTEM AND DRILLING PROJECT
TO SUPPLY THE CONSTRUCTION MATERIALS
TO MAINTAIN AND OPERATE SUSTAINABLE BUSINESS PROJECT AND SERVICES
TO ENGAGE A JOINT VENTURE AGREEMENT INTO THE OTHER CONSTRUCTION LICENSE/COMPANY
TO ENGAGE MECHANICAL WORKS , ELECTRICAL INSTALLATION AND SUPPLY
TO SUPPLY HEAVY EQUIPMENTS AND EMERGENCY VEHICLE
TO SUPPLY AND INSTALL SOLAR PANELS AND OTHER RELATED ACTIVITY

Article III: The partnership shall have its principal office: at

Article V: The Partnership shall have a term of twenty_ (20) years from the date of signing of
the original articles of partnership.
 Article VI: The initial capital of this partnership shall be the amount of ELEVEN MILLION
Pesos, (11,000.000) Philippine Currency, contributed by the partners in cash as follows:

Article VII: No transfer of interest which will reduce the ownership of Filipino citizens so less
than required percentage of capital as provided by existing laws shall be allowed or permitted to be
recorded in the proper books of the partnership.
Article VIII: The profits and losses of this partnership shall be divided and distributed
proportionately on the ratio of the capital contribution of each partner.

Article IX: General Partner Evelyn M. Maglinte shall be the Managing Partner who shall be in
charge of the administration and operation of the partnership. He shall have the power to use the
partnership name in otherwise performing such acts as are necessary and expedient to promote the
lawful purposes of the partnership.

Article X: The partners undertake to change the name of the partnership as herein provided, or
as amended thereafter, immediately upon the receipt of notice or directive from the Securities and
Exchange Commission that another corporation, partnership or person has acquired a prior right to the
use of that name or that the name has been declared as misleading, deceptive, confusingly similar to a
registered name, or contrary to public morals, good custom or public policy.
