ARTICLES OF PARTNERSHIP

KNOW ALL MEN BY THESE PRESENTS:

This Partnership Agreement is entered into by and between MARK

M. MERCADO, of legal age, Filipino, married, with residence and postal
address at Poblacion, Zone 1, Javier Leyte and LUMINA ROSELLE P.
VERTULFO-ATILLO, of legal age, married, Filipino, with residence and
postal address at Brgy. 83-A, San Jose, Tacloban City, this July 7, 2017 in
the City of Tacloban, Philippines.

WITNESSETH:
That we the undersigned partners have on this day voluntarily
associated ourselves together for the purpose of forming a General
Partnership under the following terms and conditions and subject to existing
and applicable laws of the Republic of the Philippines.

ARTICLE 1. Partnership Name

That the name of this Partnership shall be #3 and shall transact

business under the said business name.

ARTICLE 2. Business Purpose:

That the purpose for which this partnership is formed is to cater and
provide quality food and services to the customers of #3 Food Stall at The
Bay Food Park, Tacloban City. It is likewise the aim of this partnership to
expand its business venture into a more established and reputable restaurant.

ARTICLE 3. Principal Place of Business:

That the principal place of business of this Partnership shall be located

at: Old Road Sagkahan, Brgy. 58, Tacloban City.

ARTICLE 4. Term of Existence:

That this partnership shall have a term of six (6) years from and after
the execution of this Articles of Partnership.

 Article 6. Capital Contributions:

That the capital of this Partnership shall be the amount of Sixty

Thousand Pesos (Php 60,000.00), Philippine Currency, contributed in cash
by the partners, as follows:

That no transfer of interest which will reduce the ownership of

Filipino citizens to less than the required percentage of capital as provided
by existing laws shall be allowed or permitted to be recorded in the proper
books of partnership.

Article 7. Sharing Ratios:

That the profits and losses of this partnership shall be divided and
distributed proportionately on the ratio of the capital contribution of each
partner.

That there shall be a sharing of profits twice (2) a month which shall
be every 15th and 30th day of each month. The partners hereby mutually
agree that division of profits shall commence on September 2017 and
onwards.

Article 8. Management:

That this partnership shall be under LUMINA ROSELLE P.

VERTULFO-ATILLO, as General Manager, who shall be in charge of the
management of the affairs of the company. She shall have the power to use
the partnership name and in otherwise performing such acts as are necessary
and expedient in the management of the business and to carry out its lawful
purpose. She will maintain the books and records of the partnership and shall
allow the other partner to inspect the same on a reasonable day and time.

Article 9: Others:

That every partner shall strictly observe and comply with the fiduciary
duties of partners which are the duty of loyalty, obedience, diligence and
duty to inform.

That the partners cannot engage for their own account in any
operation which is of the kind of business in which the partnership is
engaged.

That conveyance of a partner of his part or whole interest in the

partnership does not entitle the assignee the right to interfere in the

management or administration of the partnership business or affairs, or to
inquire any information or account of partnership transactions or to inspect
the partnership books.

That the partners shall not disclose or divulge to any third person,
confidential and material information relating to the operation of this
partnership.
