QUESTION:
a. Partnership Deed
b. Johnson wants to know the circumstances in which acts of one of the three partners above
shall not bind the rest of the partners and/ or the firm.
c. What is the name and legal effect given to the act of Miriam conveyancing her interest in
the partnership to Tina.
d. Are Msomi wishes to do away with fiduciary obligations in their partnership legally
possible?
e. Chacha is later on expelled from the partnership for what was said to be failure to fulfill
his duties. This fact was unknown to Mshana, their long-time supplier of the firm
stationaries. A supply of stationeries worth 20 million was made to Chacha on credit.
Upon the failure of the payment, Mshana sues Miriam and Johnson. Discuss the liability
of Miriam and Johnson on the above debt
f. Advise Bobo who on death Chacha, was appointed the executor of Chacha’s estates.
However, he is puzzled that he is not involved in various decision making done by the
partnership.
