TERMS AND CONDITIONS

This agreement is made and entered into effective as of _________________, 2019 (the “Effective
Date”), by and between Gvahim, a non-profit organization registered under the laws of Israel under the
registration number 580512390 (“Gvahim”) and ________________________ (please insert exact name
of company), an Israeli company, with a registered address at ______________________ (“Company”).

WHEREAS Gvahim provides Services (defined below in 1.) which train highly skilled job seekers (the
“Candidates”) and connect them to potential employers like Company and;
WHEREAS Company is interested in receiving the Services subject to the terms and conditions thereof.

1. Gvahim provides the following services (the “Services”): (i) professional support by Gvahim’s
staff in identifying suitable candidates for positions; (ii) access to Candidates’ profiles on
Gvahim’s online platform (the “Platform”) to perform head-hunting; (iii) exposure of the
Company on the Platform.
2. In consideration for the Services, Company undertakes to pay Gvahim a onetime annual non-
refundable fee of 5,000 NIS including VAT (the “Service Fee”). The Service Fee shall be paid by
Company within net 60 days from the Effective Date and to the bank details attached in Exhibit
A.
3. In the event that Company recruits a Candidate for any position, including without limitation, as
a temporary employee, consultant or independent contractor, Company undertakes to
immediately inform Gvahim of the recruitment and in any event, no later than 7 business days
from Candidate’s employment effective start date.
4. This agreement shall remain in full force and effect for a period of 12 months from the Effective
Date.The provisions of sections 5 and 7 shall survive termination of this agreement.
5. Gvahim makes no representations and warranties as to the Candidates and disclaims any
responsibility for any loss or damages suffered as a result of a recruitment.
6. Company hereby grants Gvahim the authorization to use Company’s logo on its website,
Platform and any other marketing material for presenting Company as a partnering employer.
7. Neither this agreement nor the Services provided hereunder shall be construed to create any
relationship of employment, agency, partnership or joint venture between the parties. This
agreement may not be amended except by a writing executed by an authorized signatory of
each party. This Agreement sets forth the entire agreement between the parties and supersedes
any prior oral or written agreements. Each party represents and warrants that its signatory
below has been and is on the Effective Date duly authorized by all necessary corporate or other
appropriate action to execute this agreement. This agreement shall be governed by the laws of
Israel, without reference to its conflict of law provisions. Any dispute regarding this agreement
shall be exclusively resolved before the competent courts of Tel Aviv-Yaffo.
