CONTRACT OF EMPLOYMENT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF EMPLOYMENT made and executed on this ___ day of


_____________ in ____________, Philippines, by and between:

FCG TRADING INC., a corporation duly organized and existing


under the Philippine Laws with business address at NIA Road,
Carsadang Bago II, Imus City, represented by its President, Mr.
JOHN OCAMPOS, (hereinafter referred to as the “COMPANY”);

-and-

_____________________________, of legal age, and a resident of


_______________________________ (hereinafter referred to as the
“EMPLOYEE”).

WITNESSETH, that:

WHEREAS, the COMPANY is engaged in the business of distribution,


wholesale, dealer and retailer of frozen consumer goods and other related business
activities and is desirous in contracting the services of the EMPLOYEE;

WHEREAS, the EMPLOYEE has offered his/her services to the COMPANY


and wishes to work for the Company;

NOW THEREFORE, for and in consideration of the foregoing premises and


the terms and conditions set forth hereunder, the parties hereby agree as follows:

1. The EMPLOYEE is herein assigned as ________________________ to


perform the function in accordance with the attached job description, in a
probationary/temporary/contractual basis;

2. This contract of Employment shall cover the period of six (6) months
commencing on _______________________ from 8:00 in the morning to 5:00 in the
afternoon, unless otherwise renewed or extended with the consent of both parties in
writing. Should the EMPLOYEE decide to resign during the term of this contract, she
shall be obliged to notify the COMPANY at least one (1) month prior to the intended
date of resignation to allow the COMPANY sufficient time to look for a replacement.

3. The EMPLOYEE, during the validity and existence of this contract,


will receive a gross monthly salary of Philippine Pesos: __________________
(PhP_________.00) per month, which will be paid every 15 th and 30th day of each
month.

In addition, the COMPANY shall grant the EMPLOYEE a reimbursable
allowance equivalent to Philippine Pesos: _____________________ (PhP______.00)
per month. (IF NECESSARY ONLY)

4. The EMPLOYEE, during and in the course of his/her employment,


agrees to observe and mandated to comply all the company rules and regulations
and it shall be his/her duty to learn and know them immediately upon hiring. The
EMPLOYEE also agrees to refrain, during the term of this contract from engaging in
any act which will interfere with the performance of his job and those of others,
whether within or outside of the COMPANY, without the latter’s prior written
notice;

5. The EMPLOYEE shall not accept employment elsewhere or engage in


business directly similar to that of the COMPANY, without the latter’s written
authority;

6. All data, information, procedures, practices, system, records,


documents, and/or processes of the COMPANY and all information pertaining to its
business or affairs are confidential and no authorized disclosure or reproduction of
the same will be made by the EMPLOYEE at anytime during or after his employment
in the COMPANY;

7. The EMPLOYEE hereby agrees that all company records, documents


and assets within his custody or control shall be immediately surrendered to the
COMPANY if requested anytime during the period of his employment or at the
termination thereof whether or not requested;

8. No other agreements or understanding between the EMPLOYEE and


the COMPANY affecting this agreement shall be binding upon them unless the same
is reduced in writing and duly signed by the parties;

9. This employment contract, aside from the expiration of its term may be
terminated due to any of the following grounds:

a) Inefficiency in work performance;

b) Violation or gross disobedience of company rules and


regulations;

c) Derogatory information revealed in the course of background


check, prejudicial to the business reputation, operation or
transactions of the COMPANY;

d) Making false entry in, or withholding of employment record;

e) Employee’s past or pending criminal charges; and

f) Other reasonable or analogous cases, which may be considered


by the COMPANY as a ground for disqualification of
continued employment.

10. The EMPLOYEE agrees to sign a Non-Disclosure/Non-Competing
Agreement which becomes part of this contract which is entered into considering that
the position involves sensitive and confidential information, which if disseminated,
would be detrimental to the interest of the Company. It is hereby understood that the
employee holds a position of complete trust and confidence. As such, the employee
is absolutely prohibited from divulging, revealing, transmitting, or otherwise
conveying any and all trade secret and information, during the course of his
employment with the company and perpetually thereafter. It is mutually agreed
that, for a period of two (2) years from the time the employee terminates his relation
with the company, or ceases to be connected therewith, the employee shall not accept
employment from, be related to, nor be engaged in any business similar to or in
direct or indirect competition with the company; otherwise, the employee shall be
liable to pay the company liquidated damages of FIVE HUNDRED THOUSAND
(PhP500,000.00) PESOS.”

11. The EMPLOYEE hereby acknowledges that this contract was entered into
voluntary, knowingly and spontaneously and hereby agrees to be bound by the term
and conditions of this contract.

12. Consent granted by EMPLOYEE for withholding or deduction of


salary by the COMPANY and for unsettled accountabilities with the COMPANY.

IN WITNESS WHEREOF, the parties hereto have signed this agreement on


the date and place above-written.

persons who executed the foregoing CONTRACT OF EMPLOYMENT, which they
acknowledged before me as their free and voluntary act and deed.

The foregoing instrument relates to a CONTRACT OF EMPLOYMENT,


consisting of four (4) pages, including the page on which this acknowledgment is
written and has been signed at the bottom and on the left hand margin of the first
page thereof, by the parties and their instrumental witnesses, and sealed with my
notarial seal.
