CONTRACT OF EMPLOYMENT

KNOW ALL MEN BY THESE PRESENTS:

THIS AGREEMENT, made this ____, in the City of _______, by and

between:

______________________, a corporation duly

organized and existing under and by virtue of the
laws of the Republic of the Philippines, with
business address at _________, and herein
represented by its duly authorized
representative, ___________, herein after to be
referred to as EMPLOYER or THE COMPANY;

-and-

_____________________, of legal age, Filipino, and

with residence at ___________, herein after to be
referred to as EMPLOYEE;

Hereinafter to be referred to collectively as THE

PARTIES.

-WITNESSETH-

WHEREAS the Employee and the Employer wish to enter into an

employment agreement governing the terms and conditions of
employment;

THIS AGREEMENT WITNESSETH that in consideration of the premises

and mutual covenants and agreements hereinafter contained, it is agreed
by and between the parties hereto as follows:

I. Term of Employment

1. The Employee shall be employed in the capacity of [position]. The

employment of the Employee shall commence from the date hereof
and continue for an indefinite term until terminated in accordance
with the provisions of this agreement, or in accordance with the
pertinent provisions of the Labor Code of the Philippines and its
Implementing Rules and Regulations.

II. Probation

1. The parties hereto agree that the initial five (5) month period of this
agreement is "probationary" in the following respects:

(a) The Employer shall have an opportunity to assess the

performance, attitude, skills and other employment-related
attributes and characteristics of the Employee;

(b) The Employee shall have an opportunity to learn about both

the Employer and the position of employment;

(c) The Employer shall have the right to terminate the

employment relationship at any time during the probationary
period if in its assessment:

a. The Employee has failed to achieve or exhibit the expected

level of performance and skill, or does not possess the
attitude and/or other employment related attributes and
characteristics required by the Employer; or

b. The Employee committed a violation of the company’s

rules, regulations, and policies.

In which case, there will be no continuing obligations of the

parties to each other, financial or otherwise.

III. Compensation and Benefits (This may be deleted/ omitted)

1. In consideration of the services to be provided by him hereunder,

the Employee, during the term of his employment, shall be paid a
base salary of P________ in equal semi-monthly installments, less
applicable statutory deductions.

2. In addition, the Employee is entitled to receive benefits in

accordance with pertinent Philippine labor laws and statutes, as
amended from time to time.

IV. Termination of Employment

1. Subsequent to completion of the probationary term of employment

referred to in Section II herein, the Employer may terminate the
employment of the Employee at any time for cause, subject to the
pertinent provisions and requirements set forth in the Labor Code
of the Philippines and its Implementing Rules and Regulations.

2. The Employee may terminate his employment at any time by

providing the Employer with at least one (1) week advance notice of
his intention to resign.

IN WITNESS WHEREOF the parties hereto have signed this Contract on

the date and in the place herein provided.
