1. That First Party will supply dried betel nuts to the Second Party at
Guwahati.
2. That the Second Party will pay 70% of value/market price of dried betel
nuts to be supply to the Second Party in advance before supplying dried
betel nuts and remaining balance amount will be paid by the Second
Party to the First Party at the time of delivery of dried betel nuts.
3. That the terms of this agreement has been fixed for a period of 2 (Two)
years only W.E.F. today and this business agreement will automatically
be cancelled on completion of this 2(two) year i.e on 13 th day of July,
2023.
4. That both the parties may execute fresh agreement if both party if
required and desire to run the business in near future after expiry or
cancelation of this agreement.

5. This Agreement and the transactions contemplated hereunder shall be
governed by the Laws of Arbitration. The parties shall attempt to settle
any disputes or differences in relation to or arising out of or touching this
Agreement or the validity, interpretation, construction, performance,
breach or enforceability of this Agreement (collectively disputes), by way of
negotiation or mediation. To this end, each of the parties shall use its
reasonable endeavors to consult or negotiate with the other party in good
faith and in recognizing the parties, mutual interests and attempt to
reach a just and equitable settlement satisfactory to both Parties, if the
parties have not settled the disputes by negotiation or mediation within
30 days from the date of which negotiations are initiated, the disputes
shall be referred to the Arbitration of a sole arbitrator to be jointly
appointed by the Parties. All proceedings in any such arbitration shall be
conducted in English. The Arbitration shall take place in Kolkata and
shall be governed by the Arbitration and Conciliation Act, 1996 or other
Law relating to Arbitration in force in India at the relevant time. Any
Award rendered upon such arbitration shall be a reasoned award in
writing and shall be final, conclusive and binding on the parties.
6. The Hon’ble courts of Bajali only shall have exclusive jurisdiction on any
matter arising in the course of and out of the present agreement.
7. That neither party will violate any terms and conditions of this
agreement and any party violating the terms and conditions of this
agreement will be liable under court of law.
