BROADCAST RIGHTS AGREEMENT

This broad cas ting rights agreement(the “Agreement”) is made on

June 2022 “Effective Date”=======) at Hyderabad.

Between

SO AND SO NEWS CHANNEL LTD, a Private Limited incorporated under Companies Act 2013 and having
its Registered Office at Door No – 50-61-3, Rajendra Nagar, Seethammapeta, Vishakapatnam – 530016,
hereinafter referred to as (“SO AND SO TV”) (which expression shall unless it be repugnant to the
context or meaning thereof be deemed to mean and include its successors in interest and permitted
assigns) through its Managing Director, Mr. Kathikala Kranthi Kumar.

AND

Shri ---------------------------------------------------------------------------------

Whereas SO AND SO TV is engaged in business of production, transmission of materials, video, audio

data, multimedia and other various programmes, including News & Current Affairs so also films &
entertainment programs and is also engaged in the business of Promotion, Distribution and Marketing
of above said programs for Television Channels and Products and Services thereof.

Mr M S Reddy and SO AND SO TV in consideration of the mutual covenants set forth herein, and for
other valuable consideration hereby acknowledged, agree as follows:

Resident director is located at _______________ and claims good network in the said area,
believing the representation of the Resident director SO and SO TV agreed to allocate the slot
to report the news of the said particular area and distribute same to television stations and
certain regional cable networks.
 Therefore, in consideration of the above and the mutual benefits and promises set forth
in this Agreement:

SO and SO TV shall be responsible for the broadcast the news in the respective slot allocated
to the Resident director, Resident director shall take all the due care of the issue before
submitting the footage to the SO and SO TV. Resident director is liable for the respective
content aired by the SO and SO TV. Resident director shall comply with all the broadcasting
rules and advertising code.

Resident director agrees that he is the sole responsible for any sort of consequences and
damages that may arose out after airing the content. The content should not infringe any of the
third party rights and should not hurt feelings of the viewers.

Resident director further acknowledges that the SO and SO TV has right to reject the content
without assigning any reason to the Resident director. SO and SO TV will telecast in the
content in either in SO and SO TV or any other TV channel owned by it. It has an every right to
cut, edit the program in any manner it considers fit.

SO and SO TV grants to Resident director its licenses to cover the issues limited to the
________________ area, he should not trespass the others area with out the written permission
of the SO and SO TV and Resident director further acknowledges that SO and SO TV owns the
all the copy rights of the program / content that been developed by the Resident director. SO
and SO TV take out the promotional activities of the program

TERM AND TERMINATION

The term of this Agreement shall commence on the Effective Date and end
on_______________________.  In the event of a party’s material breach of this Agreement, the
non-breaching party may terminate this Agreement upon 30 days’ written notice specifying such
breach, provided such breach (if capable of being cured) is not cured by the end of such 30 day
period.

Resident director shall work only for SO and SO TV and should not enter into any agreement
directly or indirectly or orally with any other TV channels.

SO and SO TV shall not be liable for any interruption or failure to broadcast the content due to
force majeure or any cause beyond its control, including without limitation mechanical or
electronic breakdowns, labor dispute, public emergency or necessity, or other such factors.  In
addition, SO and SO TV and each affiliate has the right to preempt the broadcast of the content
in order to broadcast any material that it deems to be of public significance; provided, however
that if an affiliate preempts the content in its entirety, such affiliate will use reasonable efforts to
air the content on a different day, subject to the terms and conditions of this Agreement.

Resident director shall defend and hold harmless SO and SO TV from and against any and all
liabilities, fees, expenses and costs resulting from third party claims brought against SO and SO
TV or any affiliate that broadcasts the content including claims that said material violated
anycopyright or any other rights of a third party(ies).  

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY
INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING
OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF WHETHER SUCH
PARTY HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN ADDITION, IN
NO EVENT SHALL SO AND SO TV BE LIABLE TO RESIDENT DIRECTOR FOR AN AMOUNT
IN EXCESS OF WHAT IT HAS BEEN PAID BY MLFB UNDER THIS AGREEMENT.

NOTICES
All notices hereunder shall be in writing and shall be sent by personal delivery or by overnight
courier, to the addresses of the parties set forth above, or such other address or addresses as
may be designated by either party in writing in accordance with this section.  Such notices shall
be deemed to have been given upon being delivered.  A copy of any notice to SO and SO TV
shall be sent to______________________________ ., Attn:  ________________ any notice to
Resident director shall be sent to _______________________________________

GOVERNING LAW

This Agreement shall be governed, construed, and interpreted in accordance with the laws of
the Inida and having jurisdiction of Hyderabad Courts.  

CONFIDENTIALITY
Neither party will discuss the terms of this Agreement with any third party (other than such
party’s independent contracts and agents), nor will either party issue a press release or make
any public announcement, either written or verbal, about this Agreement without obtaining the
prior written consent of the other party.

MISCELLANEOUS

No amendment, modification, supplement or waiver of this Agreement shall be binding unless

set forth in writing and signed by both parties.  A waiver of any provision hereof or the breach of
any provision by either party in one instance shall not be deemed a waiver of the same in any
future instance.  Provision headings are solely for convenience and have no legal significance.
The parties are independent contractors with respect to one another, and neither shall have any
authority to represent or bind the other in any manner or to any extent whatsoever.  The
provisions of this Agreement are severable.  If a court or arbitrator holds any provision of this
Agreement invalid, illegal or unenforceable, then the validity, legality or enforceability of the
remaining provisions will in no way be affected or impaired thereby.  This Agreement may be
executed in counterparts, each of which shall be deemed an original and both of which taken
together shall represent one instrument.  This Agreement shall constitute the entire
understanding between the parties with respect to its subject matter, and shall supersede any
prior agreements with respect to the subject matter of this Agreement.  Neither party will assign
its rights or obligations under this Agreement without the prior written consent of the other party.

BY SIGNING BELOW, the parties indicate their agreement with the terms and conditions
hereof.
