IRREVOCABLE BANK LETTER OF GUARANTEE

Regarding the Purchase Order No. ************* dated on ************* between TAIM WESER (Buyer)
and NAME of SUPPLIER (Seller) for the delivery of *****************”.

We hereby guarantee, jointly and severally, NAME of SUPPLIER in front of TAIM WESER with
express waiver of the rights of division, excussion and order, up to the maximum amount of EUR
******* (Euros *******), equivalent to the amount of the Advance Payment made by the Buyer to the
Seller under the Purchase Order, as security for the observance of the obligations arising out of the
above mentioned Purchase Order.

We hereby guarantee to pay the Beneficiary the sum or sums up to and not exceeding the said
amount as claimed by the Beneficiary, upon a first simple demand of Beneficiary within maximum 5
days after receipt without any excuse or objection.

The present Guarantee is irrevocable and unconditional, binding NAME of BANK from the date of its
issuance until the delivery of the Purchase Order in which date it will be considered null and void, even
if this document is not returned to us for cancellation.

This Guarantee shall be assignable by the Beneficiary to NAME of TW client. Any other assignment
apart from the aforementioned ones shall be subject to the prior consent to the Guarantor; such
consent will not be unreasonably withheld. It´s a condition that the new beneficiary is not a banned
entity by the Office of the Foreign Assets Control of the U.S. Department Treasury and/or by similar
official lists of the European Union or Spain.

This Guarantee shall be governed by and construed in accordance with the laws of Spain and shall be
subject the exclusive jurisdiction of the courts of Madrid, Spain.

This guarantee has been registered on……..in the Special Register of Guarantees with nº….
