Terms and Conditions

These terms and conditions stated herein shall be effective upon the approval of this
proposal with mutual consent of the parties on the date of February 10, 2023:
 GreatWork Business Campus, located at 3/F Main GreatWork Ben- Lor IT
Center, Diliman, Quezon City, Metro Manila.

Event Date & Description

 The event shall take place on April 11, 2023 and the client intends to host the
below described event;

Event Details

Planner Duties
 The client engages the Planner’s services to perform the following duties;

Planner Duties
  The Planner shall obtain the clients written approval before entering into any
binding contracts for the event and/ or issuing any on- refundable deposits.

Payment
 The total amount to be paid by the client for the services agreed upon under
this proposal shall be ________________. Upon signing the proposal, the
client shall agree to deposit 50% of the total contract price which makes
________________ as down payment upon acceptance of this agreement and
shall pal the remaining 50% after the program, on the day of the event itself.
 The client agrees that the down payment is non- refundable in the event that
the client cancels the event without proper notice stated in “Cancellation and
Modification” clause herein in this proposal.
 Upon the completion of the event, if the client fails to do the payment within 7
days, the client agrees that the planner shall claim a late penalty in the amount
of 3000 pesos out of the total fee for every day the payment is not mad.
 The planner agrees that the total amount is inclusive of all expenses such as
accommodation travel, meal and any other expenses incurred by the planner
for every service included in this proposal herein.
 The mode of payment shall be in cash or any other payment method mutually
agreed by the parties.
 Additional costs that may rise from the execution of the services stated herein
must be approved by the client before the client is charged with such costs. If
the planner fails to inform and Take approval from the client for a cost and
charges the client for the cost, the client will remail free form responsibility that
one specific expense.

Cancellation and Modifications

 In the event that the planner desires to cancel the responsibilities outlined in
this proposal herein, the p-lanner is obliged to notify the client with a written
notice 15 days before the planned event at the latest. Upon such notice of
cancellation, the planner accepts and understands that the deposit paid by the
client must be fully refund to the client immediately.
 Parties hereby accepts and acknowledges that the client shall have the right to
cancel or reschedule an upcoming event with prior written notice to the planner
15 days before the planned event at the latest.
 If the client cancels 15 days prior to the event date, the client will be entitled to
a fifty percent (%50) refund.
 No modification od this contract herein shall be effective unless both parties
agree upon the modification in writing.
Terns and Termination
 Dispute resolution and legal fees. In the event of a dispute arising out of this
Contract that cannot be resolved by manual agreement, the parties agree to
engage in mediation. If the matter cannot be resolved through mediation, and
legal action ensues, the successful party will be entitled to its legal fees,
including but not limited to its attorneys’ fees.

Miscellaneous
 Severability. In the event provision of this agreement is deemed invalid or
unenforceable. In whole or in part, that part shall be severed from the reminder
of the agreement and all other provisions should continue in full force and effect
as valid and enforceable.
 Legal and Binding Agreement. This agreement is legal and binding between
the parties as stated above. This agreement may be entered into and is legal
and binding both in the United States and throughout Europe. The parties each
represent that they have the authority to enter into this agreement.
 Governing Law and Jurisdiction. This parties agree that this agreement shall
be governed by the state and/ or country in which both parties do business in
different states and/ or countries, this agreement shall be governed by
Philippines law.
 Entire Agreement. The parties acknowledge and agree that this agreement
represent the entire agreement between the parties. In the event that the parties
desire to change, add, or otherwise modify any terms, they shall do so in writing
to be signed by both parties.

Intellectual Property
 The client hereby authorized the company for them to utilize the client’s logos,
trademark, medias, photos or footages from the event to promote its services
and to executive the services agreed herein.

Confidentially
 During the term of this contract, the client shall share necessary information
related to the event with the planner for event executive purposes. Such
information shall be considered confidential and the planner agrees not to
disclose any of the shared information to third parties without the written
consent of the client.
 The client shall also keep the planner’s proprietary information private under all
circumstances not share such information with third parties, without the written
consent of the planner.
 The client agrees to cover the unanticipated venues fees unless the price are
against natural course of life.
Indemnification
The parties each agree to indemnify and hold harmless the other party. Its respective
affiliates, employees, and permitted successors and assigns against any losses,
claims, damages, penalties, liabilities, punitive damages, expresses, reasonable legal
fees of whatever kind or amount, which result from the negligence of or beach of this
contract by the indemnifying party, its respective affiliate or successors and any assign
that occurs in connection with this contract. This section remains in full force and effect
even after the termination of the contract.

Relationship of the Parties

Neither party in the executive of this contract shall established any partnership, joint
venture, or employment relationship, and furthermore. The event planner herein is an
independent contractor.
The parties hereby declares that there shall be no other relationship between them,
besides the one defined in this contract until the completion of termination of this
contract.

Legal and Binding Contract

This proposal herein shall be effective upon the approval of the client and with the
mutual consent of the parties. This proposal may be entered into and may be legal
and binding in State of the Philippines. The parties each represent that they have the
authority to enter into a contract if the proposal is approved.

Entire Contract
This contract constitutes the entire understanding of the parties, and revokes and
supersedes all prior contracts between the parties, and is intended as a final
expression of their contract. It shall not be modified or amended except in writing
signed by the parties hereto and specifically referring to this contract. This contract
shall take precedence over any other document which may conflict with this contract.
