PLEASE READ CAREFULLY THE FOLLOWING TERMS & CONDITIONS GOVERNING YOUR

COMPANY’S AND ITS PERSONNEL’S ACCESS AND USE OF THIS SITE YOUR AGREEMENT IS A
CONDITION FOR USING THIS SITE.
I. Introduction
1. These are the general terms and conditions governing access and use of this site ("the Site")   the
rights in which exclusively vest in Shell International B.V. and/or its licensors (collectively herein referred
to as the "Owners") . Different Shell(1) companies may use the Site for their procurement processes or
part thereof.
2. By using the Site you agree to be bound by these terms and conditions without prejudice to any other
terms and conditions (e.g. Bid Rules, or RFP terms) agreed with Shell.
II. Use of Site
1. You warrant that you will only use the Site in accordance with these terms and conditions and in an
appropriate and lawful manner.
2. The online bidding process requires the processing of personal data ("Data") of the bidders. Shell
requires the Data for the identification of the bidders (eg. name, job description, etc.) and for
communication purposes (eg. contact details, etc.). Shell’s Privacy Policy governs any personal
information that is collected as a consequence of using this Site.
3. You acknowledge and agree that any content presented on or through the Site or any part thereof are
protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. All
rights are expressly reserved by the Owners.
4. It is your sole responsibility to satisfy yourself prior to using the Site that it is suitable for your purposes.
Where applicable you should register and create or adapt a personal profile. An incomplete, incorrect or
out dated personal profile may have negative consequences to your usage of the Site. The Site is
periodically updated and you should check the Site regularly to ensure that you have the latest
information.
5. You should refresh your browser each time you visit the Site and frequently during your visit to ensure
that you view the most up to date version of the Site.
6. You must maintain the confidentiality of user names, passwords, other relevant authentication data,
and any content presented on or through the Site, will not communicate or allow access to this
confidential information to any third party, and remain responsible for any unauthorized use, disclosure,
loss or corruption of these.
III. Bidding
1. Unless otherwise agreed, bidding forms only part of the tender process. Other aspects, e.g. technical
proposal and commercial details will be used in conjunction with data supplied from the bids to ascertain
which supplier can offer the best overall value. Shell reserves all rights to accept or reject any bid or offer
made.
2. Bids submitted through the Site are valid quotations without qualification. Bids may not be withdrawn,
except where explicitly stated differently by Shell.
3. Bids are accepted only for complete lots as referenced in the Request for Quotation or similar
applicable document. No partial bids are permitted unless explicitly stated so by Shell.
4. Bids can be submitted only through the online bidding/eRFx mechanism on this Site. No bids may be
submitted via any other mechanism including but not limited to post, courier, fax, email, or orally, unless
specifically requested by Shell.
5. You agree to adhere to the processes defined in the relevant documentation and on this Site. You will
prohibit unethical behavior and are expected to notify Shell if you witness practices that are counter-
productive to the fair operation of the online market.
6. If you are experiencing difficulties during an online market you must notify Ariba’ Auction Monitoring
Service immediately through the Support Center of the Help Centre accessible from Ariba website.
"Difficulties" include any event or problem that interferes with the bidder's ability to participate in the online
market.
7. Shell may decide to suspend or cancel an online market at any time and without prior notification.
IV. Limitation of Liability
1. The Site is provided on an "as is" basis. Although every effort has been made to provide accurate
information and services, neither the Owners, nor any of its employees, nor any Shell Group companies
using the Site, their suppliers, nor any of their employees, make any warranty, expressed or implied, or
assume any legal liability (to the extent permitted by law) or responsibility for the suitability, reliability,
timeliness, accuracy or completeness of the Site or any part thereof.
2. Neither Shell International B.V. nor any other Shell company shall be liable for any special, indirect or
consequential damages or any damages whatsoever, whether in an action of contract, negligence or
other tortuous action, arising out of or in connection with the performance or use of the Site.

convenience where references are made to Group companies in general.  Likewise, the words "we", "us"
