WAIVER OF PRE-EMPTIVE RIGHT

I, the undersigned stockholder of DEFAULT FOOD AND BEVERAGES,

INC., after having been duly sworn in accordance with law, hereby depose and state that:

1. I am a stockholder of DEFAULT FOOD AND BEVERAGES, INC.;

2. On 08 March 2023 during a special stockholders’ meeting at Malate, Manila (via

teleconferencing) I waived my pre-emptive rights to purchase the newly issued TWO
HUNDRED TWO THOUSAND (202,000) shares of stock in the amount of FOUR
HUNDRED SIXTY-FOUR THOUSAND (P464,000) from the authorized capital stock
of DEFAULT FOOD AND BEVERAGES, INC.

3. I have waived and affirmed the waiver of my rights to purchase the newly issued
shares from the authorized capital stock of DEFAULT FOOD AND BEVERAGES,
INC.

4. I am executing this affidavit to attest to the truth of the foregoing and for all legal
intent and purposes.
