MEMORANDUM OF AGREEMENT

This Agreement made and entered into by and between:

FPPS, a health and medical institution with business address at ROOM S2018, METRO DAVAO
MEDICAL AND RESEARCH, Davao City, represented herein by its Doctor, DR, JANICE
GENEVIEVE UY ESCUDERO, and hereinafter referred as the “FIRST PARTY

-and-

HIGH GEAR ACADEMY PHILIPPINES INC., a corporation duly registered by the Security and
Exchange Commission (SEC) with the principal office address at Lot 64-B, Pomelo Drive, Davao-
Bukidnoon road, Brgy. Tugbok (pob.), Davao City. Represented herein by its Administrator,
ROGELIO C. PECONCILLO and hereinafter referred to as the “SECOND PARTY”;

WITHESSETH, that

The SECOND PARTY agrees to avail of the services of the FIRST PARTY, under the following
terms and conditions:

1. That the FIRST PARTY to become the OFFICIAL HEALTH & MEDICAL SERVICE
PROVIDER of the SECOND PARTY;

2. That all consultation and check ups are not only limited to the HIGH GEAR ACEDEMY
PHILIPPINES INC., Students but also to the Faculty, staff and all the workers and
personnel (Regular and contractual;

3. That the SECOND PARTY will pay the FIRST PARTY in consultation cash basis in the
amount of One Hundred and Fifty pesos (150.00) only per person;

4. That the terms of this agreement will be for a period of five(5) years starting from
September 1, 2022 – September 1, 2027;

5. That the SECOND PARTY will pay to FPPS in cash basis upon completion of each
consultation activity;

6. That the FIRST PARTY will only entertain HIGH GEAR ACEDEMY PHILIPPINES INC>
students, faculty, staff and workers for check up/ consultation if they bring a duly
accomplished forms and signed by the SECOND PARTY;

7. The FIRST PARTY will only perform medical checkup/ consultation their hospital/clinic
premises located at ROOM S2018, METRO DAVAO MEDICAL AND RESEARCH,
Davao City.

That the parties hereto do hereby oblige themselves to comply with foregoing stipulation.
 IN WITNESS WHEREOF, the parties hereof have signed this Agreement on this ____ day of
