AFFIDAVIT OF CLOSURE AND NON-OPERATIONAL OF BUSINESS

I, EDISON GALLO AREVALO, the PRESIDENT of D.A BRAINS TRADING CORPORATION after
having been duly sworn in accordance with law, hereby depose and say:
1. That I am the PRESIDENT of D.A BRAINS TRADINGS CORPORATION, a business entity
duly registered under the laws of the Republic of the Philippines;
2. That it is with deep regret that we attest to the death of MRS. ANALYN PEÑALOSA
AREVALO AND MR. RICHARD ACE REYES AREVALO, the incorporators of D.A BRAINS
TRADING CORPORATION, who was also the majority stockholder and key officer of the
corporation;
3. That as a result of their passing, D.A BRAINS TRADING CORPORATION is no longer
operational and has ceased all business activities and operations since the date of their
death, which was on Nov. 2, 2021;
4. That as of this date, D.A BRAINS TRADING CORPORATION has no pending obligations or
liabilities with any government agency, supplier, creditor, or any other party.
5. That due to the death of the mentioned incorporators and the remaining incorporators,
it is no longer possible for the corporation to continue its business operations and that
the remaining stockholders have decided to formally close the corporation;
6. That the undersigned, as the remaining stockholders of D.A BRAINS TRADING
CORPORATION, hereby declare and affirm under oath that the corporation is no longer
operational, has ceased to operate since Nov. 2 2021 and has no intention of resuming
its operations;
7. That we are executing this affidavit to attest to the truthfulness and accuracy of the
foregoing statements and to use the same for whatever legal purpose it may serve;

 BOARD RESOLUTION OF CLOSURE AND NON-OPERATIONAL OF BUSINESS

WHEREAS, the President of D.A BRAINS TRADING CORPORATION, MR. EDISON GALLO
AREVALO, and MARIA TERESITA CARDENAS are remaining incorporators. MRS. ANALYN
PEÑALOSA AREVALO AND MR. RICHARD ACE REYES AREVALO have all passed away;
WHEREAS, as a result of their passing, D.A BRAINS TRADING CORPORATION is no longer
operational and has ceased all business activities and operations since the date of their death,
which was on Nov. 2 2021
WHEREAS, as of this date, D.A BRAINS TRADING CORPORATION has no pending obligations or
liabilities with any government agency, supplier, creditor, or any other party;
WHEREAS, due to the death of the President and the remaining corporators, it is no longer
possible for the corporation to continue its business operations and that the remaining
stockholders have decided to formally close the corporation;
NOW, THEREFORE, BE IT RESOLVED, that the remaining stockholders of D.A BRAINS TRADING
CORPORATION hereby declare and affirm under oath that the corporation is no longer
operational, has ceased to operate since Nov. 2 2021 and has no intention of resuming its
operations;
BE IT FURTHER RESOLVED, that the remaining stockholders of D.A BRAINS TRADING
CORPORATION hereby authorize and direct [Your Name], as one of the authorized signatories
of the corporation, to execute an affidavit of closure and non-operational of business in the
Philippines, in accordance with the foregoing statements;
RESOLVED FINALLY, that a copy of the executed affidavit of closure and non-operational of
business shall be submitted to the Bureau of Internal Revenue (BIR), Securities and Exchange
Commission (SEC), and local government units (LGUs) as required by law.
Duly adopted and approved by the remaining stockholders of D.A BRAINS TRADING
CORPORATION on March 30, 2023.
