MEMORANDUM OF UNDERSTANDING

This Agreement, executed on 18th JUNE 2022, is entered into by and between IND BULLS a
company incorporated under the Companies Act, 2013 (hereinafter referred to as “IND BULLS” )
and AKSHAY GUPTA an Indian habitant, holding Pan Number DEVPG1508F; hereinafter referred
to as Tournament Manager. IND BULLS and STAFF may be referred to collectively as the
Parties.

WHEREAS
A. The two parties are interested in working together in connection with the purpose which is
described in this memorandum.
B. This Memorandum sets out the initial relationship between the parties as well as the
respective rights and responsibilities of each party.
C. This Memorandum is not intended to be legally binding but is intended to document the
expectations of each party. Nothing in this memorandum will be construed as creating any
legal relationship between the parties.
D. Each party respectively is expected to act in good faith in accordance with the Memorandum.

I. PURPOSE
The parties intend to work together to host BGMI tournaments and scrims on the official discord
server of IND BULLS.

II. ROLE OF PARTIES

The staff will have the following obligations:

1. To not use, disclose, communicate, copy, or permit the use or disclosure of any confidential
information to any third party.
2. To agree on terms and conditions for this agreement which were agreed upon mutually by
both the parties. A detailed description of the same has been mentioned in Annexure.
3. To work in tournaments and scrims on IND BULLS official discord server.

IND BULLS will have the following obligations:

1. To include a staff member’s team into a sponsored Tournament.
2. To give access to Tournament/Scrim creation and management features to the manager on the
discord server.

III. PAYMENT TERMS

The Payment in terms of this agreement is as follows:
 a. Payment will be made to the staff member through any form of digital payment i.e., NEFT,
RTGS, E-Wallets, Google Pay, Phonepe, etc.
b. Payment will be made after the end of the month.

All payments to be made under the provisions of the Agreement shall be made in Indian Rupees and
shall be subject to the deduction of Income Tax under the Indian Income Tax Act, 1961 and any other
taxation laws and amendments as applicable.

IV. MATERIAL DISCLOSURE

When publishing posts/statuses about IB services on discord or any other online/offline platform. The
staff must clearly disclose his/her “material connection” with IND BULLS. The above disclosure
should be clear and prominent and made in close proximity to any statement that the staff makes
about IB services. Staff’s statement always reflects staff’s honest and truthful opinions and actual
experiences.

V. FORCE MAJEURE
If either party is unable to perform any of its obligations by reason of fire or other casualty, strike, act
or order of public authority, an act of God, or other cause beyond the control of such party, then such
party shall be excused from such performance during the pendency of such cause.

VI. REPRESENTATIONS AND WARRANTIES

Parties represent and warrant to each other that each is free to enter into this Agreement and that this
engagement does not violate the terms of any agreement between any third party.

VII. EXCLUSIVITY
This Memorandum implies exclusivity on the staff. The staff is not allowed to engage with any other
company or organization that provides similar services to IND BULLS discord server.

VIII. CONFIDENTIALITY
Both Parties shall hold in confidence and shall not disclose to any third party any confidential
information of a written or oral nature relating to this Agreement. Neither Party shall at any time
release any statement or press release in press or media (including without limitation television, radio,
websites, chat rooms/forums, YouTube any social networking sites such as twitter, facebook,
newspapers, and magazines whether in electronic or paper form or otherwise) in relation to this
agreement.

IX. AMENDMENT
All the terms and conditions present in Annexure can be changed or modified by IND BULLS by
giving notice to the staff member through email or discord only.
X. GOVERNING LAW
This MOU and all issues arising out of the same shall be construed in accordance with the laws of
India. Jurisdiction: Jaipur, Rajasthan.

XI. FORFEITURE OF RIGHT

Staff members by signing this agreement also waives its right to sue IND BULLS for any dispute
arising out of this agreement. All disputes will be settled through Arbitration.

XII. SEVERANCE OF TERMS

If any provision in this Agreement becomes invalid or illegal or adjudged unenforceable, the
provision shall be deemed to have been served from this Agreement and the remaining provisions of
this Agreement shall not so far as possible be affected by the severance.

XIII. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter
hereof and supersedes prior negotiation, representation, or agreement either written or oral.

Annexure: Terms and Conditions

A. Conditions that you must fulfill:

● You should be active on the IND BULLS discord server, should be up to date with the
announcements, pings that are made in the discord server, and should respond to IB
Administration. If you are unresponsive for 2 working days then IB Administration will
consider that you are not interested in the work anymore and will be removed from staff
immediately.
● As an IB Staff, you should give us your Id proof (Aadhar Card, Driver License or Voter
ID), bank details, and pan card. All your personal information is secure according to our
privacy policy.
● For you, it is mandatory to post a story of a new Tournament & Scrims.
● For you, it is mandatory to use IB logo & discord name tag in discord.
● You will be given the IB logo & discord name tag by IB Administration.
● Put the IB Discord invite link in your Discord Bio.
● Put the IB official Instagram username (@indbulls.in) in the social media handle’s bio with
clear disclosure of material connections with IND BULLS.
 B. Dos and Don'ts for You:
If you want to remain in IB Staff, please ensure to follow all the points listed below.
We constantly keep a check on all our staff and take strict actions if any rule
mentioned in this document is broken.

● If staff is confused about anything or if a staff finds himself in a situation that is not
covered here, please contact any of the IB Administration - He should not make decisions
by himself.
● IB Administration will have a meeting with staff every week. Staff should try not to miss
any meeting.
● All the communication by the IB Administration will be done through the discord server or
email. All other conversations will not be considered official.
● Staff member’s Behavior - Be professional. If IB Administration feels that the staff
member is being rude/needy/annoying/over-smart etc; strict actions will be taken. Bad
actors are not entertained under any circumstance.
● Discord Activity - Staff member should try to keep his discord active.
● Discord server Growth Targets specific to server growth will be given to the staff every
month. Ensure that these targets are being fulfilled to remain staff members. Stay active in
staff updates to be updated regarding these targets.

C. Discord Server Moderation:

IND BULLS values their user’s experience, so you must follow these guidelines strictly:
1. IB Administration will be directly banning staff members without a warning if you are
found using abusive language on Server members.
2. Every staff member should submit their work report to the IB Administration in the weekly
meeting.
3. Emergency: If any of the staff members runs into an emergency, then he/she should report
this to IB Administration.
