AMERICAN AIRLINES ELIGIBLE AIRPORT AGENTS $50 BONUS FOR EVERY APPROVED ACCOUNT INCENTIVE

Terms & Conditions

1 - OVERVIEW: The “American Airlines Eligible Airport Agent $25 Bonus for every approved Account Incentive” (the
"Incentive") rewards eligible Airport Agents upon satisfying qualification and approved application goals. The Incentive is
offered as a component of the “AAdvantage® Cash Program powered by Barclays” (“AAdvantage® Cash Program”),
whereby certain employees of American Airlines, Inc. (“American Airlines” or “AA”), (i) offer AA customers the opportunity
to apply for certain AAdvantage® co-branded credit cards issued by Barclays Bank Delaware (“Barclays” or the
“Sponsor”), and (ii) receive compensation from American Airlines for approved applications. Unless otherwise indicated,
the Incentive is governed by these Terms and Conditions. For the avoidance of doubt, Eligible Airport Agent who are
eligible to participate in the AAdvantage® Cash Program shall be entitled to receive compensation under the
AAdvantage® Cash Program in accordance with the terms and conditions of the AAdvantage® Cash Program, separately
from any Incentive Prizes earned in accordance with these Terms and Conditions during the Incentive Period.

2 - ELIGIBILITY: The Incentive is open only to Eligible Airport Agents who are (i) employees of American Airlines or one
of its three regional carrier affiliates, Envoy Air Inc., Piedmont Airlines, Inc., or PSA Airlines, Inc. (such employees,
collectively, “Airport Agent Employees”), at the time of entry and award, (ii) eighteen (18) years of age or older at time of
entry, (iii) legal residents of the fifty (50) United States or the District of Columbia, and (iv) are qualified or, during the
Incentive Period, become qualified to participate in the AAdvantage® Cash Program pursuant to the terms and conditions
of the AAdvantage® Cash Program (each such airport agent employee, an “Eligible Airport Agent Employee”).
Employees of American Airlines who hold other titles or employees involved with the management of the Incentive are not
eligible to participate in the Incentive or win any prize offered therein. All other employees of American Airlines, and its
subsidiaries, affiliates, divisions, the Sponsor, Marden-Kane, Inc. (the “Administrator”), and employees involved with the
management of the Incentive are not eligible. The Sponsor, the Administrator, and American Airlines, are collectively
referred to as “Releasees.” Void in Puerto Rico and where prohibited or restricted by law. All Eligible Airport Agents are
subject to all applicable federal, state, and local laws and regulations. By participating in the Incentive, Eligible Airport
Agents agree to be bound by these Terms and Conditions and the decision of the Sponsor or American Airlines which
shall be final. Anyone determined to be acting in a manner not conforming to these Terms and Conditions or the terms
and conditions of the AAdvantage® Cash Program, as determined by the Sponsor or American Airlines, each in its
discretion, will not be eligible. Participation in this Incentive is based on completing an action as defined below.

3 - INCENTIVE DATES AND ENTRY DETAILS: The Incentive begins at 12:00:00am Eastern Time (“ET”) on October 1,
2022 (the “Start Date”) and ends at 11:59:59pm ET on December 31, 2022 (the “End Date”) (such period, the “Incentive
Period”).

4 – HOW TO EARN INCENTIVES: Eligible Airport Agent who submit approved applications and it is posted to
MyAAdvantageCash.com during the Incentive Period will earn a $25 Bonus on top of the standard $25 base incentive,
totaling $50 for every approved application (the “bonus base incentive”).

5 – INCENTIVE: Bonus Base Incentive value $25. For purposes of clarity, the current standard base incentive is $25,
therefore, during the Incentive Period, with the $25 bonus incentive; Airport Agents earn $50 per approved applications.
All Incentive Prizes to be awarded to each Eligible Airport Agent via their payroll check no later than their second
American Airlines paycheck following the month it was earned.
6 - CONDITIONS OF PARTICIPATION: By participating, participants agree to comply with these Terms and Conditions
including all eligibility requirements. Each of Sponsor and American Airlines reserve the right, in its discretion, to disqualify
participants who violate these Terms and Conditions or interfere with the Incentive in any manner. Releasees are not
responsible for incorrect or inaccurate transcription of entry information, or for any human or printing error, technical
malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone
network, computer equipment, software, inability to access any online service or web site, or any other error or
malfunction, or any injury or damage to participant’s or any other person’s computer related to or resulting from
participation in or downloading any materials in the Incentive, or for late, lost, stolen, illegible or misdirected inaccurate,
illegible submissions. By participating, Eligible Airport Agents agree (i) to be bound by these Terms and Conditions and
agree that Releasees and their designees and assigns and all of their respective officers, directors, employees,
shareholders, representatives, agents, and the franchisees of any of them shall have no liability, and (ii) to defend,
indemnify and hold harmless the Releasees from and against any liability, loss, injury, or damage of any kind (including
attorney’s fees) to any person to entity, including, without limitation, personal injury, death or damage to personal or real
property, due in whole or in part, directly or indirectly, by reason of: (a) Eligible Airport Agent entry into the Incentive, (b)
any materials he or she may submit in connection herewith, or (c) the acceptance, possession, use or misuse of a prize or
participation in any activities associated with the Incentive or any prize awarded in connection herewith. Entry materials
that have been tampered with or altered are void. If, in the Sponsor’s opinion there is any suspected or actual evidence of
electronic or non-electronic tampering with any portion of the Incentive, including soliciting of applications in a manner
inconsistent with American Airlines’ policies or procedures the Sponsor reserves the right to void any applications at
issue, including any other factors beyond Sponsor’s reasonable control such as a Force Majeure (e.g., war, riots,
terrorism, civil unrest, strikes, blackouts, supply shortages, order of governmental authority,) an “act of God” (e.g., natural
disasters, weather, etc.) or an unforeseeable health event (e.g. pandemic or epidemic), then the Sponsor reserves the
right, in its sole discretion, to cancel, terminate, modify or suspend the Incentive in whole or in part, without further liability
to the Eligible Airport Agents or third parties, and notice will be posted at MyAAdvantageCash.com. Caution: Any attempt
by a participant or any other individual to deliberately damage any online service or web site or undermine the legitimate
operation of the Incentive may be a violation of criminal and civil laws and should such an attempt be made; Sponsor and
American Airlines reserve the right to seek damages and/or other remedies from any such person to the fullest extent
permitted by law. Sponsor or AA’s failure to enforce any term of these Terms and Conditions shall not constitute a waiver
of that or any other provision.

7 - GENERAL CONDITIONS: By entering the Incentive, Eligible Airport Agents agree to the use by Sponsor and
American Airlines and their respective designees of Eligible Airport Agents name, city and state of residence and
photograph/likeness, including but not limited to the posting of Eligible Airport Agent names on the Sponsor or AA’s
website(s) or other online announcements for advertising and Incentive purposes for this and similar Incentives,
worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised (including and without
limitation, the Internet) without additional compensation, notification, or permission, except where prohibited by law. Upon
request, Eligible Airport Agent must record such consent in writing. If a Eligible Airport Agent declines to record such
consent in writing, he/she will forfeit any Incentive Prize. Participants release and hold harmless Sponsor, its parent
company, affiliates, subsidiaries, agencies; Administrator; American Airlines; and their respective employees, officers,
directors and shareholders from any claims, actions, injury, loss or damage of any kind resulting from participating in this
Incentive or from the acceptance or use of any Incentive Prize awarded.

8 - PRIVACY: Information collected from an Eligible Airport Agent is used only for the purpose of the Incentive and to
notify Eligible Airport Agent, and will not be re-used, sold or shared in any manner by Sponsor, Administrator, or any third
parties unless an Eligible Airport Agent has opted-in to receive additional information and material from Sponsor,
Administrator, or a third party.

9 - DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these
Terms and Conditions, or the rights and obligations of the Eligible Airport Agent and Sponsor in connection with the
Incentive, shall be governed by, and construed in accordance with the laws of the State of Delaware without giving effect
to any choice of law or conflict of law rules (whether of the State of Delaware, or any other jurisdiction), which would
cause the application of the laws of any jurisdiction other than the State of Delaware. In addition, any dispute relating to
the Incentive (including these Terms and Conditions) shall be brought in the appropriate state or federal court having
jurisdiction over the subject matter located in Wilmington, Delaware. Eligible Airport Agent hereby irrevocably consent to
the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction they
may have.
