SUPPLY AGREEMENT

The Supplier:



1. n this Agreement:

"The Designated Products means the artefacts, handicrafts and
memorabilia described in the Schedule hereto.

"The Customer means all customers and potential customers introduces
or procured by the ntermediary or the Supplier.


2. The ntermediary is the authorized representative of
(covmpanyname/name of contact and position) for the purpose of
procuring the manufacture and the sale of atrefacts, handicrafts and
memorabilia associated with the historic liner, RMS Titanic.

3. The Supplier agrees to:

a. Manufacture the Designated Products and make them available for
purchase exclusively by the Customer; and
b. Engage the ntermediary as their sole intermediary for procuring
customers for the Designated Products, except whereby agreement
with the ntermediary, Customers are procured or solicited direct by
the Supplier.
c. Register and disclose the identity of all Customers, procured or
solicited by the Supplier

4. This Agreement shall come into operation from the (date) and shall
continue in force for a period of five years and thereafter be renewed
annually unless terminated by either party giving to the other six calendar
months' notice in writing, provide always that either party may determine it
summarily if the other commits a material breach of any of the terms of the
Agreement, or if the other becomes insolvent or goes into liquidation, or is
wound up otherwise than in connection with a scheme of amalgamation or
reconstruction.

. The Supplier shall not:

a. be concerned or interested either directly or indirectly in the
manufacture, supply, sale or promotion of other products which
compete with the Designated Products; or

b. engage in any condust which in the opinion of the ntermediary is
prejudicial to the ntermediary's commission or the marketing of the
Designated Products generally; or

c. supply, sell or otherwise dispose of the Designated Products to non-
registered Customers.

6. The ntermediary shall solicit and refer orders to the Supplier, who will
execute such orders by supplying the Designated Products direct to the
Customer under a separate contract of sale. The Supplier, however, may
accept initial and repeat oredrsn direct from Customers, provided the
Supplier notifies and sends a copy of such orders to the ntermediary
immediately upon receipt.

7. Unless otherwise agreed, the Supplier shall be responsible for packing,
handling and transportation the Designated Products to a port for shipment
CF, the cost of which shall be met by the Approved Customer.

8. Upon execution of an order, the Supplier shall issue an invoice and
forward a duplicate to the ntermediary and shall inform the ntermediary
immediately payment has been received from the Customer.

9. The ntermediary shall be entitled to a commission of

a. % of the ex-works unpacked price of the Designated Products
supplied against orders, whether referred by the ntermediary or
obtained direct by the Supplier from the Customer;
b. An additional % when the value of the total orders exceeds

1. The Commission shall be reviewed annually and shall be payable when
the Customer has accepted the Designated Products and the Supplier has
received payment in full. f the Supplier receives payment in advance of
completion of a contract, the ntermediary shall be entitled to receive a
proportional payment of commission in advance.


11. The Supplier shall not refuse to accept or cancel any order for the
Designated Products from the Customer, whether placed through the
ntermediary or placed direct by the Customer unless the Supplier can
show good reason for such refusal or cancellation.

12. The ntermediary shall not make any representations, warrantied or
guarantees in respect of the Designated Products without the prior written
permission of the Supplier.


13. Unless otherwise stated, copyright in the originals of the Designate
Products belongs to (.........). Manufacture of the Designated
Products, however, is permitted by courtesy of RMS Titanic nc. where
permission is deemed necessary.
