Freelance Video Editing Services Agreement

This Agreement ("Agreement") is made and entered into on [Date] (the "Effective
Date"), by and between [Client Name] (the "Client") and [Freelancer Name] (the
"Freelancer").

3. Scope of Work.
1. The Freelancer shall provide video editing services (the "Services") as
requested by the Client, according to the project specifications provided by the
Client. The Services shall be performed remotely by the Freelancer.
4. Fees and Payment.
2. The Client shall pay the Freelancer the fees specified in the project proposal or
contract. Payment shall be due on the agreed-upon due date, and failure to
pay within [Number of Days] days of the due date shall be considered a
material breach of this Agreement.
5. Ownership and License.
3. The Client shall retain ownership of all materials and intellectual property
provided to the Freelancer for the purpose of completing the Services. The
Freelancer shall grant the Client a perpetual, non-exclusive, worldwide license
to use and distribute the final product of the Services.
6. Confidentiality.
4. The Freelancer agrees to keep confidential all information received from the
Client, and not to disclose or use such information except as necessary to
complete the Services.
7. Representations and Warranties.
5. The Freelancer represents and warrants that the Services shall be performed
in a professional and workmanlike manner, and that the final product of the
Services shall be free from defects.
8. Termination.
6. Either party may terminate this Agreement at any time upon written notice to
the other party. Upon termination, the Freelancer shall provide the Client with
any completed work product, and the Client shall pay the Freelancer for any
work completed up to the date of termination.
9. Independent Contractor Status.
7. The Freelancer shall be an independent contractor and shall not be
considered an employee of the Client. The Freelancer shall be responsible for
all taxes, insurance, and other expenses associated with the provision of the
Services.
10. Governing Law and Jurisdiction.
 8. This Agreement shall be governed by and construed in accordance with the
laws of [State/Province], and any legal action arising out of or related to this
Agreement shall be brought in the courts of [State/Province].
11. Entire Agreement.
9. This Agreement constitutes the entire understanding between the Client and
the Freelancer with respect to the subject matter hereof, and supersedes all
prior agreements, understandings, negotiations and discussions, whether oral
or written.
12. Amendment.
10. This Agreement may not be amended except in writing signed by both parties.
