No.: 516-378-0222 Fax No. 516-378-1011 For and in consideration of the mutual covenants and agreements contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows: 1. NATURE OF SERVICES: Summer Concert Series: Jazz Ensemble Library hereby engages Guest Artist and Guest Artist hereby accepts such engagement to prepare as follows: 2. DATE: Thursday, August 3, 2017 at 6 pm (outdoor stage, if rain occurs, concert will be indoors) The date of the engagement shall be on /\. between the hours of [ 6 Jand[ 7:30pm J at the Roosevelt Public Library, 27 W. Fulton Street, Roosevelt, NY 11575. Guest Artist must arrive reasonably in advance of the Engagement. 3. PEE: $1600 Library agrees to pay Guest Artist an honorarium in the amount of Sixteen Hundred Dollars payabie on the day of the Engagement unless otherwise agreed to in writing by the parties. 4. Advertising/Promotion Guest Artist agrees to furnish Library within ten (10) days of signing this agreement, biographical materials, references, publicity photos, press releases, audio/videotapes and any other available material relating to Guest Artist and Guest Artist's engagement hereunder. Guest Artist hereby grants Library the right to use Guest ‘Artist's name, likeness, voice and biography in connection with the advertising and promotion of the Engagement hereunder. Library hereby reserves the right to terminate this agreement immmediately without any further obligation to Guest Artis, if it discovers that any of the materials or references provided by Guest Artist do not accurately represent the Guest Artist or the intended appearance or performance of the Guest Artist asrepresented by Guest Artist or his/her agents or representatives. Neither Guest Artist nor any of its representatives shall charge admission to the Engagement or otherwise sell or distribute tickets to said Engagement, The Library is a public facility and all programs must be available to the public. Release Library shall have the right to videotape the Engagement for use by the Library for reference purposes only. Guest Artist hereby releases, indemnitfies and holds harmless, Library, its employees, directors, agents and representatives from and against any and all claims, expenses, and damages whether by third parties or cohen from the Library's hosting, recording or future use of said Engagement in accordance herewitl 6 Cancellation Library shall have the right to cancel the Engagement at any time with prior written notice to Guest Artist. In the event of such cancellation given in excess of 30 days prior to the Engagement, Guest Artist will refund all fees paid in advance within ten (10) days of receipt of notice and Library shall have no further obligation hereunder. In the event of notice of cancellation given less than 30 days by the Library, the Library's only liability shall be payment of the fees set forth above in paragraph 3. Neither party to this agreement shall be deemed to be in breach of this agreement if either party is prevented from performing its obligations hereunder due to an act of God, strike, labor dispute, fire, war, failure of facilities, governmental action or other reason beyond that party's reasonable control. In such event, the parties will use reasonable good faith efforts to reschedule the Engagement. 7. Miscellaneous This Agreement shall constitute the entire agreement between the parties. This Agreement may not be amended or changed except by written agreement signed by both parties hereto. This Agreement shall be construed in accordance with and governed by the laws of the State of New York applicable to contracts entered into and wholly performed in such state and without regard to the conflicts of laws. This Agreement does not confer any rights or benefits upon any person or entity other than Guest Artist and Library, There are no third party beneficiaries.
