This EMPLOYMENT AGREEMENT is made on this day 29 of April 2021 BETWEEN:

(1) Sunmaker Energy Limited; a limited liability company incorporated in the Republic of South
Sudan whose address is JS-Juba, Na Bart, Juba, South Sudan (hereinafter referred to as the
“Company"); and

(2) SAQIB MUHAMMAD; an individual whose address is Village and Post Office Thana, District
Malakand, Province Khyber Pakhtunkhwa,Parkistan (hereinafter referred to as the “Employee").

NOW IT IS AGREED as follows:

In this agreement:

1. INTERPRETATION

1.1 Unless the context otherwise requires words importing one gender include all other genders
and words importing the singular include the plural and vice versa.

1.2 Any reference to a statutory provision shall be deemed to include a reference to any
statutory modification or re-enactment of it.

1.3 The Clause headings do not form part of this Agreement and shall not be taken into account
in its construction or interpretation.

1.4 References in this Agreement to any clause, sub-clause schedule or paragraph without
further designation shall be construed as references to the clause sub-clause schedule or
paragraph of this Agreement so numbered.

2. APPOINTMENT AND TERM

2.1 Term
The Employee shall serve the Company in the capacity of Training Operation Department Staff
subject to the provisions of this Agreement. This employment contract takes force from 29th
April of 2021, until 29th April of 2024 . You will be reporting to the Operation Manager Mr.
Yang Xu or the Managing Director Premnath Asokan.

3. DUTIES & RESPONSIBILITIES

3.1 Summary of the Job Description

Key Duties and Responsibilities:

Develop, implement, and monitor training programs within an organization.


· Market and sale the already existing training programmes

· Supervise technical training for staff.
· Create brochures and training materials.
· Develop multimedia visual aids and presentations.
· Create testing and evaluation processes.
· Prepare and implement training budget.
· Evaluate needs of company and plan training programs accordingly.
· Provide companies with classroom training, demonstrations, on-the-job training, meetings,
conferences, and workshops.
· Manage staff of classroom facilitators.
· Provide performance feedback.
· Conduct continuing education training.
· Provide leadership development education.
· Build solid cross-functional relationships.
· Provide logistical support, course development, delivery, evaluation, process
measurements, and cost management.
· Plan the implementation and facilitation of activities and events, budget spending, material
production and distribution, and other resources to ensure that operations are managed within
authorized budgets.
· Assist with the development of strategic plans.
· Course development
· Development a management and quality assurance system for Training

In addition, detailed duties and responsibilities which this job entails are set out in the job
description which will be mutually agreed upon at commencement of the contract. The
Employee will be required to undertake additional or other duties assigned by the Employee's
Supervisor as necessary to meet the needs of the Company's business.

3.2 During the whole of the Employee's service, the Employee will comply with the Employee
Handbook and all other policies and instructions as are in force from time to time. The
Employee will diligently and faithfully perform duties both as stated herein and such other
duties within the scope of the Employee's responsibilities. The Employee will use her best
endeavors to promote the interest of the Company and always obey the orders and
directions given to the Employee by the Employee's superiors.

3.3 The Employee will conduct himself or herself at all times during service honestly,
courteously and properly and be of strictly sober and temperate habits.

3.4 The Employee shall wholly devote time to undertaking duties assigned by the Company and
shall not engage in any other employment or work, for gain, or in competition or otherwise,
without prior written consent from the Supervisor.

4. PLACE AND HOURS OF WORK

4.1 The Employee shall be based at the Company’s offices in South Sudan or at such other

locations as the Company may from time to time deem appropriate upon issuing notice to
the Employee. The Employee shall if called upon to do so and without any further
remuneration than is mentioned herein (but subject to the Company’s travel policy)
undertake such travel and perform such duties in any part of South Sudan or abroad as the
Company may think fit and as the Company's business may dictate.

4.2 The Employee will be required to work during official working hours or at any other time as
the Company considers necessary to meet the needs of the business and the Employee shall
accept to do so subject to extra remuneration for any overtime hours.

5. REMUNERATION

5.1 The Company shall pay to the Employee by way of remuneration for the proper
performance of the Employee's duties hereunder a gross salary of USD 1200 per month,
before that there will be 3 months’ assessment period, during this period, salary will be
paid USD 1000 per month. Such salary shall be payable less tax and other appropriate
statutory deductions on or about the 30th or 31st day of each month. And salary will be
paid by month.

5.2 Where any losses are sustained in relation to property or money of the Company, or of any
client, customer, visitor or other officer employee, during the course of the Employee's
employment, caused through the Employee's carelessness, negligence, recklessness or
through breach of the Company's rules or any dishonesty on the Employee's part, the
Company reserves the right to require the Employee to repay such or any part thereof,
either by deduction from salary or any other emoluments due to the Employee or by any
other method acceptable to the Company.

5.3 All Visa fee, accommodation fee, air ticket fee and any other necessary fee caused by
Company will be paid by Company.

5.4 For one rotation, Employee will stay in Juba half one year and then go on vacation for 20
days with same salary as working days

6. OTHER INTERESTS

During the continuance of this appointment, and for a restricted period following termination
of this Agreement, the Employee shall not be engaged, concerned or interested directly or
indirectly in any business trade or occupation which competes or conflicts with or is likely or
intended to compete or conflict with the business of the Company in any other business, trade
or occupation either alone or jointly with or as a director, manager, agent, consultant or
partner or employee of any person firm company or other corporate body.

7. TERMINATION OF APPOINTMENT

7.1 The Employee's employment may be terminated in accordance with the Laws of South
Sudan.

7.2 Employment will be terminated without notice where the Employee is guilty of any serious
or willful or persistent breach or breaches or non-observance of any of the provisions of the
Employee Handbook.

7.3 During the probation period, the employment may be terminated by either party giving
notice in accordance with the Employment Act, 2006 or paying the similar period’s salary in
lieu of notice.

8. DUTIES UPON TERMINATION

Upon termination of this Agreement for whatever reason and howsoever arising or effected,
the Employee shall forthwith (and in any event not later than seven days after such
termination) deliver up to the Company all documents, statistics, accounts, memoranda,
papers, records, electronics, data, tools, manuals and any other items of whatsoever nature or
description which may be in the Employee’s possession or control and relate in any way to the
business or affairs of the Company (howsoever the same may have come into the Employee’s
possession and whether or not they or any of them may have been prepared by the Employee)
and no such documents or other items as aforesaid nor any part or copy thereof shall be
retained by the Employee.

9. CODE OF CONDUCT AND OPERATIONAL REGULATIONS

The Employee shall at all times abide to the Company’s Employee Handbook and all other
operational guidelines. The Employee Handbook sets out the standards and outlines
fundamental requirements for conducting business within the Company. The Employee
Handbook will be handed to the Employee on commencement of employment.

The Employee Handbook may be reviewed by the Company from time to time and the
Employee shall be informed of any amendments thereof. These staff regulations in force from
time to time are deemed to be incorporated as part of the terms and conditions of the
Employee's employment.

10. GRIEVANCE PROCEDURE

If the Employee has any grievance relating to his or her employment, the Employee should
follow the grievance procedure as set out in the Employee Handbook.

11. DISCIPLINARY PROCEDURE

The disciplinary policy applicable to the Employee is set out in the Employee Handbook and the
disciplinary rules form part of the Employee's contract.

12. CONDITION OF EMPLOYMENT

The Employee’s employment by the Company is and shall at all times be subject to the Employee
being permitted to work in South Sudan or in such other country where the Employee is
required to work in on behalf of the Company.

13. GENERAL

Any notice under this Agreement shall be in writing and be signed by the party providing it.

13.1 This Contract is governed by and shall be construed in accordance with the Laws of
South Sudan and the parties submit to the exclusive jurisdiction of the South Sudann Courts
of Law.

13.2 This Agreement and the Employee Handbook constitute the entire understanding
between the parties and supersedes all previous agreements and arrangements (if any)
relating to the Employee's employment by the Company.

13.3 If any term or provision in this Agreement shall be held to be illegal or unenforceable, in
whole or in part, under any enactment or rule of law, such term or provision or part shall to
that extent be deemed not to form part of this Agreement but the validity and
enforceability of the remainder of this Agreement shall not be affected.

13.4 The Company reserves the right to make reasonable changes to the terms and
conditions of the Employee's employment. Any minor variations shall be notified to the
Employee before implementation. More significant changes will only be made with the
approval of the General Manager and by giving the Employee at least one month's notice.
