SALE AGREEMENT

THIS AGREEMENT OF SALE is made and executed on the 01st DAY of April,
2023 (01-04-2023) at Bangalore, BY

Hereinafter called the ‘’Vendor’’ of the One part

Hereafter called the ‘’Purchaser‘’ of the Other Part;

(Both the terms the ‘’Vendor’’ and the ‘’Purchaser ‘’ shall mean and include
their respective legal heirs, executors, administrators, representatives and
assigns etc…)

Witnesses as follows:-

Whereas the Vendor is in peaceful possession and enjoyment of below


mentioned residential property bearing Site Nos. 1 & 2, BBMP Katha Nos.
386/686/1 & 613/794/2, formed in Sy No. 55/19 and 56/3, DC
Converted land Non Agriculture/ Residential DC Conversion No.
BDIS/ALN/SR/(N) 8/1992-93, and BDIS/ALN/SR/(N) 9/1992-93, dated
09/06/1992, Situated at Jarakabandekaval Village (M. S. Palya),
Yelahanka Hobli, Bangalore North Taluk, presently falling under the
purview of BBMP Vidyaranyapura Sub-Division, Bangalore, which is
morefully mentioned and described in the schedule hereunder and
hereinafter referred to as the SCHEDULE PROPERTY

And whereas the schedule property is the self-acquired property of the Vendor
having acquired the same in terms of sale deeds of Site No. 1, dated: 4th April
2008 from Mr. Khalid Son of Mr. Mohammed Yar Khan, vide document No.
33/2008-09, of Book- I CD No. BYPD 17, in the office of Sub-Registrar.
Byatarayanapura, Bangalore.

And Site No. 2, dated: 13th February 2008 from Mr. R. Ravi Son of Mr. C.
Rajanna, vide document No. 3949/2007-08, of Book-1, CD No. BYPD 14, in the
office of Sub-Registrar, Byatarayanapura, Bangalore. And subsequently got the
khata transferred in his name in the revenue office and upon change in
revenue jurisdiction to BBMP the khata registered in his name and he is
continued to exercise absolute got right of ownership over the schedule
property by remitting property taxes and other charges to the concerned
revenue authority, which is more fully described in the schedule given
hereunder, hereinafter called as the 'SCHEDULE PROPERTY'. measuring East

to West (40+37)/2 feet and North to South: (30+29)2 feet, totally 1135.75
Sq.Ft., which is morefully and particularly described in the schedule
hereunder written and hereinafter called and referred to as the “SCHEDULE
PROPERTY” for the sake of convenience.

That the Vendor is the absolute owner of the Schedule Property and his/their
title thereto is good, marketable and subsisting and that none also has any
right, title, interest or share herein.

That the Schedule Property is free from all encumbrances, attachments, court
or acquisition proceeding or charges of any kind.

That the Vendor has not entered into any Agreement /Agreement for sale or
transfer of the Schedule Property with anyone else acting on the said
representation. The Purchaser has agreed to purchase the same and the
parties are desirous of reducing the term agreed into writing.

WHEREAS the Vendor is in need of funds to meet his legal necessities, he is


decided to dispose of the Schedule Property and has offered to sell the
Purchaser herein, making of following representation;

Whereas above said both the parties are entered into registered Sale
Agreement, at the time of said registration measurement was 1200 sq. ft,
mentioned, after that the road was extended towards western side i.e, 64.25 Sq
ft was encroached. Today as per this Absolute sale deed measurement
mentioned as 1135.75 Sq. ft, and it was registering, and both the parties are
agreed for this measurement.

NOW THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS;

That in pursuance of the going and in consideration of the price hereby agreed,
the Vendor hereby agrees to sell and the Purchaser hereby agreed to purchase,
schedule property bearing Site No.386/686/1.2, Situated at
Jarakabandekaval Village (M. S. Palya), Yelahanka Hobli, Bangalore North
Taluk, Bangalore-560097.

SALE CONSIDERATION;

The price payable by the Purchaser to the Vendor for the Schedule Property
shall be Rs.62,00,000/- (Rupees Sixty-two Lakh Only).

PAYMENT OF SALE CONSIDERATION;


That the vendor has received a sum of Rs.15,00,000/- (Rupees Fifteen Lakhs
Only) by way of Cheque on 01-04-2023, Cheque No.707153, Canara Bank
Magadi Road Branch, And Rs.50, 000/- (Rupees Fifty Thousand Only) by
way of Cash on 01-04-2023, Total Rs.15,50,000/- paid by the purchaser in
the presence of the witness attesting here under. The Vendor hereby accepts
and acknowledges receipt of the same on the execution of this agreement.
The balance sale consideration amount of Rs.46,50,000/- (Rupees Forty Six
Lakhs Fifty Thousand Only) will be paid at the time of Registration.

PERIOD OF COMPLETION: Subject to the Vendor making out a good and


marketable title in respect of the Schedule Property and performing the other
term of this agreement as hereunder appearing, the Purchaser shall complete
the sale conveyance 45 Days (Both Party agreed to close the deal within a
time period) and the Vendor shall be executed the sale in favour of the
Purchaser or her nominee/nominees. It is specifically understood and agreed
to between the parties that time shall be the essence of the contract.
NOMINATION;

The Vendor shall execute the Deed of Sale in the Schedule Property either in
favour of the Purchaser and /or her / his nominee/ nominees by the Purchaser
on the term and condition.

ORIGINAL DOCUMENTS;

The Vendor shall deliver the original document of title relating to the Schedule
Property to the Purchaser at time of registration.
EXPENSES;

The Stamp Duty, Registration in regard to the Deed of sale shall be borne by
the Purchaser.

The expanses relating to making out a good title and obtaining necessary of
any for the shall be borne by the Vendor.
OBLIGATION OF VENDOR;

The Vendor shall make out and subsisting title in regard to the Schedule
Property to the Purchaser.

The Sale of the Schedule Property shall be free from encumbrances


attachments, court or acquisition proceeding or charges of any kind.

The Vendor shall bear and pay all rates and taxes in respect up to the Date of
Sale.

If any dispute arises afterwards the amount will be refunded without interest to
the purchaser and I am fully responsible to rectify the same to handover the
possession back to the Vendor.

All that piece and parcel of the immovable property bearing Site Nos. 1 & 2,
BBMP Katha Nos. 386/686/1 & 613/794/2, formed in Sy No. 55/19 and
56/3, DC Converted land Non Agriculture/ Residential DC Conversion No.
BDIS/ALN/SR/(N) 8/1992-93, and BDIS/ALN/SR/(N) 9/1992-93, dated
09/06/1992, Situated at Jarakabandekaval Village (M. S. Palya), Yelahanka
Hobli, Bangalore North Taluk, measuring East to West (40+ 37)/2 feet, and
North to South (30+29)/2 feet totally 1135.75 Sq. ft, presently falling under the
purview of BBMP Vidyaranyapura Sub- Division, Bangalore, together with all
appurtenances underneath or above the surface thereof and bounded on:

East by : Site No.9 &10,

West by : Road,
North by : Remaining Portion of Site No.1,
South by : Remaining Portion of Site No.2,

IN WITNESS WHEREOF, THE VENDOR AND THE PURCHASER TO THE


AGREEMENT OF SALE HAVE SIGNED AND SET THEIR RESPECTIVE HANDS
ON THE DATE, MONTH AND YEAR FIRST ABOVE WRITTEN.
