International Business Contract Resume

International Business Contract (Foreign) is a contract agreement that is made in between a law
entity/party in a country/national with a law entity/party of foreign country. The difference it has
compared to business contract in general; the international business contract has more than one law and
will be different in the definition, that being said, the international business contract will be more
comprehensive compared to the usual business contract. There three thing to be considered when doing an
international business contract :

1. Using Bilingual Language


In a foreign company, they normally will use and write their contracts in English, not mix
language. It is easier and will do a better job in reaching more people to be able to read it. But it doesn’t
mean it is free from trouble; In year 2013, Pengadilan Negeri Indonesia stated that contract that is made
with Indonesia entity and located in Indonesia that is not written in Indonesian are not valid.
That said problem can be solved with using bilingual language, which means the business
contract has to be made by the party and using two language. Where both party can understand it well.

2. The Importance of the Choice of Law and Forum Clause


The determination of legal jurisdiction and arbitration forums will be played and
determined by the dominant party in the cooperation contract between these countries, because
legal jurisdiction and arbitration forums will be an indirect advantage in business activities
between countries.

3. Consultant and Lawyer Services


International business company before starting an international business contract to a national or
local company are told to recruit a consultant or local lawyer that understand the law and dispute
resolution process according to its national law. The consultants and lawyer works are to draft the foreign
contracts according to the agreement both parties and the national law applicable.
