1. According to the article. 1458 of the new civil code. A contract of sale is a contract or
agreement between a seller or a buyer and the seller agree to deliver something that
wants to purchase to the buyer. The sales agreement between Mario and Dario is void.
When inventories are purchased with no intention of lowering the company's tax
liability, they may eventually become obsolete. There are no plans for the business to
sell these obsolete inventories in the future, and they won't be sold either. Due to the
end of their useful lives, these inventories could cause losses for the company. Mario's
purchase is therefore deemed invalid and as a result the entire contract.
2. Marie made the right decision by denying Joanna's request. Joanna and Marie indeed
signed a loan agreement under which Joanna became the legal owner of Marie's car.
Only the duration of a loan contract was allowed for the contract to remain in effect.
After the loan agreement, Joanna, the borrower, was required to return the vehicle to
Marie. Marie's action was therefore appropriate.
3. The substantial share donation by Scott to Jenny of the company's stock is invalid. A
person or a business's tax obligation is not supposed to be reduced by agreements
reached between two individuals without consulting the appropriate authorities. This
indicates that Scott's actions were dubious. Jenny made a mistake by taking advantage of
Scott's offer to sell her shares in exchange for helping him find ways to pay less in taxes.
Therefore, the contract's two signatories were mistaken.
4. Article 283 Light Threat, G.R No. L-17994
The arrested mayor must punish a threat to commit a wrong without consulting a crime
made in the manner described in subdivision 1 of the next preceding article. In this
instance, he can file a claim under article 283 Light Threat because he was threatened
and sold his company to Nino out of fear. All threats made against him will serve as the
foundation for his business's defense.
