Mominpet and got the same converted from Agricultural to Non-Agricultural vide NALA
proceedings no: 2200218252 and also entered into an Supplementary Agreement
demarcating the property allotted to Mr. Anji Reddy and this plot falls to the share of the
Vendor herein.
WHEREAS the Vendor part herein is totally holding land to an extent of Ac.19.09
Gts., and received an approval for DTCP layout (under the project name: GREEN SWING)
bearing C.No 3381/186/2022/E.P. and T.L.P No 27/2022/H and P02100004695 in respect
of the above mentioned land from the concerned authorities.
WHEREAS the Vendor herein is a developer and promoter engaged in the Activity of real
estate and allied business and it is a registered partnership firm under the Partnership Act
before the concerned authorities and the present partner is authorized to execute sale deeds
in favor of third parties.
WHEREAS the VENDOR has been in possession and enjoyment of the schedule property
mentioned above with a right to deal with the same as they deem fit and proper.
Now this Agreement of Sale witnesseth as follows:
1, The Second party! Vendor has offered to sell all that Plot no : 61 EAST Facing with
556 (Five Hundred and Fifty Six) Square yards (rough layout) out of total land
mentioned above situated at Enkathala Village and Grampanchayath, Mominpet Mandal,
\Vikarabad in the community known as GREEN SWING for a total sale consideration of
Rs.53,00,000/-(Rupees Fifty Three Lakhs Only) and the First party/Vendee has agreed
to purchase the same.
2. In accordance, the Vendee/ First party has paid until today Rs.26,50,000/-(Rupees
‘Twenty Six Lakhs Fifty Thousand Only) in the following manner:

‘Towards part sale consideration to the vendor/ Second party, the receipt whereof, the

Page 3 of 7The First party/ vendee has agreed to pay balance 50% sale consideration of
Rs. 26,50,000/- (Rupees Twenty Six Lakhs Fifty Thousand Only) within a period of
30 (Thirty) days from today i.e. August 30" 2022 and failing which the Second party/
Vendor shall have a right to forfeit 12% of the Agreement of Sale advance amount paid
by the First party and re-allot the same to a prospective purchaser without any notice.
The vendor! Second party shall make all arrangements required for execution and
registration of sale deed, for completion of all requirements for transfer of the said
property in favour of the First party! vendee or their nominee/s as the case may be
including execution of proper documents, for presentation of the sale deed in respect of
the said property with the concemed District/Sub-Registrar and inform the vendee/First
party. The vendee/First party shall not be entitled to subdivide the plots as allocated to
them.
In consideration of the said amount paid to the vendor by the vendee and the amount
payable, the vendor hereby agrees to sell, transfer, convey, alienate, assign unto and to
the use of the vendee absolutely and forever all that the said property along with all the
rights, easements, interests, etc., on and over the said property in favor of the vendee to
hold and to enjoy the same as absolute owner thereof, the rights which ordinarily pass
on through such sale. And the vendor shall deliver peaceful and vacant possession to
the vendee on the date of registration.
The vendor hereby deciares that they have got a subsisting and good marketable title
over the said property and that they are fully competent to sell the same to the Vendee,
which is free from all kinds of liens, charges, encumbrances, demands, minors' interest,
mortgages, attachments, cour litigations, acquisitions, prior agreements, attorneys, etc.
and that there are no claims of anybody against the said property nor any dispute
pending in relation thereto,
The Vendor hereby agrees to indemnify and shall keep indemnified the Vendee from all-
kinds of losses, damages, demands, third party claims, etc. in respect of the said
property, which the vendee may be put to by reason of any defect in the title of the
vendor or any act or omission
The Vendor declares that they have paid all the taxes, charges, etc., in respect of said
property to concerned departments and there shall be no dues payable to any
government department or local bodies as on the date of execution and registration of

transfer deed. In the event of any dues found in future, the vendor shall pay them and
make good the loss caused to the vendee.
The Vendor shall do and execute or caused to be done and executed all such acts,
deeds and things, which may be required by the vendee from time to time in regard to
said property for true implementation of these presents. The vendor / Second party/s,
shall also sign all such papers and documents, which may be required by the vendee
First party to perfect the title and other needs.
The vendor /Second party/s hereby covenants that they have not done, executed,
performed nor been party or privy to any act, deed or thing, whereby or by reasons
whereof the said property or any part thereof may be in any manner charged,
encumbered or otherwise effected or prejudiced in title or estate in favour of any third
party other than the First party or the Second party may be hindered or prevented from
transferring the said property to the First party in the manner herein indicated
‘That the land affected by these documents is not an assigned lands as defined in the
Act, 9 of 1977.
The Second party/s shall perform their part of the obligations under the present deed to
full effect and shall not be entitled to enter into any kind of transaction in respect of the
said property with any third party or to create any kind of lien, charge or encumbrance
over the said property.
In the event of any of the parties hereto failing to perform their respective parts of the
contract/ agreement, then the other party shall be at liberty to get the same done through
the court of law by filing a suit for the specific performance of the agreement of sale and
also would be entitled to claim and recover damages for breach of contract and loss
suffered by them.
‘The Second party/s shall handover to the First party the copies of sale deed under which
they had purchased the said properly along with all the documents pertaining and
relating to the said property, the link documents, bills and receipts of the taxes, charges if
any etc
Time is the Essence of this Contract.
The First party agrees to pay to the Second party the balance sale consideration even if
there are any external or internal Government changes in terms of policies or any

Pandemic which may hinder the transaction flow in the market provided the registration
offices are functioning
The first party agrees Rs 200/sq yard (Total calculated per the Plot size) to
contribute to the MAINTENANCE FUND for the maintenance of the said project which
amount is not covered in the sale consideration and the same shall be paid at the time of
registration.
The first party herein shall abide by the byelaws and terms and conditions of the Society
formed and also pay the maintenance charges as levied
Second party will borne all common area maintenance charges for two years from the
date of LP number received for Green Swing Project
The first party herein if intends to make any construction over the property on or before
31-12-2024 then it is mandatory on the part of the first party to enter into a separate
construction agreement with sister concern of the second party herein.
That the Second party or Developer agreed to complete all the developments in the
venture name as GREEN SWING of scheduled property by December 2023.
That the Second Party fails to fulfill the developments as per DTCP, Second party held
responsible for all costs and consequences arising there from.
Whatsoever may be in any manner the Second Party rejects the sale transaction (other
than the reason of First party not adhering to this Agreement of Sale guidelines or due to
first party non-payments to second party per timeline agreed), the paid amount will be
refundable per the sale agreement amount with 2% interest per month from the date of
agreement to Vendee / First Party.
The clubhouse and other facilities to be provided by the vendor are to be owned and
continue to the properties of the vendor. The vendor providing the clubhouse and other
facilities in its own land therefore the vendee or association/society shall not claim the
‘ownership or rights in any manner in the respect of the clubhouse and other facilities
provided by the vendor. The clubhouse and the other facilities to be provided by the
vendor is not only for the purpose usage of the owners of the layout plots as well as the
general public to the solo discretion of the vendor and on such terms and conditions to
be framed by the vendor from time to time.
