Yearly Undertaking for the period 2022 to 2023

With reference to any work awarded to M/s. The Associated Chambers of Commerce and
Industry of India by NTT India Private Limited, (hereinafter referred as “NTT”), whether by way
of an Agreement, Purchase Order, SOW, or by any other document by whatever name called,
M/s [The Associated Chambers of Commerce and Industry of India], hereby provides the
following undertaking:
1. That we have paid all our contractual and statutory dues to all the employees and
personnel engaged by us in providing services to NTT during the above-mentioned
period and there is no amount due and pending.
2. That we have complied with all labour laws, as applicable to M/s [The Associated
Chambers of Commerce and Industry of India], including:
a) Laws related to payment of wages, leaves, working hours, bonus;

b) Employees’ Provident Fund & Miscellaneous Provisions Act, 1952;

c) Payment of Gratuity Act, 1972;

d) Employees’ State Insurance Act, 1948;

e) Minimum Wages Act, 1948 in general, and in particular ensuring that the

employees and personnel have been paid more than the minimum wages;

f) Shops & Establishments Act, of the applicable states;

g) Contract Labour (R&A) Act 1970, if applicable;

h) Labour Welfare Fund Act, of the applicable states;

3. That M/s [The Associated Chambers of Commerce and Industry of India] shall continue

to remain liable for all employment and labour law obligations towards its employees and

personnel and agrees to indemnify and hold NTT harmless in respect of any

employment /labour law claims against NTT.
