COPYRIGHT AGREEMENT

This Agreement is made on the [ ] day of [ ] 20 between:

(1) Pooleys Flight Equipment Limited of Elstree Aerodrome, Elstree, Herts, WD6 3AW (“The Licensor”) and
(2) [ ] of [ ] (“The Licensee”)

It is acknowledged by the parties that:


a) The Licensor owns and controls all of the copyright and intellectual property rights contained in the
teaching materials listed in Appendix 1 (together known as “the PPTs”);
b) The Licensor is authorised by Air Pilot Publishing Limited (“The Publisher”) to distribute, sell, advertise for
sale and otherwise deal in the series of training manuals known as The Air Pilot Manuals (“The APMs”).

It is agreed as follows:
i) The Licensor hereby grants a licence to the Licensee for the use of the PPTs in the Licensee’s business of
provision of flying training, subject to the Licensee agreeing the following:

a. Not to make any unauthorised copies of any or all of the CDs comprising the PPTs nor to copy any part
or parts thereof;
b. Not to sell, lease, hire out or otherwise deal in or dispose of the PPTs or part or parts thereof without the
prior written permission of the Licensor;
c. Only to use and demonstrate the material contained in the PPTs within the Licensee’s training
establishment and for the sole purpose of providing training to the Licensee’s customers;
d. Not to incorporate any of the PPTs or any part of them into any website, webinar, video or to upload any
of the material to the internet or otherwise to publish any of the material contained in the PPTs.
e. To purchase from Pooleys a minimum of £500 worth of Air Pilot’s Manuals, nett of discounts and offers
per annum.

ii) The Licensee agrees, as a condition of the supply to it of the PPTs free of charge, to use the APMs for all training
within its training establishment and to recommend the use of the APMs as its primary source of training
manuals to all students who attend its training establishment for flight and theoretical knowledge training.

iii) The Licensee agrees to notify the Licensor of any errors, omissions, amendments or updates of which it becomes
aware whilst using the PPTs and the Licensee agrees promptly to make any appropriate amendments or
corrections to the PPTs and to replace the defective slides within a reasonable time period after receiving
such notification.

iv) The term of the agreement shall initially be one year to run from the date of signature by both parties to the
agreement. It may be extended from year to year upon a written agreement signed by both parties.

v) In the event that either party wishes to terminate the agreement before the end of the term, then all materials
and PPTs shall be returned to the Licensor in good condition within one month of termination. Failure to do this
will render the Licensee liable to the Licensee for the full commercial value of the PPTs, such sum to be paid at
the end of the first month following termination.

vi) If any contravention of the Licence set out herein is discovered, the Licensor reserves the right to seek
appropriate legal remedies, including monetary damages, or an injunction and shall also be entitled to seek costs
associated with such enforcement.

vii) If during the term of this Licence, the Licensee learns of any unlawful or unauthorised use of the PPTs or APMs,
or any other activity which would be a breach of this agreement by any person, then the Licensee agrees to
notify the Licensor as quickly as possible, by the most efficient means, whether text, telephone, SMS or
other means.

viii) This agreement shall be governed by the laws of England and Wales.
