INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement partnership is made as of December

23,2022, by and between December 23,2023 of Millenium Trending Management
and Ronald Cueto. In this agreement, the party who is contracting to receive the
services shall be referred to as Millenium Trending Management , and the party who
will be providing the services shall be referred to as Ronald Cueto.

1. PAYMENT FOR SERVICES. The Millenium Trending Management will pay

compensation for the service amount 18,000Pesos.This compensation shall be payable
monthly.

2. TERM/TERMINATION.This agreement shall terminate automatically on

December 23,2023.
A regular, ongoing relationship of indefinite term is not contemplated.The recipient
has no right to assign any services to the Contractor other than as specifically
contemplated by this Agreement .However, the parties may mutually agree that the
contractor shall perform other services for the recipient, pursuant to the terms of this
Agreement.

3. PROFESSIONAL CAPACITY. The contractor is a professional who uses his or

her own professionals and business methods to perform services.The Contractor has
not and will not receive training from the Recipient regarding how to perform
Services.

4. NO LOCATION ON PERMISES. The Contractor has no desk or other

equipment either located at or furnished by Recipient. Expect to the extent that
Contractor works in a territory defined by Recipient, his or her services are not
integrated into mainstream of the business.
5. NO SET WORK HOURS. The Contractor has no sets hours of work. There is no
requirements that the Contractor work full time or otherwise account for work hours.

6. EXPENSES PAID BY THE CONTRACTOR. The Management of Millenium

Trending will provide and pay for all the expenses and fees of the Recipient under the
contract agreement.

7. NO RIGHT TO ACT AS AGENT. The Recipient has no rights to retains,

supervise or inspect the work as it progress in order to ensure compliance with the
terms of the contract.The Contractor has a right to act as an agent for the Recipients
and has no obligation to notify any involved parties that it is not an agent

8. CONFIDENTIALITY. The Contractor have had access to private and/or

otherwise confidential information ("Confidential Information") of the Recipient such
as agreed to use the his/her name to open a business bank account. Confidential
Information means shall mean non-public information. Contractor will not any time
or in any manner, either directly or indirectly, use for the personal benefit of the
Contractor.
Contractor will protect such information and treat the Confidential
Information as strictly confidential. This provision shall continue to be effective after
the termination of the Agreement. upon termination of this agreement, the Contractor
will no longer access the Confidential Information of the Recipient whether physical
or electronic that are being used, created, or controlled by the Contractor during the
term of this Agreement.
