Do hereby solemnly affirm and declare as under:

We are well and sufficiently entitle to FLAT NO.C 806 8TH Floor admeasuring 57.47 Square Meter, along
with terrace area admeasuring 9.34 Square Meter FLAT NO.C 806 8TH Floor admeasuring 57.47 Square
Meter, along with terrace area admeasuring 9.34 Square Meter in the scheme known as “RIVAAH
REGENCY”, which is constructed on the property bearing Gat No.1403/2 & 1403/3, of village Wagholi,
Taluka- Pune, District Pune-412207, [Hereinafter referred as “Said Property”]

We say that, we are purchase the said property from M/s. NEETA REALTY by an Agreement dated
18/04/2022 Which has been registered in the office of Sub-Registrar Wai at Sr. No. 5165/2022 and We are
intended to mortgage the said property with ICICI BANK LIMITED. We confirm that, the title of the
owner of the land and rights of the Developer are clear and marketable, and the Developer has obtained
all the permissions from the various competent authority as required under the law of the land. We
confirm that, title of the land and said property is clean and marketable and there is no any litigation
pending in respect of the land as well as in respect of said property.

We hereby declare and undertake to indemnify and keep the ICICI BANK LIMITED fully indemnified, any
loss damages or risk that might arise to the ICICI BANK LIMITED, due to non-availability of any
documents or claim made by any other person or due to any order passed by any Court or authority or
any other document. We further undertake to inform any such order to the ICICI BANK LIMITED.

Notwithstanding anything agreed either between ourself and ICICI BANK LIMITED and ourself and
Builder, we hereby confirm and agree that, in future if the ICICI BANK LIMITED in its sole discretion
comes to the conclusion that, title of the said property as well as land is not clear and marketable in that
case, we shall refund, forthwith, the entire amount along with the interest disbursed by the ICICI BANK
LIMITED without giving any reason to the ICICI BANK LIMITED.

We further declare that we are the only person/s who shall be entitled to the said property, no other
person shall have any right, title and interest of any kind or nature whatsoever in the said property

We further affirm and declare that, the land as well as said property is free from all encumbrances,
charges, demands, recovery and same is not subject to any kind of lien, lease, lis pendens, attachment or
any proceedings of the Court of law and there is no restrictive covenant to mortgage the said property. I
declare that the title of the said property is clean and marketable, and we confirm that the said property
as well as land is not subject matter of any encumbrances whatsoever.

That for above said reason, we undertake to indemnify to the ICICI BANK LIMITED in this behalf, and
hence, we hereby declare and confirm to indemnify the ICICI BANK LIMITED for any loss damages caused
to it due to above said reason or any order passed by the Hon’ble Court or any Government authority or
due to defect of any kind of nature in the title of the said property. We further undertake to save the
ICICI BANK LIMITED from any damages, cost or sums required to be paid by the ICICI BANK LIMITED in
the suit or proceedings regarding the title of the said property. We are aware that the ICICI BANK
LIMITED disbursing the loan on the strength of this indemnity.

1. We say that , we are well and sufficiently entitle to the develop the of property bearing Gat No.1403/2 &
1403/3, of village Wagholi, Taluka- Pune, District Pune-412207 (Hereinafter referred

to as “Said Property”)

2. We say that we are well and sufficiently entitle to develop the said property. We have also obtained the
non-agricultural permission for the residential purposes so also other permissions as may require for the
development of the property. Thus, we are well and sufficiently entitled to develop the said property
and sale the tenements to the prospective purchasers. We say that, there is no dispute regarding title of
the property or the boundaries of the property. The title of the Said property is clear and marketable.

3. We hereby declare and undertake to indemnify and keep ICICI Bank Ltd., fully indemnified against any
loss damages or risk that might arise due to claim made by any person, Tenant or due to any adverse
order passed by Court or Authority. We further undertake to inform any such order to the ICICI Bank
Ltd. Notwithstanding anything agreed either between us and flat purchasers or the bank and the flat
purchasers, we hereby confirm and agree that, in future if the ICICI Bank Ltd. in its sole discretion comes
to the conclusion that, title of the said property and appurtenant thereto found to be are not clear and
marketable in that case, on the demand of ICICI Bank Ltd., we shall, without giving any reason, forthwith
refund the entire amount disbursed by ICICI Bank Ltd., on behalf of the flat purchasers along with
interest and expenses.

4. We further declare that, we are the only person/s who shall be entitled to sell the tenements
constructed on the said property, no other person shall have any right, title and interest of any kind or
nature whatsoever in the said property.

5. We further affirm and declare that, the said property is free from all encumbrances, charges, demands,
recovery and same is not subject to any kind of lien, lease, lis pendens, attachment and there is no
restrictive covenant to sale the tenements to the prospective purchasers.
6. That for above said reason, we undertake to indemnify jointly and severally to the ICICI Bank Ltd., in this
behalf, and hence, we here by undertake to indemnify the ICICI Bank Ltd., for any loss damages caused
to it due to above said reason or any order passed by the Hon’ble Court or any Government authority or
due to defect of any kind of nature in the title of the said property. We further undertake to save the
ICICI Bank Ltd., from any damages, cost or sums required to be paid by the ICICI Bank Ltd. in the suit or
proceedings regarding the title of the said property. We are aware that the ICICI Bank Ltd. disbursing the
loan to the prospective purchasers of the flat in our scheme known as “ Rivaah Regency” on the strength
of this indemnity.
