Overview
QNet4100 Alarm & Event Management System
The QNet4100 family of Alarm and Event Management Systems are versatile high speed
distributed microprocessor-based data acquisition systems designed to monitor and record, in real
time, changes of state of customer supplied field inputs with an accuracy of one millisecond. These
inputs can then be either displayed for local/remote annunciation or used to monitor system activity.

The QNet4100 family has a building block design and versatile communication features in order to
accommodate a wide range of capacity and configuration requirements. Each scanner card has 64
points and a full size main Chassis can be populated with up to 8 scanner cards for a maximum of
512 points. A main Chassis can support the addition of up to 64 Expansion Chassis for a
maximum of 4096 points total and each Expansion port may be located up to one mile (1.6km)
away affording tremendous configuration flexibility.

All information in the QNet4100 can be conveniently accessed through the many communication
ports available in the system. There are two Ethernet ports (10/100Base Tx) with the option of
converting them to Ethernet (100Base Fx), and six configurable RS232 serial ports and the
following protocols are available: Modbus RTU, Modbus TCP, DNP3 Serial, DNP3 Ethernet, IEC
60870-5-101, IEC 60870-5-104 and IEC 61850.

With flexible configurations and up to six EIA-232 serial ports available, communications to a wide
range of peripheral devices can be achieved. Multiple devices for printing, displaying and storage
of data can be supported simultaneously.

The QNet4100 family is a complete Alarm and Event Management System for all plant monitoring
applications. Their extensive communications facilities make it especially valuable as front end
instrumentation for reducing burden on the main control systems computer.
• At the same time, the QNet4100 serves as the control room’s real time alarm Annunciator
and recording source for ongoing event data.

Programming and operating the QNet4100 is intuitive to both new users and those familiar with the
earlier SER4100 units. All communications are achieved by means of a keyboard terminal device
for equipment configuration and operator reports.

• In addition to the point number, type of event, and time information, each point can be
assigned a 60 character, alphanumeric legend for alarm and 60 characters for return-to-
normal legends.
• A sampling of the many system parameters that can be set or changed through the
keyboard are: Normally Open/Normally Closed field contacts; Alarm input debounce filter;
Return-to-normal debounce filter; Point enable/disable; 60 character legends; EIA-232 ports,
fully configurable for type of device, baud rate and parity; Point assignments to EIA-232
ports; Eight special function configurable relay outputs; Initial time set or correction and date
input; Auto delete/restore from log parameters; network parameters; grouping via the
Boolean/math engine; protocols.
The QNet4100 features a unique variable debounce filter system to filter out input noise, prevent
nuisance alarms and allow for relay contact bounce. It is provided by a digital input filter (alarm
debounce), adjustable from the keyboard on a single point based from one millisecond to 65
seconds.
• It is also available to debounce a return-to-normal on a per-point basis.

The QNet4100’s distributed sequential memory is capable of storing over 2334 event messages per
64 points on each scanner card.
• The distribution of memory on separate scanner cards in 64 point increments ensures that
the failure of individual cards will not upset the systems entire memory bank.
• The QNet4100 features event storage for analysis purposes in the form of a circular
historical buffer, whose design is unique in events recording instrumentation. It stores the
last 100,000 events captured, which can be easily accessed for post fault analysis. By using
a keyboard entry, events can be recalled by date, time or address, or by events occurring
since the last request, which is particularly useful in unmanned applications.
• In addition to its external point capacity, the QNet4100 offers eight relays or Boolean/math
engine (a relay point is an internally generated point driven by one or more inputs assigned
to that point, or from one or more internal diagnostic points). Typically, relay points can be
used to output diagnostic failures, to retransmit a point or a group of points, to provide output
to a horn, or in any other application requiring an output related to a single input point or
group of points.

The real value of the QNet4100 lies in its extensive facilities for communicating with a true diversity
of other instrumentation. Paramount is its ability to provide relief for a main control computer, which
makes it a valuable front end device.
• The QNet4100 saves the computer from having to perform events scanning, a function
computers are not well suited for, particularly during system upsets and other high-volume
event conditions.
• In all, there are six different EIA-232 output ports available on the QNet4100, with a
separate port able to be configured to accept an IRIG-B clock synchronization input. The
EIA-232 inputs provide compatibility for receiving inputs from and/or outputting events data
to all of the following: AdviSER displays and serial input window Annunciators,; Printers;
Printer terminals, Modems, Computers, Distributed process control systems, Programmable
controllers, GPS satellite receivers (time syncs).
• The QNet4100 can run output devices at selectable baud rates, data bits and parity checks.

In developing the QNet4100, careful attention was given to the necessary details to fully protect the
integrity of events data.
• An all point system test enhance troubleshooting procedures, system or module failure
codes are presented on both printer and CRT displays to prompt maintenance personnel.
An hourly functional automatic test (including printout) fully exercises the system from input
circuit forward.
• The system crystal controlled clock can be synchronized to a hourly input pulse, IRIG-B, or
satellite receiver. There is battery back-up for both the real time clock and historical buffer.
• A multi-level programmable security code is available to limit access to the system.

While the QNet4100 is a system unto itself, it can also be used in conjunction with two types of
Annunciators. Either combination forms a powerful and complete system of events recording and
visual and audible annunciation.
• A single or multiple AdviSER Annunciator can be supplied for displaying selected events in
color on screens. All events may be presented on the PC monitor with provisions for
additional events to be stored in pages of memory.
• The 60 character legend descriptions can be color-coded in any of eight standard colors.
The time field for new alarms appears in a flashing red mode, acknowledged alarms change
to a steady yellow, and return-to-normal events are displayed in green.

While the QNet4100 system has the latest Alarm and Event Management features, it not only
continues to support the earlier SER4100 systems but it does so with the following improvements:
• Over one hundred times greater memory for recording historical events.
• The battery backup time has been increased from twenty-four hours to over ninety days.
• The battery backup recharge time has been reduced from seventy-two hours to less than
four hours.
• A USB maintenance port has been added for connecting to a PC.
• A fiber optic option has been added for connecting the IRIG-B port.
• Two Ethernet ports (10/100BaseT(x)) have been added along with the option of a 100Base
Fx Ethernet port.
• Serial port baud rate selections have been increased from a max speed of 19.2K to 230.4K.
• Communication protocols have been added: Modbus RTU, Modbus TCP, DNP3 serial,
DNP3 Ethernet, IEC 60870-5-101, IEC 60870-5-104 and IEC 61850.

Installing the system


1. Unpack the QNet4100 Alarm & Event Management System.
2. Check that all of the materials on the packing slip are included.
3. Inspect all the components for any physical damage which may have occurred in transit.
If damage is found, refer to the Warranty for recommended claim procedure. Retain the
packing material for possible future use.
4. Mount the Chassis and supporting components using the appropriate hardware.
5. Use the wiring charts in this manual for wiring locations and dress all wires according to
the utility/OEM standards.
6. Inspect all wiring and mounting before applying power to the system.
7. Apply power to the system and begin configuring using the QNet Operations Manual.

The RPS 100 is a redundant Power Supply unit providing both logic voltage (5V and +/- 12V dc)
and field contact voltage (24Vdc, 48Vdc or 125Vdc) for use with the SER4100RM Chassis.

For ‘Dry’ contact inputs, Field Contact Voltage is provided by the Digital Scanner Module via the ‘C’
terminals. All ‘C’ terminals are internally connected together; for wiring convenience, one ‘C’
terminal is provided for each pair of inputs.
For ‘Wet’ contact inputs, Field Contact Voltage is provided from an external source. (Links on the
Scanner Module must be removed to isolate the module from the internal field contact supply bus).
Terminals are No. 6 screw type and will accept either fork or ring lugs.

Prefabricated cables with connectors either end are provided for connection to the Digital Scanner
Module. Cables of almost any length can be provided and two cables are required for each Input
Terminal Panel.

For ‘Dry’ contact inputs, Field Contact Voltage is provided by the Digital Scanner Module via the ‘C’
terminals. All ‘C’ terminals are internally connected together; for wiring convenience, one ‘C’
terminal is provided for each input.
For ‘Wet’ contact inputs, Field Contact Voltage is provided from an external source. (Links on the
Scanner Module must be removed to isolate the module from the internal field contact supply bus).
1 Terminals are ‘Phoenix’ clamp style and will accept wire up to 2.5mm2 or can be used with ‘Flat
Blade’ or ‘Boot Lace’ lugs.
2 Terminals are also provided for customer supplied field contact voltage input.
A prefabricated cable 3 with connectors either end is provided for connection to the Digital
Scanner Module. Cable of almost any length can be provided

The following operator controls are provided:


• Sequence Control Buttons: ACKNOWLEDGE & RESET
The ‘Acknowledge’ and ‘Reset’ buttons control the alarm sequence. Pressing acknowledge
will silence the audible and will change the visual display for new alarms to the
acknowledged condition. See [CRT-01]. The ‘acknowledge’ and ‘reset’ buttons only affect
the alarms currently being displayed and the Color and Status Filter buttons may be used to
isolate specific alarms before Sequence Control button actions.
• Page Navigation Buttons: 1ST PAGE, PAGE UP & PAGE DOWN
Alarms are displayed in chronological order and the most recent alarms are always
displayed at the top of page 1. The ‘1st Page’ Button allows the operator to quickly display
the newest Alarms, while the ‘Page Up’ and ‘Page Down’ buttons allow for navigation
through older alarm pages.

Universal Interface Chassis (UIC)


The Universal Interface Chassis (UIC) is used where non-standard inputs and/or input-to-input
isolation (as well as input-to-output isolation) are required.

The standard UIC allows for a wide range of AC or DC voltage inputs. Because each input is
completely isolated different voltages can be used on each input.

Each UIC panel provides for 32 input channels and two screw terminals are provided for each input:

A 37 way D type connection is provided for connection to Digital Scanner Module (DSM).

Operation
The standard UIC panel will accept signal from 0 to 260VAC or DC.

Controller Modules
The Controller Modules act as supervisors and routers in the system and provide for storage of the
system configuration and historical event data. Its supervisory role provides initially for start up and
initialization of the Scanner and Annunciator output modules and subsequently for diagnostic
monitoring of the system by sending frequent (30 second interval) test messages to the Scanner
and Annunciator output modules. Its routing role provides for correlation of event messages
received from the Scanner Modules and sending corresponding messages to the Annunciator
output modules and other peripheral devices connected to the system.

The main Controller Module is installed in a Main Chassis, and collects and correlates data from the
Scanner Modules.
The module provides the following features:
• A 100,000 point circular historical buffer for output buffering and for recall of events.
• Non-volatile memory for storage of configuration data including a 60 character descriptive
legend for both alarm and return-to-normal events.
• Battery back-up for the crystal controlled clock and historical buffer.
• Six RS232 serial input/output ports for connection to configuration terminal, printer or other
peripheral devices.
• Eight programmable relays which can be used for diagnostic alarms for any input or group of
inputs.

The Controller Modules provide for collection of event information from the Scanners and
distribution of the alarm and event information to various peripheral devices connected to the
system.
The Controller Module provides the following communication ports:
A high speed port for communication with Scanner Modules. This port is connected via the
Chassis back plane and extended to the Scanner Modules mounted in Expansion Chassis via fiber
optic communications.
A maintenance port, for connection of an engineering computer for system maintenance and
troubleshooting. This port designated 'P0', is located at the front of the Controller Module and
supports both RS232 serial and USB connections.
Five configurable serial ports are provided for communication with various peripheral devices.
These ports are designated ‘P1’, ‘P2’, ‘P3’, ‘P4’ and ‘P5’ and are located at the rear of the Controller
Module. Ports 'P1' or 'P5' may alternatively be routed to an optional fiber optic connection also
located at the rear of the module.

Two Ethernet ports are provided for communication via a local or wide area network to various
peripheral devices. These ports designated ‘E0’ and ‘E1’, are located at the rear of the Controller
Module and provide a 10/100-Base-Tx connection. An optional 100-Base-Fx (fiber optic)
connection is also available.
A time synchronization port is provided for connection to an external synchronization source. This
port is designated ‘T1’ and is located at the rear of the Controller Module.

Current Time
Internally the QNet 4100 stores time in Coordinated Universal Time (UTC) format, however, each
display or printer port can be configured to display the time in either UTC or Local time format.
Event time is displayed in hours, minutes, seconds and milliseconds.
Time Zone
The Time Zone selection determines what local time is displayed based on the current offset from
UTC. Additionally, the time zone setting also determines how the system accounts for daylight
savings time (DST).

Standard Oscillator:
If the ‘standard’ oscillator is in use, the worst case drift is assumed to be 20ppm or 72mS/hour; it
can be assumed that under worst case conditions the clock will lose accuracy at a rate of 72mS per
3600 seconds or 1mS per 50 seconds. If the primary source is lost the quality character will change
from ‘blank’ to ‘a’ after approximately 50 seconds, and will change from ‘a’ to ‘b’ after approximately
500 seconds. The clock will continue to degrade until eventually the clock is considered to be as
much as 100 seconds (or 100,000mS) away from the real time and the quality character will change
to ‘f’. However, since the standard oscillator is considered to drift at only 1mS per 50 seconds this
will take approximately 5,000,000 seconds!

High Stability Oscillator:


If the ‘high stability’ oscillator is in use, the worst case drift is assumed to be 0.1ppm.

Note: At start up time is read from the systems battery backed up real time clock (RTC). The
inaccuracy of the RTC is considered to be >100mS. If no external precision time source is present
the time quality character will be set to ‘c’. The external precision time source for the PTN system is
the IRIG B time code generator.

Scanner Module
Each Scanner Module provides for 64 field contact inputs. The field contact inputs are routed from
the input terminals of the 'logic panel assembly' or 'reflash panel assembly' to 37 pin connectors (J2
and J3) at the rear of the module.
The Scanner Modules scan the field contact inputs every millisecond to determine if the contact has
changed state. If a change of state is detected the Scanner Module will apply the change of state to
its debounce filter algorithm, and if the change of state is persistent it will communicate the event to
the Controller Module. All parameters for the Scanner Module inputs are configured by software
and are stored at the Controller Module. When the system is started or when a change in the input
parameters is made the parameters are downloaded to the Scanner Module.
Field contacts can be set for either normally open (NO) (i.e. closed for the alarm condition) or
normally closed (NC) (i.e. open for the alarm conditions). The Scanner Module provides for
independently adjustable alarm and return-to-normal debounce filters for each input. The filters are
adjustable in the range of 1 to 65,535 mS in one millisecond increments. The default setting for the
debounce filters is 10 milliseconds but some adjustment may be required after installation
dependent on the type and condition of the field input device.
Individual inputs at the Scanner may be enabled or disabled. When a point is disabled no changes
of state of the field contact are reported to the Controller Module. This allows for individual field
devices to be disabled during maintenance such that nuisance/expected maintenance events are
not reported to the operator.

Unless otherwise specified, all SER input cables are labelled 1 thru 32. For each additional
input cable above Scanner 1 - 32, add 32 to the like input from the previous cable.

Connectors J2 & J3 pin 29 supply the operating voltage to the field contacts. Connector pin
30 (return) is used only if an external field contact power source is to be supplied to the
Scanner via the input cable (scanner card jumpers JP1 & JP2 must be removed for this
configuration).
The Scanner Modules monitor the field input events, time tags them and forwards the information to
the Controller Module. Each Scanner Module has an event memory for up to 2,334 events. It has
independently adjustable opening and closing contact debounce filters for each input, as well as
normal switch state (NO/NC), enable/disable state as configured by the user. An independently
adjustable auto delete/restore (ADRL) is also displayed but is not used in the PTN system. Scanner
Modules are located in the equipment Chassis together with the Annunciator Output Modules.
Redundant Scanner sub systems can be provided.
Custom Input Terminal Arrangements can be provided for connection of field inputs to the system.
Input Terminals that closely match the current Annunciator input terminal arrangements can be
provided for location behind each lamp box.
Input terminals can also be provided for the spare scanner inputs.
Connectors are provided for connection of the Ground Detector and Power fail alarm module to
route these alarms back to scanner inputs. For panel sections that contain a ‘reflash panel’ an
additional terminal arrangement is provided that closely matches the existing ‘reflash’ input terminal
arrangement. For both the Annunciator and Reflash input terminal arrangements, connectors are
provided to route the inputs via prefabricated cables to the Scanner Modules and for connection of
the Field Contact Voltage from the power distribution system. Ground Isolation Switches are
provided with the input terminal arrangement.
Each Scanner Module provides for 64 inputs and redundant Scanner Modules are provided for each
panel section. Four inputs of the Scanner Module are used for ground fault, logic, field and lamp
power supply failure alarms. The remaining inputs are provided with input terminals for connection
of existing field inputs. Where a ‘reflash’ system is mounted in the panel section an additional
redundant scanner pair is provided, either mounted in the same panel or in the adjacent panel
section.
The Scanner Module scans its associated inputs every 1 millisecond to determine if any inputs have
changed state. Any detected change of state is applied to a programmable ‘debounce’ algorithm to
eliminate contact bounce and resulting spurious alarms. The debounce delay is individually
programmable on a per input basis between 1-millisecond to 65,535 milliseconds in 1 millisecond
increments allowing each input to be conditioned depending on its function and the initiating device.

If an event is detected after the debounce filtering, the event is subjected to an ‘automatic delete
and return to logging’ (ADRL) algorithm to determine if the input has entered an oscillatory or
continuously changing state. If an oscillatory condition is detected the input may be deleted from
reporting until the input returns to a steady condition. This eliminates multiple alarm reports from the
same device due to faulty field contacts.
The ADRL filter parameters are individually adjustable on a per input basis and may also be applied
to selected inputs. ADRL is set to 0.
When a valid event is detected the event is stored in the Scanner Module ‘event sequence memory’
buffer ready for transmission to the Controller Module. The size of the ‘sequence memory’ buffer
allows for up to 2,334 events to be stored per Scanner Module, ensuring that no events are missed
due to communications delays.

Scanner Module Initialization


Scanner Module recessed pushbutton switch can be pushed to attempt to re-initialize or recover the
scanner after a scanner failure, scanner fault and/or scanner related diagnostic message as a
troubleshooting step.
At 'initial power up', or when the Scanner Module is reset by the Controller or by manually pressing
the Scanner Module recessed reset pushbutton switch through the front panel, the Scanner Module
microcontroller will initialize the hardware, build an interrupt vector table (the entry point for program
execution when an interrupt of the specific type occurs) test the RAM and initialize the system
variables where required. After completion of the start sequence the program will enter the main
operation loop.
Before a Scanner Module can correctly report events it must first receive the correct time and input
configuration information from the Controller Module.
After the 'initial power-up' the Scanner Module will wait until it has received the following messages
before starting to scan inputs and report events:
An initial TIME message from the Controller Module. This will synchronize the Scanner Module
clock and allow it to correctly time stamp events.
The three configuration messages:
• Polarity, Enable and ADRL configuration
• Alarm debounce configuration
• Normal debounce configuration
These messages provide information about the inputs and how the Scanner Module should process
any changes of state.

Synchronization
The Controller Module broadcasts a TIME message in the form of ‘milliseconds since midnight’ to
the Scanner Modules at 30 second intervals.

End User License and Software Warranty


PLEASE READ THIS SOFTWARE LICENSE CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING ANY QUALITROL OR QUALITROL-SUPPLIED SOFTWARE. BY
DOWNLOADING OR INSTALLING THE SOFTWARE, OR USING THE EQUIPMENT THAT CONTAINS THIS SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THIS
LICENSE.

The following terms govern your use of the Software except to the extent a particular program (a) is the subject of a separate written agreement with Qualitrol or (b) includes a
separate “clickwrap” license agreement as part of the installation and/or download process. To the extent of a conflict between the provisions of the foregoing documents, the order of
precedence shall be (1) the written agreement, (2) the clickwrap agreement, and (3) this Software License.

License. Subject to the terms and conditions of and except as otherwise provided in this Agreement, Qualitrol Systems, Inc. or the Qualitrol Systems, Inc. subsidiary licensing the
Software, if sale is not directly by Qualitrol Systems, Inc. (“Qualitrol”), and its suppliers grant to Customer (“Customer”) a nonexclusive and nontransferable license to use the specific
Qualitrol program modules, feature set(s) or feature(s) for which Customer has paid the required license fees (the “Software”), in object code form only. In addition, the foregoing
license shall also be subject to the following limitations, as applicable

• Unless otherwise expressly provided in the documentation, Customer shall use the Software solely as embedded in, for execution on, or (where the applicable documentation permits
installation on non-Qualitrol equipment) for communication with Qualitrol equipment owned or leased by Customer;

• Customer’s use of the Software shall be limited to use on a single hardware chassis, on a single central processing unit, as applicable, or use on such greater number of chasses or
central processing units as Customer may have paid Qualitrol the required license fee; and

• Customer’s use of the Software shall also be limited, as applicable and set forth in Customer’s purchase order or in Qualitrol’s product catalog, user documentation, or web site, to a
maximum number of (a) seats (i.e. users with access to the installed Software), (b) concurrent users, sessions, ports, and/or issued and outstanding IP addresses, and/or (c) central
processing unit cycles or instructions per second. Customer’s use of the Software shall also be limited by any other restrictions set forth in Customer’s purchase order or in Qualitrol’s
product catalog, user documentation or web site for the Software.

NOTE: For evaluation or beta copies for which Qualitrol does not charge a license fee, the above requirement to pay a license fee does not apply.

General Limitations. Except as otherwise expressly provided under this Agreement, Customer shall have no right, and Customer specifically agrees not to:

(i) transfer, assign or sublicense its license rights to any other person, or use the Software on unauthorized or secondhand Qualitrol equipment, and any such attempted transfer,
assignment or sublicense shall be void;

(ii) make error corrections to or otherwise modify or adapt the Software or create derivative works based upon the Software, or to permit third parties to do the same; or (iii)
decompile, decrypt, reverse engineer, disassemble or otherwise reduce the Software to human readable form to gain access to trade secrets or confidential information in the
Software. To the extent required by law, at Customer's request, Qualitrol shall provide Customer with the interface information needed to achieve interoperability between the
Software and another independently created program, on payment of Qualitrol's applicable fee. Customer shall observe strict obligations of confidentiality with respect to such
information.

Upgrades and Additional Copies. For purposes of this Agreement, “Software” shall include (and the terms and conditions of this Agreement shall apply to) any upgrades, updates, bug
fixes or modified versions (collectively, “Upgrades”) or backup copies of the Software licensed or provided to Customer by Qualitrol or an authorized distributor for which Customer has
paid the applicable license fees.

NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT: (1) CUSTOMER HAS NO LICENSE OR RIGHT TO USE ANY SUCH ADDITIONAL COPIES OR
UPGRADES UNLESS CUSTOMER, AT THE TIME OF ACQUIRING SUCH COPY OR UPGRADE, ALREADY HOLDS A VALID LICENSE TO THE ORIGINAL SOFTWARE AND
HAS PAID THE APPLICABLE FEE FOR THE
UPGRADE; (2) USE OF UPGRADES IS LIMITED TO QUALITROL EQUIPMENT FOR WHICH CUSTOMER IS THE ORIGINAL END USER PURCHASER OR LESSEE OR WHO
OTHERWISE HOLDS A VALID LICENSE TO USE THE SOFTWARE WHICH IS BEING UPGRADED; AND (3) USE OF ADDITIONAL COPIES IS LIMITED TO BACKUP PURPOSES
ONLY.

Proprietary Notices. Customer agrees to maintain and reproduce all copyright and other proprietary notices on all copies, in any form, of the Software in the same form and manner
that such copyright and other proprietary notices are included on the Software. Except as expressly authorized in this Agreement, Customer shall not make any copies or duplicates or
any Software without the prior written permission of Qualitrol. Customer may make such backup copies of the Software as may be necessary for Customer’s lawful use, provided
Customer affixes to such copies all copyright, confidentiality, and proprietary notices that appear on the original.

Protection of Information. Customer agrees that aspects of the Software and associated documentation, including the specific design and structure of individual programs, constitute
trade secrets and/or copyrighted material of Qualitrol. Customer shall not disclose, provide, or otherwise make available such trade secrets or copyrighted material in any form to any
third party without the prior written consent of Qualitrol. Customer shall implement reasonable security measures to protect such trade secrets and copyrighted material. Title to
Software and documentation shall remain solely with Qualitrol.

Term and Termination. This License is effective until terminated. Customer may terminate this License at any time by destroying all copies of Software including any documentation.
Customer’s rights under this License will terminate immediately without notice from Qualitrol if Customer fails to comply with any provision of this License. Upon termination, Customer
must destroy all copies of Software in its possession or control.

Customer Records. Customer grants to Qualitrol and its independent accountants the right to examine Customer’s books, records and accounts during Customer’s normal business
hours to verify compliance with this Agreement. In the event such audit discloses non-compliance with this Agreement, Customer shall promptly pay to Qualitrol the appropriate
licensee fees.

Export. Software, including technical data, may be subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations, and may be subject
to export or import regulations in other countries. Customer agrees to comply strictly with all such regulations and acknowledges that it has the responsibility to obtain licenses to
export, re-export, or import Software.

U.S. Government End Users. The Software and associated software documentation qualify as “commercial items,” as that term is defined at 48 C.F.R. 2.101, consisting of
“commercial computer software” and “commercial computer software documentation” as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R.12.212 and 48 C.F.R.
227.7202-1 through 227.7202-4, Licensee will provide to Government end user, or, if this Agreement is direct Government end user will acquire, the Software and software
documentation with only those rights set forth herein that apply to nongovernmental customers. Use of this Software and software documentation constitutes agreement by the
government entity that the computer software and computer software documentation is commercial, and constitutes acceptance of the rights and restrictions herein.

Limited Warranty. Qualitrol Systems, Inc. or the Qualitrol Systems, Inc. subsidiary licensing the Software, if sale is not directly by Qualitrol Systems, Inc. (“Qualitrol”) warrants that
commencing from the date of delivery to Customer and continuing for a period of the longer of (a) ninety (90) days or (b) the period set forth in the Warranty Card accompanying the
Product (if any): (a) the media on which the Software is furnished will be free of defects in materials and workmanship under normal use; and (b) the Software substantially conforms to
its published specifications. The date of shipment of a Product by Qualitrol is set forth on the packaging material in which the Product is shipped. Except for the foregoing, the
Software is provided “AS IS”. This limited warranty extends only to the Customer who is the original licensee. Customer's sole and exclusive remedy and the entire liability of Qualitrol
and its suppliers under this limited warranty will be, at Qualitrol or its service center's option, repair, replacement, or refund of the Software if reported (or, upon request, returned) to
the party supplying the Software to Customer, if different than Qualitrol. In no event does Qualitrol warrant that the Software is error free or that Customer will be able to operate the
Software without problems or interruptions. In addition, due to the continual development of new techniques for intruding upon and attacking networks, Qualitrol does not warrant that
the Software or any equipment, system or network on which the Software is used will be free of vulnerability to intrusion or attack.

Restrictions. This warranty does not apply if the Product (a) has been altered, except by Qualitrol, (b) has not been installed, operated, repaired, or maintained in accordance with
instructions supplied by Qualitrol, (c) has been subjected to abnormal physical or electrical stress, misuse, negligence, or accident; or (d) is licensed, for beta, evaluation, testing or
demonstration purposes for which Qualitrol does not receive a payment of purchase price or license fee.

DISCLAIMER OF WARRANTY. EXCEPT AS SPECIFIED IN THIS WARRANTY, ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES
INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, NONINFRINGEMENT, SATISFACTORY QUALITY OR ARISING FROM A COURSE OF DEALING, LAW, USAGE, OR TRADE PRACTICE, ARE HEREBY
EXCLUDED TO THE EXTENT ALLOWED BY APPLICABLE LAW. TO THE EXTENT AN IMPLIED WARRANTY CANNOT BE EXCLUDED, SUCH WARRANTY IS LIMITED IN
DURATION TO THE WARRANTY PERIOD. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS,
THE ABOVE LIMITATION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY
FROM JURISDICTION TO JURISDICTION.

This disclaimer and exclusion shall apply even if the express warranty set forth above fails of its essential purpose.

Disclaimer of Liabilities. IN NO EVENT WILL QUALITROL OR ITS SUPPLIERS BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR DATA, OR FOR SPECIAL, INDIRECT,
CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY ARISING OUT OF THE USE OF OR
INABILITY TO USE SOFTWARE EVEN IF QUALITROL OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Qualitrol’s or its suppliers’ liability to Customer, whether in contract, tort (including negligence), or otherwise, exceed the price paid by Customer. The foregoing
limitations shall apply even if the above-stated warranty fails of its essential purpose.

BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION
MAY NOT APPLY TO YOU.

The Warranty and the Software License shall be governed by and construed in accordance with the laws of the State of New York, without reference to principles of conflict of laws,
provided that for Customers located in a member state of the European Union, Norway or Switzerland, English law shall apply. The United Nations Convention on the International
Sale of Goods shall not apply. If any portion hereof is found to be void or unenforceable, the remaining provisions of the Warranty and the Software License shall remain in full force
and effect. Except as expressly provided herein, the Software License constitutes the entire agreement between the parties with respect to the license of the Software and supersedes
any conflicting or additional terms contained in the purchase order.

If Customer has entered into a contract directly with Qualitrol for supply of the Products subject to this warranty, the terms of that contract shall supersede any terms of this Warranty or
the Warranty Card, or the Software License, which are inconsistent with that contract. Customer acknowledges that the Internet URL address and the web pages referred to in this
document may be updated by Qualitrol from time to time and the version in effect at the date of delivery of the Products to the Customer shall apply.

Trademarks
Trademarks or trade names are subject to state and federal laws concerning their unauthorized use or other infringements. The fact that the product marks or names in this software,
and related documentation, do not bear a trademark symbol does not mean that the product mark or name is not registered as a trademark or trade name. Any queries concerning
ownership or existence of any trademarks or trade names mentioned in this software, and related documentation, should be independently confirmed with the manufacturer or
distributor of the product.
