Memorandum of Agreement (MOA)

For Peer Reviewing Translation of


AA1000AP (2018)

BETWEEN PT MOORES ROWLAND INDONESIA AND ACCOUNTABILITY

OCTOBER 1, 2019
1) Background - Participants

This agreement is concluded between AccountAbility AA1000 CIC (“AccountAbility”); (Company


Registration No. 07765165) whose registered office is at 3 Lloyds Avenue, London EC3N 3DS
UK and PT Moores Rowland Indonesia, Jl Sisingamangaraja No.26 RT/1 RW/1, Selong, Kebayoran
Baru, Jakarta Selatan, Daerah Khusus Ibu Kota Jakarta 12120 (the Peer Reviewer) for the Peer
Review of the AA1000AP (2018) into Indonesia Language.

In this Agreement, any phrase introduced by the words "including", "include", "in particular", "such
as" or any similar expression shall be construed as illustrative and shall not limit the sense of the
words preceding those terms.

2) Purpose and Goal

The goal of the collaboration between AccountAbility and the Peer Reviewer is to promote
accountability for sustainable development through the Peer Review of the translated Indonesia
Language version of the AA1000AP (2018) and to seek feedback in in terms of terminology used and
applicability in the cultural context.

3) Roles and Responsibilities

AccountAbility shall:

 Endorse the Peer Review once the Translation has been signed off and make it available (free of
charge) on a secondary page of AccountAbility’s website.

 Acknowledge the independent Peer Reviewers’ contribution in an inner page of the relevant
language version of the AA1000AP (2018) or such place as AccountAbility shall determine. The
acknowledgement shall only include the name and organisation (if applicable).

The Peer Reviewer shall:

 Produce an accurate Peer Review of the Work with regards to language, grammar and content
rather than a literal word-for-word translation, and provide comments and suggested edits on
the Translation for approval.

 Be open to consultations, comments and engagements regarding the content or language used in
the Translation (e.g. inconsistencies with the original English version);

 Inform AccountAbility whenever the Peer Reviewer wishes to introduce changes deemed
necessary for improved clarity in order to establish the Translation as a credible Translation of
the Work;

 Cover the costs for the Peer Review

4) Confidentiality

Each party undertakes that it will not at any time hereafter use, divulge or communicate to any
person, except to its professional representatives or advisers or as may be required by law or any
legal or regulatory authority, any confidential information concerning the business or affairs of the
other party which may have or may in future come to its knowledge, and each of the parties shall
use its reasonable endeavours to prevent the publication or disclosure of any confidential
information concerning such matters.

5) Intellectual Property (IP)

The copyright and all other intellectual property rights in the Translation belong to AccountAbility
on completion of the Peer Review.

6) Development Costs

The Reviewer will be responsible for associated costs (see under clause 3).

AccountAbility will not be responsible for costs related to changes deemed necessary for clarity, to
translate the content of the Translation into the correct context linguistically in order to establish a
credible translation, or for the design of the Translation.

7) Distribution

The Reviewer’s website may link to AccountAbility’s website, but the Reviewer may not post the
Translation on its own website. The download of the Translation is free of charge.

The Translation shall only be distributed at training, events, consultations or other occasions in an
unalterable format such as Adobe PDF or printed versions that are free of charge.

In any event, AccountAbility retains the right to have a soft copy available on its website and hard
copies for sale, but does not intend to actively distribute the Translation via other third parties.

8) Handling follow-up interest of the Translation

The parties shall inform and pass on any enquiry to AccountAbility, whenever a third party
approaches them, for approval of text or graphics they wish to use for a publication. AccountAbility
shall retain the rights to republish text or graphics out of the Translation within its own publications
without approval of any of the parties.

9) Termination

This agreement shall commence on the date of signing and will continue until terminated by either
party, who shall give 3 month's written notice.

On termination of this agreement, AccountAbility shall retain the copyright of the Translation and
all associated trademarks, for versions in all languages and retain the right to distribute the
Translation.

10) Alteration
No variation of this agreement shall be valid unless confirmed in writing by authorised signatories of
all parties on or after the date of signature hereof.

11) Trademarks

No party shall use or register any name used by the other party which is as part of a corporate
name, a trading style or a trade mark in any part of the world except with the prior written consent

of the other party and in accordance with all terms on which any such consent may be given and for
the period for which this agreement continues.

AccountAbility will maintain the copyright of the Translation and all associated trademarks, for all
language versions.

12) General
This agreement is the entire agreement and understanding between the parties and supersedes any
previous agreement between the parties in relation to the Translation or Peer Review.
This agreement is governed and construed in accordance with the laws of England and Wales whose
courts will have exclusive jurisdiction.
