The Cardholder further understands and agrees that in the event of the Company’s failure to pay the obligations, charges, and liabilities incurred through the use of the UnionBank Corporate
VISA Card issued to its employees, or any portion thereof, the Cardholder expressly authorizes UnionBank to withdraw, cancel, or suspend at any time thereafter any or all of the UnionBank
Corporate VISA Card privileges and holds UnionBank free and harmless and indemnified from any and all claims, damages, suits, and causes of action arising from such withdrawal,

TERMS AND CONDITIONS GOVERNING THE ISSUANCE AND USE OF THE UNIONBANK CORPORATE VISA CARD

1. DEFINITION OF TERMS – As used herein, the following definitions will apply:


a. “Bank” shall refer to UnionBank of the Philippines.
b. “Card Account” means the Credit Card Account opened by the Bank for the purpose of entering all credits and debits
and received or incurred by the Cardholder under these Terms and Conditions.
c. “Card” means, as appropriate, a Corporate Visa Card issued by the Bank.
d. “Cardholder” means an employee to whom a Card bearing that employee’s name is issued by the Bank.
e. “Card Transaction” means the purchase of goods and/or service, benefits and reservation (including without limitation
any reservation made by the Cardholder for air, ship, rail, motor or other transportation or hotel or other lodging or
accommodation or other transportation, rental or hire, whether or not utilized by the Cardholder) and/or receiving Cash
Advances by the use of the card number or in any other manner including without limitation, mail, telephone or facsimile
orders or reservations authorized or made by the Cardholder, regardless of whether a sales slip or Cash Advance
form or other voucher or form is signed by the Cardholder.
f. “Cash Advance” means any amount obtained by use of the Card, the card number, or in any manner authorized by
the Cardholder, from the Bank or any other financial institutions for debit to the Card Account.
g. “Charges” means amount payable by the Cardholder arising from the use of the Card or the card numbers under these
Terms and Conditions and includes without limitation all Card Transactions, fees, Finance Charges, Late Payment
Charges, additional expenses, damages, legal costs and disbursements, which will be debited to the Card Account
and form part of the Current Balance.
h. “Credit Limit” means the maximum debit balance permitted by the Bank of the Card Account for the Cardholder.
i. “Current Balance” or “Total Outstanding Balance” means the total debit balance (inclusive of all Charges which shall
be debited to the Card Account) outstanding on the Card Account payable to the Bank according to the Bank’s records
on the date Statement of Account is issued.
j. “Finance Charges” means amount payable by the Cardholder representing cost for borrowing from or availing of the
credit card line.
k. “Late Payment Charges” means amount payable by the Cardholder representing penalty for not paying card usages
and charges on or before the Payment Due Date.
l. “Merchant Affiliates” means any corporate entity, person or other establishments supplying goods and/or services who
accepts the Card as a mode of payment or reservation by the Cardholder.
m. “Minimum Amount Due” is either Php500 or 5% of the Total Outstanding Balance whichever is higher, in addition to
installment amortization/s due for the month.
n. “Month” means the calendar month.
o. “Payment Due Date” means the date specified in the Statement of Account by which date, payment of the Current
Balance or any part thereof or the Minimum Amount is due to be made to the Bank.
p. “Posting Date” means the date by which a Card Transaction is posted onto the Card Account.
q. “Statement Date” means the date by which the Statement of Account is generated.
r. “Statement of Account” means the Bank’s monthly or periodic statement sent to the Cardholder showing particulars of
the Current Balance payable to the Bank.
s. Transaction Date” means the date by which a Card Transaction is completed.

2. THE CARD – The card remains the Bank’s sole property. It is not transferable. At the Bank’s sole discretion, the Bank
may suspend, terminate or cancel the Card privileges in the Philippines and abroad at any time for any reason with or
without cause and without need for prior notice to the Cardholder and the Bank shall be held free and harmless from any
loss suffered by the Cardholder by any reason of the suspension, termination or cancellation.
Continued use of the Card in case of termination or non-issuance of replacement Cards shall be deemed as fraudulent. If
for any reason the right to use the Card is revoked, all the privileges shall be terminated and the entire obligation shall
become due and demandable. The Bank shall be held free and harmless from any liability due to any dispute that may
arise from the refusal or failure to replace the card for whatever reason as advised by the Bank. Advice to replace the card
maybe in any medium, but not limited to the following: telephone, email, writing, and SMS.

3. CARD DELIVERY – In choosing Office Address for the card delivery, the Cardholder fully authorizes the Bank or its official
courier to release, in the Cardholder’s absence, the approved card to his/her co-workers, secretaries or to the Company’s
desk receptionist upon presentation of an identification card with picture or any form of identification such as Driver’s
License, Passport and SSS ID. The Cardholder shall be liable for any card availment/s or usages thereafter as a result of
such delivery and hereby holds the Bank free and harmless from any liability whatsoever for delivering of the card as
authorized herein.

4. VALIDITY OF CARD – The card is accepted worldwide and shall remain valid until the last day of the Month indicated
thereon unless earlier terminated, voluntarily cancelled or returned by the Cardholder or the Company. The card shall be
automatically replaced one month before the last day of the month indicated on the latest card. The replacement of the
card shall be at the Bank’s sole discretion. If the card is not replaced, the whole obligation becomes due and demandable
and the Cardholder shall return the card, cut in half, to the Bank.

5. TERMINATION – The Cardholder or the Company through its Authorized Representative may at any time notify the Bank
of its intention to cancel the Card Account and terminate the use of the Card, by giving a notice in writing via regular mail,
postal mail, email, facsimile or via telephone., and by returning the Card, cut in half, to the Bank. The account shall be
cancelled only after receipt of the Bank of the Card cut in half, and after full payments of all fees, charges and liabilities
outstanding on the card amount incurred by the use of the Card but not yet reflected in the Statement of Account. The
Company shall be responsible for settling off outstanding balances on the Card and shall keep the Bank indemnified for
all costs (including legal fees and Charges) and expenses incurred in recovering such outstanding balances. On the other
hand, the Bank may at any time and for any reason terminate the Card Account and the use of my Card, without prior
notice. Upon such recall, the Cardholder shall immediately cut the Card in half, surrender the same to the Bank.

6. LOST AND STOLEN CARD – In the event that the Card is lost or stolen, the Cardholder shall immediately report the loss
to the by calling the 24-hour Customer Service Center at telephone number 8418600 in Metro Manila or at Domestic Toll
Free number 1-800-1888-2277 outside Metro Manila or at Universal Toll Free number IAC+800-8277-2273 (USA,
NETHERLANDS, SPAIN, SWITZERLAND, MALAYSIA, AUSTRALIA, SINGAPORE, JAPAN, KOREAKOREATEL,
KOREAL-ONSE, ISRAEL) outside the Philippines or email at customer.service@unionbankph.com. The Lost Card
Protection feature absolves the Cardholder from any financial liability in case the Card is used for fraudulent purposes but
only from the time the loss was reported to the Bank. The Cardholder can charge a Lost Card Replacement Fee of
Php400.00 to cover the processing of the replacement card.

7. CREDIT LIMIT – The Cardholder hereby agrees that the Bank reserves the right to approve or deny authorization if the
Cardholder exceeds the approved Credit Limit. In addition, The Bank will automatically charge an Overlimit Fee if the Bank
authorizes a transaction or if overlimit is caused by system-generated interest and charges from the balances. The
excesses may be brought about by a retail transaction, Cash Advance or accumulated finance/late charges billed on the
Card Account. The amount exceeding the Credit Limit shall become due and demandable without prior notice and the
credit privileges shall be suspended immediately without prior notice pending full settlement thereof.

8. CASH ADVANCE – All Cash Advances made through the use of the Card, whether via over-the-counter or thru an
automated teller machine (ATM), shall be subject to an interest rate of 2.9% per month (42% per annum) computed from
transaction date until full settlement of the amount, and a service fee per availment of 6.0% of the transaction amount or
Php300.00 whichever is higher. For ATM transactions, certain banks - local and overseas, charge an access fee for cash
withdrawals. The amount of access fee may vary depending on the ATM network (local or overseas) and shall form part
of the cash advance amount. This additional fee will be charged to my card account. For over-the-counter transactions,
an additional transaction fee of Php500.00 shall be charged on top of the service fee. The Bank has the option to set a
cash advance limit and a daily cash limit for all Cash Advances. ATM Cash Advances and corresponding interest/service
charges and transaction fees shall be for my Card Account whether the Card may have been lost and used by another
person unless the Card was reported lost. The Lost Card Protection will apply.

9. CUSTOMER SERVICING – The Cardholder understands that by using the Bank’s 24-hour phone facility in relation to the
Card Account/s, the Bank may, at its sole option and discretion, tape or otherwise record all the Cardholder’s telephone
instructions. The Cardholder likewise understands and agrees that such taped or recorded instructions may be used by
the Bank against the Cardholder or any third party, for any purpose particularly, as evidence in any proceeding, judicial or
administrative. Furthermore, the Cardholder authorizes the Bank to communicate through electronic means, included but
not limited to Short Messages (SMS), at any permissible time under government rules and regulations for whatever
purpose related to the Cardholder’s Card Account. The Cardholder allows the Bank to notify the Cardholder electronically,
included but not limited to Short Message Service (SMS), using the mobile number and/or electronic address shown in
the Bank’s record at any permissible time under government rules and regulations. Moreover, the Cardholder shall be
held responsible for the electronic notifications the Bank sends. As such, the Cardholder hereby declares the Bank free
and harmless from any liability if the information contained in the electronic notification is, by any means, accessed by any
person other than the Cardholder.

10. MERCHANT AFFILIATES – The Bank shall not be responsible or liable if the Card is not honored by any Visa-affiliated
merchant for any reason whatsoever. The Cardholder holds the Bank free and harmless from any claim for damages as
a result of the failure of any Visa-affiliated merchant to honor the Card. Furthermore, the Cardholder shall not hold the
Bank responsible for any defective product or service purchased through the Card. The existence of a claim or dispute
with a Visa-affiliated merchant shall not relieve the Cardholder of any obligation to pay any and all charges which is incurred
through the use of the Card.

11. LIMITATIONS – The Cardholder hereby agrees not to use the Card for the purchase of items/ goods the importation of
which into the Philippines of which is subject to the provisions of CB Circular No. 1438 and all other circulars, laws, rules
and regulations pertaining to importation. Likewise, the Cardholder hereby agree that the proceeds of the Cash Advance
availments abroad shall not be used for foreign investments or the payment of foreign loans in violation of CB Circular No.
1353.
12. STATEMENT OF ACCOUNT – The Bank shall provide a monthly Statement of Account enumerating the outstanding
obligations. In case the Cardholder does not receive the said Statement, the Cardholder shall immediately inform the Bank
thereof. In the absence of any report of non-receipt of the Statement of Account prior to the regular due date as contained
in the notice of approval of the Card application, the Cardholder is deemed to have received the same. The Bank shall
charge a Statement of Account Reprinting Fee of Php300.00 per statement. In the event of any error appearing in my
Statement of Account, the Cardholder hereby agrees to notify the Bank of said error immediately and in writing. If no error
is reported within twenty (20) calendar days from Statement Date, the Cardholder agrees and confirms that the Bank can
conclusively consider the Statement of Account as true and correct. The Statement of Account shall form an integral part
of this Agreement.

If the Cardholder chooses to have the Statement of Account sent via-email to a duly designated e-mail address, the
Cardholder is responsible for its confidentiality. The Cardholder will likewise hold the Bank free and harmless from any
liability from any unauthorized access or viewing of the Statement of Account to the given e-mail address. For this purpose,
the Bank’s advice that they sent the Statement of Account via-email as shown in its e-mail confirmation registry shall be
final and conclusive on the Cardholder, and the Cardholder agrees not to dispute the receipt of my Statement of Account
sent by the Bank via-email at the request.

In the event that the Cardholder intends to dispute a transaction/s in the Statement of Account, the Cardholder hereby
agrees to notify the Bank immediately in writing within twenty (20) calendar days from the Statement Date. Should the
dispute require the retrieval of original documents from the Bank, the Bank can charge a Retrieval Fee of Php200 per
transaction slip in the event that the disputed transaction is invalid.

13. ASSIGNMENT AND WAIVER – The Cardholder hereby agrees that the Bank may assign, discount or otherwise transfer
part or all its rights and/or obligations under the Card without the need to notify or seek the Cardholder’s consent.

14. DISCLOSURE – The Bank may at all times acquire, exchange and/or release information obtained from the Card Account
to any third party and hereby holds the Bank free and harmless from any liability that may arise from such disclosure.
Furthermore, the Cardholder authorizes the bank to investigate the information provided by the Cardholder from whatever
sources it may consider appropriate. The Cardholder understands that falsifying any of the information is sufficient ground
for legal action and the cancellation of the application.

15. LIMITATION OF, AND EXCLUSIONS FROM, LIABILITY – In any action arising from this Agreement or any incident
thereto which the Cardholder or other party may file against the Bank, the Bank’s liability shall not exceed One Thousand
Pesos (Php1,000.00) in Philippine currency or the actual damages proven, whichever is lesser. The Bank shall be under
no liability to the Cardholder in respect of any loss or damage arising directly or indirectly from:
a. Any loss or damage howsoever incurred or suffered by the Cardholder by reason of the Bank’s refusal or the
refusal of other financial institutions or third parties to allow a Card Transaction or to accept the Card or the PIN
or to provide Cash Advance up to the Credit Limit or at all;
b. Refusal of any merchant Affiliate of member institution of VISA International to honor the Card;
c. Any defect or deficiency in the goods or services supplied to the Cardholder by any Merchant Affiliate or, where
applicable, for any breach or non-performance by a
Merchant Affiliate or a Card Transaction;
d. Malfunction of any ATM or disruption of communication systems;
e. Exercise by the Bank of the right to demand and procure the surrender of the Card prior to its expiry date, whether
such demand and surrender are made and/or procured by the Bank or by any other person or ATM.
f. Exercise of the Bank’s right to terminate any Card or the Card Account pursuant to Clause 5 hereof.
g. Any injury to the Cardholder’s credit character and reputation rising from the repossession of the card, any request
or demand for the surrender of the Card, or the refusal of any person to honor or accept the Card;
h. Any misstatement, misrepresentation, error or omission in the Statement of Account;
i. Any dispute between the Cardholder and any Merchant Affiliate or financial institution or any other person. The
Cardholder’s liability to the Bank shall not be adversely affected by any such dispute or by any counterclaim or
right of set-off which the Cardholder may have against such Merchant Affiliate or financial institution or other
person.
j. Any loss or damage that may be incurred or suffered by the Cardholder due to the acts or omissions of service
providers engaged by You.

16. CHANGE OF TELEPHONE NUMBER/S, ADDRESS AND OTHER CONTACT DETAILS – The Cardholder shall
immediately notify the Bank in writing of any change in residence, office address number/s (both landline and mobile
number) and email address. Notices sent to the Cardholder’s mailing address of record shall be binding even if it was not
received, should the Cardholder fail to notify the Bank of the new address. In case the chosen mailing address is not
accessible through postal mail or delivery, the Bank has the option to use the alternate addresses. Under Republic Act
8484, the Cardholder is required to notify the Bank of any change in the place of employment, business, residence or
contact numbers.

17. CHANGE OF STATUS – The Cardholder shall notify the Bank in writing of any change in his/ her status.

18. AMENDMENT – The Bank has the right to change, alter, revise or modify this Agreement anytime and the Cardholder will
be notified of such changes. It is understood that the Cardholder accepts the changes, alterations, revisions or
modifications if the Cardholder continues to keep and use the Card notwithstanding the lapse of seven (7) days from the
receipt of such notification.

19. SEPARABILITY CLAUSE – In case any portion of this Agreement is declared invalid or unenforceable, the portion not
otherwise affected shall remain valid and binding

20. BINDING EFFECT – The Cardholder hereby confirms that in addition to the foregoing Terms and Conditions, the
Cardholder unconditionally agrees to be bound by all laws, rules regulations, terms and conditions, and official issuances
applicable on the matter, relating to the card and its features, benefits and programs, now existing or which may hereinafter
be enacted, issued or enforced. All the Terms and Conditions herein stated have been read and understood by the
Cardholder as evidenced by a signature on the application form, Card and/ or charge/sales slip.

21. VENUE OF ACTIONS – Any and all claims and disputes arising form or in connection with the issuance and/or use of the
Card shall be brought only before the appropriate courts of Pasig City, to the exclusion of any and all other venues.

22. KNOW YOUR CUSTOMER (KYC) – The Client shall be responsible for conducting face-to-face contact and gathering of
the minimum required information or identification documents (IDs) in accordance with existing laws, rules and regulations
of the Anti-Money Laundering Council (AMLC) or Bangko Sentral ng Pilipinas (BSP) as part of the know-your-customer
(KYC) procedures. The Bank shall conduct the necessary training to the Client’s representative/s on the KYC process.

The Client shall handle the distribution of the corporate credit cards to the cardholders. The Client
shall designate an authorized representative/s who shall safeguard and guarantee the integrity of the
entire process of enrollment by authenticating all signatures found in all documents, and by ensuring
that all corporate credit cards are distributed to the intended cardholders.

The Bank shall conduct a training program to the Client’s authorized representatives to ensure
compliance with the Bank’s account opening requirements. For this purpose, the Client shall ensure
the attendance of its authorized representatives in the training program or presentation that may be
conducted by the Bank’s authorized representatives. In this regard, the Client or its authorized
representatives shall certify that they will be performing face-to-face contact and know-your- customer
procedures (KYC) with their payees, including the signing of the Corporate Card Application Form -
Employee form in the presence of the Client’s authorized representatives. The Client shall guarantee
the authenticity, accuracy, completeness and due execution of all the information stated in the
Corporate Card Application Form - Employee form and shall ensure submission to the Bank of said
form within the period of thirty (30) days from the date of account opening, together with a clear copy of
at least one (1) valid photo-bearing ID of the employee. The Bank shall rely on the information,
documents, and IDs provided by the Client.
