EXTRACT OF THE RESOLUTION PASSED BY THE BOARD OF DIRECTORS OF

AGP CITY GAS PRIVATE LIMITED IN ITS MEETING HELD ON THURSDAY,
MAY 20. 2021 HAVING ITS REGISTERED OFFICE AT 311), EA.ST WTMG
WORLDMARK 1. AEROCITY. NEW DELHt-110037
RESOLVED FURTHER THAT upon approval of the Board to proceed with instiiuiing ami
defending any legal cases, tiie Board hereby authorize Mr. Abhilesh Gupta, Managing Director
and CEO of the Company and the Legal Head ("Authorised Officials"), severally to do ail or
any of die following acts for and on behalf of the Company;

1. To stand in representation of the Company for instituting and defending legal

proceedings and to institute and defend legal proceedings - civil, criminal or revenue
including Income tax, GST, VAT,Stamp duties. Sales tax. Service tax and Excise and
Confess judgment or withdraw, compromises compound or refer any matter or dispute
to arbitration,as he may think fit in connection with the Company's business. The Board
shall be updated in writing by the Legal Head of all material actions taken pursuant to
this Clause I within 15 days from the end ofeach month ofsuch action.
2. To sign, verify and file in all or any courts and offices in India in all or any cases,
whether original, appellate or revision plaints,complaints, written statements,affidavits
and applications review or revision petitions, statutory returns and memoranda of
appeals or cross objections, etc. The Board shall be updated in writing by the Legal
Head ofall material actions taken pursuant to tliis Clause 2 within 15 days from the end
of each month of such action.
3. To represent the Company in connection with its assessment, appeals and revision,
proceedings before any revenue, authority or the Appellate Tribunal, Excise Tribunals,
and to produce and document connected therewith.
4. To engage and appoint advocates, vakils, solicitors, pleaders, anomeys and mukhtiars,
as the cose maybe,
5. To appoint special agents, on such terms and conditions as he may deem fit and
authorize such agent to do any ofthe act, deeds or things for the purpose of Company,

"RESOLVED FURTHER THAT the said Authorized Officials shall be authorized to

delegate all or any ofthe powers/ functions mentioned herein above through letter of authority
duly signed and sealed mentioning the purpose for which the authority may be delegated,
provided that the Authorized Ofilcials shall remain responsible for the actions of such
delegates. "

RESOLVED FURTHER THAT the Company hereby agrees that all acts, deeds and things
lawfully done by the said Authorised Officials under the authority of and in compliance with
this resolution shall be construed as acts, deeds and things done by the Company.
