Ref: Loans Service Provider Agreement

1. We hereby inform/confirm to you that, the persons whose full names and
addresses are set out in Schedule hereunder written, are the present partners
(hereinafter referred to as the ‘Partners’) of a partnership firm details whereof
are more particularly set out in Schedule hereunder written registered under the
Indian Partnership 1932, ( hereinafter referred to as the “ Said Firm”) by a deed
of partnership as set out in Schedule hereunder written (“Partnership Deed”)
and carry on the business at address as set out in Schedule hereunder written.

2. We the undersigned partners of said Firm further confirm that the Firm has
agreed to provide Loan related services to Profectus Capital Private Limited
(PCPL) and PCPL has agreed to appoint the said Firm as Service Provider for
carrying out the Services for PCPL.

3. We the undersigned partners of said Firm further confirm that the terms and
conditions of service to be provided to PCPL have already been settled and
finalized between the Firm and PCPL and draft Service Provider Agreement and
other documents placed before the Partners and initialed by Mr.
for the purpose of identification.

4. We the Partners of the Firm hereby authorize Partner(s) more particularly set out
in Schedule hereunder (“Authorized Partner(s”) jointly and severally to sign,
execute, admit and register the Service Provider Agreement in the terms of draft
placed before the Partners including declaration, indemnity, and various other
documents, writings and undertakings as may be required by PCPL, in respect of
Service Provider Agreement and to do all such acts, deeds and things for the
purpose of providing service to PCPL and performance of obligations as may be
required in this regard.
5. Without prejudice to what is stated above, we agree that notwithstanding
anything contained in any agreement of partnership, any agreement/instrument/
deed signed and executed by the Authorized Partner(s) on behalf of the firm
pursuant to this authority Letter, all such instrument / documents so made /
executed shall be deemed to have been made/executed and accepted by the
Firm, on behalf of the Firm.

6. It is further understood that we shall be jointly and severally liable for all acts
deeds and things both in our individual capacity and in our capacity as Partners
of the Firm.

7. It is further understood that the authority granted to the authorized partners

herein shall be treated as authority by all the partners and the PCPL can place
reliance on the same without any further verification or reference to us.

8. The Firm and each and every partner of the said Firm shall be bound by the
provisions of the Loan Service Provider Agreement and any other
documents/deeds/ instrument singed by the authorized partner on behalf of the
Firm.

9. In the event of any change occurring in the said firm by the introduction of any
new partner or resignation, retirement, death, expulsion or insolvency of any
partner or the dissolution of the firm, written notice thereof shall be forthwith
given to PCPL.
