SALES AND PURCHASE AGREEMENT

WHERE AS:
Seller agrees and warrants, under penalty of perjury, to sell palm kernel shell
.
WHERE AS:
Buyer agrees and warrants, under penalty of perjury to Purchase the Seller's Palm kernel shell
for a period of 1 year.

NOW THEREFORE:
In consideration of the promises and mutual covenants here in set forth, both Parties agree to the
Terms and Conditions as follows:

SCOPE OF AGREEMENT 
A..The Seller, under full authority and responsibility, represents that he has the clear and
qualified right to sell the palm kernel shell.

B..The Buyer, under full corporate authority and responsibility represents that he has the full
financial capability to purchase the palm kernel shell
.
C.This agreement is not Transferable, Assignable by both/any of the parties.

I. PRICE

The Price is agreed as :

1.US$ 88.3 PER 1kg of An quantity  . Loading Port Bandarsyah Calang. Aceh Indonesia

2. US$ 99.3 PER 1 kg An quantity. Loading Mother Vessel Port Calang ( 2- 3 miles from
Calang Port).Aceh Indonesia.

3. US$ 97.8 Per kg an quantity. The price loading Mother Vessel at Port Malahayati.

The total contractual quantity under the terms of this Agreement shall be fixed for
120 000MT palm kernel shell Per 1 (one) year, with terms and conditions revised every 3
(three) months, with possible rolls & extensions. The price is excluding taxes.

DELIVERY TERM
The goods will be delivered every 3 ( three ) month for a period of continuous 12
(twelve)months, with possible rolls and extensions. The quantity of palm kernel shell to be
delivered each month will beagreed before each shipment.

The delivery terms for this Sales and Purchase Agreement shall be by the sea( port or mother
vessel to the Buyer).

J. TAXES
Buyer is responsibible for all Export Taxes

Each part is responsible for all local taxes and expenses in own countries also trave l costs of the own
representatives.

PAYMENT TERMS

The buyer will pay to the seller 50% as down payment on signing the contract . 40% on Loading
and 10 % balance full issue of document. .Down payment Guarantee issued by theSeller's bank
under the Seller's instruction in favor of the Buyer. Payment shall be made within Maximum of 5
(five) banking days after the Final Assay Report which isissued by the Buyer’s .Nominated
Refinery; the payment shall be made by T/T or irrevocable,confirm LC 100% at sight to
theSeller's nominated Bank Account, as follows:
